The Company and the Employee may collectively be referred to herein as the "Parties" or individually as a "Party."
WHEREAS, the Company operates as a provider of [Business/Industry Description] and requires the physical presence of its personnel at designated Corporate Facilities to ensure operational efficiency, collaborative synergy, rigorous quality control, and the protection of proprietary trade secrets and confidential information; and
WHEREAS, the Employee is currently employed by the Company in the capacity of [Job Title] pursuant to an at-will employment relationship or underlying employment agreement, and was previously permitted to perform services via a Temporary Remote Work Arrangement; and
WHEREAS, the Company has determined that business exigencies require the formal cessation of remote work privileges and the resumption of mandatory, on-site operations at the designated Corporate Facility; and
WHEREAS, the Employee acknowledges receipt of this Policy, understands the operational mandates contained herein, and agrees to comply with all terms, conditions, and obligations as a material condition of continued employment;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and legal sufficiency of which are hereby acknowledged, the Parties agree as follows:
2. Operational Definitions
For purposes of this Agreement, the following terms shall have the meanings ascribed below, which meanings shall be equally applicable to both the singular and plural forms of the terms defined:
- "Alternative Work Arrangement (AWA)" means any formal, written, and mutually executed accommodation allowing an Employee to perform core job duties outside of a designated Corporate Facility, subject to strict periodic review and unilateral revocation by the Company.
- "Company Property" means all tangible and intangible assets provided by the Company to the Employee, including but not limited to laptops, mobile devices, hardware, software licenses, security tokens, documents, data, and proprietary information.
- "Core Working Hours" means the mandatory operational hours of
[Start Time]to[End Time][Time Zone], Monday through Friday, during which the Employee must be physically present at the Corporate Facility and actively performing assigned duties, unless on approved leave. - "Corporate Facility" means the primary office, manufacturing plant, or designated business location of the Company situated at
[Facility Address], or any other facility formally designated by the Company’s executive management. - "Force Majeure Event" means an act of God, war, terrorism, natural disaster, pandemic, governmental restriction, utility failure, or other catastrophic event beyond the reasonable control of the Company that renders the operation of the Corporate Facility impossible or legally impermissible.
- "Non-Compliance Event" means any instance, occurrence, or ongoing failure by the Employee to adhere strictly to the attendance, performance, or operational mandates set forth in this Policy.
- "Reasonable Accommodation" means a formal modification or adjustment to the work environment or application process that enables a qualified individual with a disability to enjoy equal employment opportunities, granted solely pursuant to the interactive process mandated by applicable state or federal law (e.g., the Americans with Disabilities Act).
- "Temporary Remote Work Arrangement" means the preceding, non-permanent operational model under which the Employee was authorized to perform work duties outside of the Corporate Facility in response to operational, public health, or transitional necessities.
3. Substantive Terms & Obligations
3.1 Resumption of On-Site Presence
Effective as of [Implementation Date], the Employee’s authorization to perform services via a Temporary Remote Work Arrangement is hereby fully and finally revoked. The Employee is strictly required to report physically to the Corporate Facility on each designated business day during Core Working Hours.
3.2 Attendance and Punctuality
The Employee shall maintain regular, reliable attendance and adhere strictly to established schedules. Failure to clock in, badge in, or otherwise verify physical arrival at the Corporate Facility by [Start Time] shall constitute an unexcused tardiness or absence.
3.3 Performance Metrics and Standards
The Employee shall maintain or exceed all established key performance indicators (KPIs), productivity metrics, and quality standards applicable to their role. Physical presence at the Corporate Facility does not alter, diminish, or supplant the performance standards expected of the Employee under their primary employment terms.
3.4 Equipment and Workspace Maintenance
The Employee shall maintain their assigned workspace at the Corporate Facility in a professional, clean, and secure manner. Any Company Property previously issued for remote use that is not returned upon request, or that is damaged due to gross negligence or willful misconduct, shall be replaced at the Employee's expense, subject to applicable state and federal wage deduction laws.
3.5 Adherence to Workplace Policies
While present at the Corporate Facility, the Employee shall strictly comply with all Company handbooks, safety protocols, security directives, and code of conduct provisions.
4. Default, Termination, and Remedies
4.1 Classification of Breach
Any failure by the Employee to comply with the mandatory on-site attendance requirements, Core Working Hours, or operational directives outlined in Section 3 of this Policy shall constitute an immediate material breach of this Agreement and the underlying employment relationship.
4.2 Notice and Cure Period
Upon the occurrence of a Non-Compliance Event, the Company shall provide the Employee with a written notice of default detailing the specific violation. The Employee shall have a period of thirty (30) business days from the date of receipt of such notice to cure the default (e.g., by resuming mandatory on-site attendance and remedying any unexcused absences).
4.3 Immediate Termination for Chronic or Incurable Breach
Notwithstanding Section 4.2, if the Employee commits a willful, intentional, or uncurable refusal to report to the Corporate Facility, or fails to cure a Non-Compliance Event within the designated thirty (30) business day cure period, the Company reserves the absolute right to terminate the Employee’s employment immediately for cause, effective upon delivery of written notice of termination.
4.4 Legal Recourse and Remedies
In the event of a material breach resulting in termination for cause, the Company reserves all available legal and equitable remedies, including but not limited to:
- Immediate forfeiture of unvested equity, bonuses, or severance benefits, to the extent permitted by law;
- Recovery of damages incurred by the Company resulting from operational disruption; and
- Injunctive relief to compel the immediate return of all Company Property and confidential information.
5. Boilerplate Legal Provisions
5.1 Severability
If any provision, clause, or section of this Policy is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or authorized arbitral body, such invalidity, illegality, or unenforceability shall not affect any other provision of this Policy. This Policy shall be construed as if such invalid, illegal, or unenforceable provision had never been contained herein, and the remaining provisions shall remain in full force and effect.
5.2 Entire Agreement
This Agreement, together with any underlying written employment contract and the Company Employee Handbook (as amended from time to time), constitutes the final, complete, and exclusive expression of the agreement between the Parties with respect to the subject matter hereof. This Policy supersedes all prior and contemporaneous oral or written understandings, negotiations, representations, or agreements regarding remote work arrangements.
5.3 Force Majeure
Neither Party shall be held liable for any failure or delay in fulfilling the terms of this Policy if such failure or delay arises out of or is caused by a Force Majeure Event, provided that the affected Party uses commercially reasonable efforts to resume performance as soon as practicable following the cessation of such event.
5.4 Governing Law
This Policy, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [Jurisdiction], without regard to its conflict of laws principles.
5.5 Dispute Resolution and Arbitration
Any dispute, controversy, or claim arising out of, relating to, or in connection with this Policy, including its breach, termination, or validity, shall be exclusively resolved through binding arbitration administered by [Arbitration Body, e.g., American Arbitration Association] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and the proceedings shall be conducted in the English language before a single neutral arbitrator. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
