STEP-BY-STEP EXECUTION GUIDE
This guide provides instructions for the proper execution, filing, and enforcement of the Retainer Agreement.
-
Review and Customise:
- Thoroughly read the entire document.
- Fill in all bracketed
[ ]placeholders with accurate and specific information relevant to your agreement. Ensure details such as company names, registration numbers, addresses, contact persons, dates, amounts, service descriptions, and specific terms (e.g., notice periods, hourly rates) are correctly entered. - Pay close attention to Clause 3.5 ("Utilisation of Retainer") and select the single option that best reflects your commercial agreement, deleting the others.
- Review the Official Notice/Disclaimer and consider obtaining independent legal advice from a South African attorney to ensure the agreement fully meets your specific needs and complies with all applicable laws.
-
Negotiation & Finalisation:
- Share the draft with the other Party and negotiate any terms that require amendment.
- Ensure all agreed-upon changes are incorporated into the final version of the document.
- Verify consistency across all clauses, especially regarding dates, amounts, and definitions.
-
Signatures and Execution:
- Both the Service Provider and the Client must sign the Agreement.
- Ensure the person signing on behalf of each company is an authorised representative (e.g., a Director, CEO, or duly authorised signatory as per a board resolution). Proof of authority (e.g., board resolution, power of attorney) should be available if requested.
- Each signature must be accompanied by the signatory's printed full legal name, title/capacity, and the date of signature.
- It is best practice for at least one independent witness (not a party to the agreement) to sign and print their name for each signatory, especially for formal corporate agreements. This adds evidentiary value.
- Ensure all pages of the final agreement are present during signing. Consider initialing each page to prevent substitution.
- Electronic signatures are legally recognised in South Africa, provided they meet the requirements of the Electronic Communications and Transactions Act, No. 25 of 2002 (e.g., reliable method, intent to sign).
-
Distribution and Filing:
- Once fully executed, create two original copies of the Agreement (one for each Party).
- Scan and save a digital copy of the fully executed Agreement in a secure, accessible location (e.g., cloud storage, document management system).
- File the physical original copies in a secure, organised manner. This is crucial for record-keeping and potential enforcement.
-
Enforcement and Monitoring:
- Operational Integration: Ensure all relevant operational teams (e.g., finance, project management, legal, HR) are aware of the terms, particularly regarding service scope, payment schedules, and confidentiality.
- Payment Tracking: Implement a system to track retainer fee payments, additional service invoicing, and expense reimbursements to ensure timely payment and adherence to financial clauses.
- Service Delivery Tracking: Monitor service delivery against the agreed scope and any SOWs to ensure compliance with the Service Provider's obligations.
- Term Management: Set reminders for renewal dates and notice periods for termination to ensure proactive decision-making.
- Amendment Process: Adhere strictly to Clause 15.2; any changes must be in writing and signed by both Parties.
- Dispute Resolution: In the event of a dispute, follow the process outlined in Clause 12 strictly to ensure a structured and legally compliant resolution path.
