3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT

A comprehensive structural outline, operational timeline, and milestone deliverable schedule are annexed hereto as Exhibit A (Statement of Work) and incorporated herein by this reference.
1.2 Modifications to Scope. Any material alteration, expansion, or reduction of the Scope of Services set forth in Exhibit A shall be mutually agreed upon in writing via a formal Change Order executed by the authorized representatives of both Parties. The Service Provider shall not be obligated to perform any out-of-scope tasks without prior written authorization and an accompanying adjustment to the Project timeline and compensation structure.
1.3 Standard of Performance. The Service Provider warrants that all services rendered under this Agreement shall be performed in a professional, workmanlike manner, in accordance with industry standards, and in strict compliance with all applicable federal, state, and local laws, ordinances, codes, and regulations.
SECTION 2: COMPENSATION & PAYMENT TERMS

2.2 Invoicing & Payment Terms. The Service Provider shall submit itemized invoices to the Client upon the completion of designated project milestones or on a monthly recurring basis as specified in Exhibit B. All undisputed invoices shall be due and payable by the Client within [Number, e.g., Thirty (30)] calendar days from the date of receipt (the "Due Date"). Payments shall be remitted via wire transfer, ACH, or check to the designated bank account provided by the Service Provider.
2.3 Late Payment Interest. Any undisputed invoice amount not received by the Due Date shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date delinquency occurs through the date of actual payment in full. Furthermore, the Service Provider reserves the right to suspend performance of services under this Agreement upon ten (10) business days' written notice if any payment remains delinquent.
2.4 Taxes. The Contract Price is exclusive of all applicable federal, state, and local sales, use, excise, value-added, or similar taxes. The Client shall be solely responsible for the payment of all such taxes levied in connection with the services provided under this Agreement, excluding taxes based solely on the Service Provider’s net income.
SECTION 3: TERM & TERMINATION
3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of all Project deliverables or until [Project End Date], unless terminated earlier in accordance with the provisions of this Section 3 (the "Term").
3.2 Termination for Convenience. 4.1 Pre-Existing Intellectual Property. Each Party shall retain exclusive ownership of all right, title, and interest in and to its respective pre-existing trademarks, trade secrets, software, methodologies, documentation, and proprietary materials developed prior to or independently of this Agreement ("Pre-Existing IP"). Nothing herein shall be construed to transfer rights in Pre-Existing IP except as explicitly stated.
4.2 Work Made for Hire. All deliverables, reports, data, designs, curricula, software, and creative works specifically developed by the Service Provider for the Client pursuant to this Agreement (collectively, the "Project IP") shall be deemed a "work made for hire" under the copyright laws of the United States. To the extent that any Project IP does not qualify as a work made for hire, the Service Provider hereby assigns, transfers, and conveys to the Client all right, title, and interest worldwide in and to such Project IP, effective upon receipt of full payment of the Contract Price.
4.3 License to Service Provider Tools. - Is or becomes generally known to the public through no breach of this Agreement by the Receiving Party;
- Was already known to the Receiving Party prior to disclosure without an obligation of confidentiality;
- Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party’s Confidential Information; or
- Is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order.

7.1 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 5 (CONFIDENTIALITY), GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS UNDER THIS SECTION 7, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE SERVICE PROVIDER’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT FOR ALL CLAIMS OF ANY KIND SHALL NOT EXCEED THE TOTAL CONTRACT PRICE ACTUALLY PAID BY THE CLIENT TO THE SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7.2 Indemnification by Service Provider. The Service Provider agrees to defend, indemnify, and hold harmless the Client, its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from:

8.2 Binding Arbitration. If the Dispute cannot be resolved through good faith negotiations pursuant to Section 8.1, the Dispute shall be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The place of arbitration shall be [City, State]. The arbitral award shall be final and binding upon both Parties, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
8.3 Injunctive Relief. Notwithstanding the foregoing arbitration provisions, either Party may seek temporary, preliminary, or permanent injunctive relief or other equitable remedies from a court of competent jurisdiction to protect its intellectual property rights or Confidential Information without waiving its right to compel arbitration.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.
