12. STEP-BY-STEP EXECUTION AND FILING GUIDE

  1. Customization: Open the file in your word processor. Use the "Find and Replace" function to locate all bracketed fields [...] and replace them with the correct entity data. Delete the brackets once updated.
  2. Review: Ensure the "Scope of Services" (Exhibit A) is clearly defined to prevent "scope creep," which is the primary cause of disputes in retainer relationships.
  3. Signatory Verification: Before sending for signature, verify the identity of the signer. Ensure the person signing has the authority to bind the entity (e.g., a CEO, Director, or authorized Manager).
  4. Digital Execution: Upload the finalized PDF to a secure e-signature platform (e.g., DocuSign, Adobe Sign, or HelloSign). Ensure the "Audit Trail" feature is enabled for legal evidentiary support.
  5. Filing: Upon completion, save the signed agreement in a secure, encrypted document management system. Retain the contract for the duration of the engagement plus the applicable statute of limitations for contract claims in your jurisdiction (typically 3–7 years).
