NOW, THEREFORE, in consideration of the mutual covenants, promises, and considerations set forth herein, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
4. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Quantitative Research Services. The Provider shall perform the quantitative research services (the "Services") detailed in the Statement of Work (SOW) attached hereto as Exhibit A and incorporated herein by this reference. The Services shall include, without limitation: (a) formulation of research design and hypothesis testing frameworks; (b) collection, cleaning, and administration of quantitative datasets; (c) execution of advanced statistical analyses, econometric modeling, or algorithmic processing; and (d) delivery of comprehensive empirical reports, data visualizations, and raw data outputs.
1.2 Project Milestones and Deliverables. The Provider shall deliver the research outputs in accordance with the milestone schedule set forth in Exhibit A. Any modification, expansion, or reduction of the Scope of Services must be executed via a written Change Order signed by the authorized representatives of both parties, detailing any corresponding adjustments to fees and delivery timelines.
1.3 Client Cooperation. The Client shall provide timely access to necessary data, systems, stakeholder interviews, and internal resources required for the execution of the Services. Delays caused by the Client's failure to provide required inputs shall extend the Provider’s delivery timelines on a day-for-day basis.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Total Compensation. In consideration for the full and faithful performance of the Services, the Client shall pay the Provider the total sum of [Amount in USD] (USD), payable in accordance with the milestone payment schedule set forth in Exhibit B.
2.2 Invoicing and Payment Schedule. The Provider shall issue invoices to the Client upon the completion of each respective project milestone or on a monthly recurring basis as specified in Exhibit B. All invoices shall be due and payable by the Client within thirty (30) calendar days from the date of receipt (Net 30).
2.3 Late Payment and Interest. Any undisputed invoice amount not received by the Provider by the due date shall accrue late interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower, calculated from the date such payment was due until paid in full. Furthermore, the Provider reserves the right to suspend the performance of Services upon ten (10) business days' written notice if any invoice remains delinquent past thirty (30) days.
2.4 Expenses. The Client shall reimburse the Provider for all pre-approved, out-of-pocket expenses incurred in connection with the performance of the Services (including travel, specialized third-party data licensing, and specialized computational cloud infrastructure costs), provided that such expenses are itemized and accompanied by reasonable supporting documentation.
SECTION 3: TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and final delivery of all research outputs, or until terminated earlier in accordance with this Section 3 (the "Term").
3.2 Termination for Convenience. The Client may terminate this Agreement, in whole or in part, for any reason or no reason, upon providing thirty (30) calendar days' prior written notice to the Provider. Upon such termination, the Client shall pay the Provider for: (a) all Services satisfactorily performed up to the effective date of termination; (b) all non-cancelable commitments and expenses incurred by the Provider prior to notice; and (c) a pro-rata portion of any milestone fees reflective of work in progress.
3.3 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party: (a) materially breaches any representation, warranty, or material provision of this Agreement and fails to cure such material breach within fifteen (15) calendar days after receipt of written notice detailing the breach; (b) becomes insolvent, files a petition in bankruptcy, makes an assignment for the benefit of creditors; or (c) has a receiver or trustee appointed for its business or assets.
3.4 Survival of Obligations. Termination or expiration of this Agreement shall not relieve either party of any liabilities or obligations accrued prior to the date of termination, nor shall it affect the survival of provisions which by their nature are intended to survive (including, without limitation, Sections 5, 6, 7, 8, and 9).
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Work Made for Hire. Subject to full payment of all compensation due under this Agreement, all final research reports, empirical datasets specifically gathered or generated for the Client under this Agreement, and customized data visualizations produced as deliverables (the "Deliverables") shall be deemed "works made for hire" to the extent permitted by United States copyright law, and shall be the exclusive property of the Client.
4.2 Provider Pre-Existing IP and Methodologies. Notwithstanding Section 4.1, the parties acknowledge and agree that the Provider retains all exclusive, worldwide right, title, and interest in and to its pre-existing intellectual property, including proprietary research methodologies, algorithms, software code, benchmark databases, template structures, and analytical frameworks utilized to perform the Services (the "Provider IP").
4.3 License to Provider IP. To the extent that any Provider IP is embedded within or required for the utilization of the Deliverables, the Provider hereby grants to the Client a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, reproduce, and internalize such Provider IP solely as incorporated within the Deliverables for the Client’s internal business operations.

"Confidential Information" means all non-public information disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") under this Agreement, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, research data, proprietary models, financial information, and trade secrets.
5.2 Obligations of Confidentiality. The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but in no event less than a reasonable standard of care; (b) not disclose such Confidential Information to any third party, except to its employees, legal counsel, and financial advisors who need to know such information and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use such Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement.

The Client represents and warrants that: (a) it has the full legal right, power, and authority to enter into this Agreement; (b) any data, files, or information provided by the Client to the Provider for analysis do not infringe upon the rights of any third party and comply with all applicable data protection laws; and (c) it holds all necessary rights to grant the Provider access to such data.

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
