SUBLEASE AGREEMENT

THIS SUBLEASE AGREEMENT (the "Agreement") is made and entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

SUBLESSOR: [Sublessor Company Name], a [State/Jurisdiction] [Entity Type, e.g., Corporation], with its principal place of business at [Sublessor Address] ("Sublessor"); and

RECITALS

WHEREAS, Sublessor is the tenant under that certain Master Lease dated [Master Lease Date] (the "Master Lease") with [Master Landlord Name] ("Master Landlord") regarding the premises located at [Premises Address] (the "Premises"); and

WHEREAS, Sublessor desires to sublease to Sublessee, and Sublessee desires to sublease from Sublessor, a portion of the Premises, specifically described as [Description of Subleased Space] (the "Subleased Premises"), subject to the terms and conditions set forth herein.

1. OPERATIONAL DEFINITIONS

1.1 "Master Lease" means the primary lease agreement between Sublessor and Master Landlord, incorporated herein by reference. 1.2 "Subleased Premises" means the specific portion of the Premises defined in the Recitals. 1.3 "Rent" means the periodic payment obligation of the Sublessee as defined in Section 3.1. 1.4 "Security Deposit" means the amount defined in Section 3.2. 1.5 "Term" means the period of occupancy as defined in Section 3.3. 1.6 "Business Day" means any day other than a Saturday, Sunday, or federal holiday in the [Jurisdiction].

2. SUBSTANTIVE TERMS AND OBLIGATIONS

2.1 Grant of Sublease: Sublessor hereby subleases the Subleased Premises to Sublessee, and Sublessee hereby accepts the Subleased Premises, subject to all terms and conditions of the Master Lease. 2.2 Compliance with Master Lease: Sublessee shall perform and comply with all covenants and obligations of the Sublessor under the Master Lease as they relate to the Subleased Premises, excluding the payment of rent to the Master Landlord (which remains the obligation of the Sublessor). 2.3 Representations: Sublessor represents that the Master Lease is in full force and effect and that no default exists thereunder. Sublessee represents that it has received, read, and understands the terms of the Master Lease.

3. FINANCIAL TERMS

3.1 Rent: Sublessee shall pay to Sublessor a monthly rent of $[Dollar Amount], due on the [Day] of each calendar month. 3.2 Security Deposit: Upon execution of this Agreement, Sublessee shall deposit with Sublessor the sum of $[Dollar Amount] as security for the faithful performance of this Agreement. 3.3 Term: The term of this Sublease shall commence on [Start Date] and terminate on [End Date], unless terminated earlier pursuant to the provisions of this Agreement or the Master Lease.

4. DEFAULT, TERMINATION, AND REMEDIES

4.1 Events of Default: An "Event of Default" occurs if: (a) Sublessee fails to pay Rent within [Number] days of the due date; or (b) Sublessee breaches any other material obligation herein and fails to cure such breach within 30 business days following written notice from Sublessor. 4.2 Remedies: Upon an Event of Default, Sublessor may: (a) terminate this Agreement upon written notice; (b) recover possession of the Subleased Premises; and (c) pursue any and all remedies available at law or in equity, including recovery of damages and legal fees. 4.3 No Waiver: Failure of either party to exercise any right hereunder shall not constitute a waiver of such right or future breaches.

5. BOILERPLATE LEGAL PROVISIONS

5.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable. 5.2 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, written or oral. 5.3 Force Majeure: Neither party shall be liable for failure to perform due to acts of God, war, pandemic, or government regulation, provided that such party gives prompt notice of the delay. 5.4 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. 5.5 Dispute Resolution: Any dispute arising out of this Agreement shall be submitted to binding arbitration in [City, State] in accordance with the rules of the American Arbitration Association.
