1. PARTIES & DEFINITIONS
This Master Equipment Rental Agreement (the "Agreement") is entered into and made effective as of [Date] (the "Effective Date"), by and between:

- "Delivery Date": The date on which the Equipment is transferred to the possession of Lessee or a designated common carrier.
2. OPERATIVE CLAUSES & TERMS
1. Lease of Equipment
Lessor hereby agrees to lease to Lessee, and Lessee hereby agrees to lease from Lessor, the Equipment subject to the terms and conditions set forth in this Agreement and Schedule A.
2. Rental Fees, Invoicing, & Payment Terms
- Fee Calculation: Lessee shall pay the Rental Fee specified in Schedule A without offset, counterclaim, or deduction of any kind.
- Invoicing & Terms: Lessor shall invoice Lessee on a
[Monthly / Weekly / Bi-Weekly]basis. Invoices are due and payable within[Number]days of the invoice date (Net[Number]). - Late Charges: Any delinquent amounts shall accrue interest at the lesser of eighteen percent (18%) per annum or the maximum rate permitted by applicable law, calculated daily and compounded monthly.
- Taxes: Lessee shall pay all municipal, state, and federal sales, use, excise, personal property, and other taxes assessed in connection with the Equipment, its delivery, operation, or return, excluding taxes based solely on Lessor’s net income.
3. Delivery, Inspection, & Acceptance
- Risk of Loss: Delivery shall be deemed complete upon transfer of physical custody of the Equipment to Lessee or its agent. Risk of loss, damage, destruction, or theft transfers entirely to Lessee upon delivery.
- Inspection: Lessee shall inspect the Equipment within

Unless Lessee provides written notice of any defect, damage, or non-conformance to Lessor within said timeframe, the Equipment shall be conclusively presumed to be in good working order, condition, and repair, and Lessee shall be deemed to have irrevocably accepted the Equipment.
4. Use, Operation, & Maintenance
- Lawful Use: Lessee shall operate the Equipment in strict compliance with all applicable federal, state, and local laws, ordinances, and regulatory standards, as well as the manufacturer’s operational manuals and safety guidelines.
- Qualified Operators: Lessee shall ensure the Equipment is operated exclusively by certified, trained, and competent personnel.
- Location: The Equipment shall be utilized exclusively at
[Operational Site Address]and shall not be relocated without Lessor’s prior written consent. - Maintenance: Lessee, at its sole cost and expense, shall maintain the Equipment in the same condition as received, normal wear and tear excepted. 5. Risk of Loss, Damage, & Insurance
- Damage/Loss: Lessee assumes all risk of loss, damage, destruction, or theft of the Equipment from any cause whatsoever during the Rental Period. In the event of damage or loss, Lessee shall immediately notify Lessor and shall, at Lessor’s option, either: (a) repair the Equipment to its pre-loss condition at Lessee's expense, or (b) pay Lessor the full replacement value of the Equipment.
- Insurance Requirements: Throughout the Rental Period, Lessee shall, at its own expense, maintain:
- Commercial General Liability Insurance (minimum policy limit of
$1,000,000per occurrence /$2,000,000aggregate) naming Lessor as an additional insured. - Property / Inland Marine Insurance covering the Equipment for its full replacement value, naming Lessor as loss payee.

- Certificates of Insurance: Lessee shall furnish certificates evidencing such coverage to Lessor prior to the Delivery Date.
6. Return of Equipment
- Condition on Return: Upon the expiration or termination of the Rental Period, Lessee shall return the Equipment to Lessor’s facility at
[Return Facility Address]in the same condition as received, ordinary wear and tear excepted, cleaned, fully fueled (if applicable), and fully operational. - Failure to Return: If Lessee fails to return the Equipment upon expiration of the Rental Period, Lessee shall continue to pay the daily Rental Fee plus an administrative surcharge of fifty percent (50%) per day until the Equipment is returned or replaced in full.
7. Warranties & Limitation of Liability
- DISCLAIMER: LESSOR LEASES THE EQUIPMENT "AS IS" AND "WITH ALL FAULTS." LESSOR MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE EQUIPMENT, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
- Limitation of Liability: In no event shall Lessor be liable to Lessee for any indirect, incidental, special, punitive, or consequential damages (including lost profits or operational downtime) arising out of or related to this Agreement or the use of the Equipment, regardless of the legal theory asserted. Lessor’s aggregate liability under this Agreement shall not exceed the total Rental Fees actually paid by Lessee under Schedule A.
8. Default & Remedies
- Events of Default: Lessee shall be in default if: (a) Lessee fails to pay any Rental Fee when due; (b) Lessee breaches any other provision of this Agreement and fails to cure such breach within five (5) days of written notice; (c) Lessee becomes insolvent, files for bankruptcy, or ceases operations.
- Remedies: Upon the occurrence of an Event of Default, Lessor may, at its sole discretion and without notice or legal process: (a) Terminate this Agreement; (b) Declare all future Rental Fees immediately due and payable; (c) Enter the premises where the Equipment is located and repossess the same without liability for trespass; and (d) Pursue any other remedy available at law or in equity.
9. Miscellaneous
- Governing Law & Venue: This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of
[State], without regard to its conflict of laws principles.
