2. Engagement and Background

The Client desires to engage the Service Provider to provide bookkeeping services, and the Service Provider agrees to provide such services, in accordance with the terms and conditions set forth in this Agreement and the attached schedules.

3. Scope of Services

3.1. The Service Provider shall perform the bookkeeping services for the Client as detailed in Schedule A – Scope of Services, which is attached hereto and forms an integral part of this Agreement.

3.2. Any services requested by the Client outside the scope defined in Schedule A shall be subject to a separate written agreement or amendment to this Agreement and may incur additional fees.

4. Term and Termination

4.1. Commencement Date: This Agreement shall commence on the Effective Date stated above.

9. Privacy

9.1. The Service Provider acknowledges its obligations under the Australian Privacy Act 1988 (Cth) and the Australian Privacy Principles (APPs).

9.2. The Service Provider agrees to handle all personal information obtained from the Client in accordance with its privacy policy and the APPs. The Service Provider shall not use or disclose personal information for any purpose other than providing the services or as required by law.

9.3. The Client warrants that it has obtained all necessary consents for the Service Provider to collect, use, and disclose any personal information provided to the Service Provider for the purposes of this Agreement.

10. Data Security

The Service Provider shall implement and maintain reasonable technical and organisational security measures to protect Client data and information from unauthorised access, disclosure, alteration, or destruction. The Service Provider shall notify the Client immediately of any suspected or actual data breach.

11. Limitation of Liability

11.1. The Service Provider's liability for any claim arising out of or in connection with this Agreement, whether in contract, tort (including negligence), or otherwise, shall be limited to the total fees paid by the Client to the Service Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim.

11.2. The Service Provider shall not be liable for any indirect, incidental, special, or consequential loss or damage, including loss of profits, revenue, data, or goodwill, howsoever arising, even if advised of the possibility of such loss or damage.

11.3. This limitation of liability does not apply to liability for fraud, wilful misconduct, or any liability that cannot be excluded or limited by law.

12. Intellectual Property
