2. PARTIES & DEFINITIONS

This Parking Space Lease Agreement (the "Agreement") is entered into and made effective as of [Date], by and between:

3. OPERATIVE CLAUSES & TERMS

Section 1: Grant of License & Space Description

Section 2: Term

Section 5: Risk of Loss, Indemnification & Insurance

5.1 Assumption of Risk: Use of the Parking Space is entirely at the sole risk of Licensee. Licensor, property owners, and their respective agents assume no responsibility or liability whatsoever for any theft, vandalism, fire, water damage, malicious mischief, collision, or damage of any kind to Licensee's vehicle or any personal property left therein. 5.2 Indemnification: Licensee agrees to defend, indemnify, and hold harmless Licensor, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, or costs (including reasonable attorneys' fees) arising out of or resulting from Licensee's use of the Parking Space or Facility, including any environmental contamination or fluid leaks from Licensee's vehicle. 5.3 Insurance: Licensee represents and warrants that the vehicle parked in the Parking Space is covered by a valid policy of automobile liability and property damage insurance meeting or exceeding the minimum statutory requirements of the State of [State].

Section 6: Default & Remedies

6.1 Events of Default: The occurrence of any of the following shall constitute a material default by Licensee: (a) Failure to pay the Parking Fee or any other charges when due; (b) Violation of any operational rule or regulation; (c) Unauthorized transfer or assignment of this Agreement. 6.2 Remedies: Upon default, Licensor may, at its sole discretion and without notice: (a) Terminate this Agreement immediately; (b) Tow, boot, or immobilize the vehicle at Licensee's sole expense; (c) Retain the Security Deposit to offset unpaid fees or damages.

Section 7: Termination

7.1 Convenience Termination: Either Party may terminate this Agreement for any reason by providing at least thirty (30) days' prior written notice to the other Party. 7.2 Vacating the Space: Upon expiration or termination of this Agreement, Licensee shall immediately remove their vehicle and all personal property from the Facility. Any property left behind shall be deemed abandoned and disposed of by Licensor at Licensee's expense.

Section 8: General Provisions

8.1 Assignment: Licensee shall not assign, sublease, or transfer this Agreement or any rights to the Parking Space. 8.2 Governing Law: This Agreement shall be construed, interpreted, and governed by the laws of the State of [State], without regard to its conflict of laws principles. 8.3 Entire Agreement: This Agreement constitutes the entire understanding between the Parties concerning the subject matter hereof and supersedes all prior negotiations, representations, or agreements.
