5. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Document Preparation:

    • Open this template in Microsoft Word or Google Docs.
    • Locate all bracketed text fields (e.g., [Company Full Legal Name], [Amount in USD/GBP], [Effective Date]) and replace them with the correct transaction data. Ensure currency is standardized to GBP (or USD, depending on transaction profile) throughout the text.
    • Select the appropriate repayment structure in Clause 2.1 (Installments vs. Bullet/Demand) and delete the unselected option.
  2. Verification of Signatory Authority:

    • For Corporate Entities: Verify via Companies House (UK) or relevant registry that the individual signing on behalf of the Borrower or Lender has the requisite actual or apparent authority. If executing as a deed under English law (requiring two directors, or one director in the presence of a witness), ensure proper execution formalities are met.
    • For Individuals: Verify identity via standard AML/KYC protocols (passport/utility bill) prior to funds disbursement.
  3. Digital or Wet-Ink Execution:

    • Digital Signing (Recommended for speed and audit trails): Upload the finalized PDF to an enterprise-grade digital signature platform such as DocuSign or Adobe Sign. Ensure multi-factor authentication or robust electronic signature verification is enabled.
    • Wet-Ink Execution: Print two original hard copies. Ensure all signatures are witnessed where required by corporate governance rules or if the instrument is structured as a deed.
  4. Post-Execution Filing & Record Retention:

    • Security Registrations (Critical): If this Note is secured by corporate assets (e.g., debenture or fixed/floating charge), ensure Form MR01 (Particulars of a charge) is filed with Companies House within 21 days of creation under the UK Companies Act 2006 to maintain priority against liquidators and administrators.
    • Record Keeping: Store executed digital copies in an immutable legal repository or document management system with role-based access control. Retain original wet-ink copies (if applicable) in a secure fireproof physical archive for a minimum of six (6) years following full settlement of the debt (to align with the UK Limitation Act 1980 limitation period for simple contracts).
