STEP-BY-STEP EXECUTION AND FILING GUIDE

  1. Information Completion: Open the template in your word processor. Use the "Find and Replace" function to swap all bracketed terms (e.g., [Amount in USD]) with your specific transaction data.
  2. Reviewing Authority: Ensure the signatory for the Borrower and Lender possesses the corporate authority to bind their respective entities. If a corporation is involved, confirm that the signatory is an officer (CEO, CFO, or authorized Treasurer).
  3. Digital Execution: For remote execution, upload the finalized PDF to a secure e-signature platform such as DocuSign, Adobe Sign, or HelloSign. Ensure the "Audit Trail" feature is enabled to maintain a record of the IP address and timestamp of the signature for evidentiary purposes.
  4. Notarization (Optional): While not required for most private promissory notes, having the document notarized creates a "self-authenticating" document, which facilitates easier enforcement in court if a dispute arises.
  5. Record Retention: Save the executed original in a secure digital repository (cloud storage with limited access) and provide a digital copy to the counterparty immediately upon execution. Physical originals, if used, should be stored in a fire-proof safe.
