OPERATIVE CLAUSES

1. Principal Sum and Interest Rate

1.1 Principal Amount. For value received, Maker promises to pay to the order of Holder the principal sum of [Amount in USD] ($[Numeric Amount]), together with interest accrued thereon in accordance with the terms of this Note. 1.2 Interest Rate. The unpaid principal balance of this Note shall bear interest at the rate of [Interest Rate, e.g., 5.0]% per annum (calculated on the basis of a 365-day year and the actual number of days elapsed), or the maximum rate permitted by applicable law, whichever is less, commencing on the Effective Date and continuing until this Note is paid in full.

2. Repayment Terms and Schedule

2.1 Maturity Date. The entire outstanding principal balance of this Note, together with all accrued and unpaid interest and any other fees or charges hereunder, shall be due and payable in full on or before [Maturity Date] (the "Maturity Date"). 2.2 Installment Payments (If Applicable). Maker shall repay the principal and interest in installments as follows: [Insert payment schedule details, e.g., Monthly installments of $X.XX commencing on [Date], or state "N/A - Bullet Repayment at Maturity"]. 2.3 Application of Payments. All payments made under this Note shall be applied first to the payment of any late charges or collection costs due hereunder, second to the payment of accrued and unpaid interest, and third to the reduction of the outstanding principal balance. 2.4 Method of Payment. All payments due under this Note shall be made in lawful money of the United States of America in immediately available funds, delivered to Holder at Holder's address set forth above, or at such other place or via such electronic wire transfer instructions as Holder may designate in writing to Maker from time to time.

3. Prepayment Privileges

Maker shall have the right to prepay the principal amount of this Note, in whole or in part, at any time and from time to time, without premium or penalty. Any partial prepayment shall be applied against the principal installments last maturing and shall not postpone the due date of any subsequent regular installments unless expressly agreed to in writing by Holder.

4. Default and Acceleration

4.1 Events of Default. The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note: (a) Failure of Maker to pay any principal, interest, or other fee due under this Note within [Grace Period, e.g., ten (10)] calendar days of its due date; (b) The filing of a petition by or against Maker under any bankruptcy, insolvency, reorganization, or relief of debtors act, or the appointment of a receiver, trustee, or liquidator for Maker or any of Maker's property; (c) The making by Maker of a general assignment for the benefit of creditors; or (d) Any material breach, misrepresentation, or default by Maker under any security agreement, pledge agreement, or other collateral document executed in connection with this Note. 4.2 Acceleration of Debt. Upon the occurrence of an Event of Default, and at any time thereafter (such default continuing), Holder may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest thereon, immediately due and payable, without presentment, demand, protest, or notice of any kind (all of which are hereby expressly waived by Maker).

5. Default Interest and Late Charges

5.1 Late Charge. If any payment of principal or interest is not received by Holder within [Grace Period] calendar days after the date it is due, Maker shall pay to Holder a late charge equal to [Late Fee Percentage, e.g., 5]% of the overdue payment amount, or the maximum amount permitted by applicable law, to compensate Holder for the costs of servicing the delinquency. 5.2 Default Rate. Upon the occurrence of an Event of Default, and regardless of whether Holder accelerates the maturity of this Note, the outstanding principal balance shall bear interest at the lesser of [Default Interest Rate, e.g., 12.0]% per annum or the maximum rate permitted by applicable law (the "Default Rate"), until all Events of Default are fully cured.

No failure or delay on the part of Holder in exercising any right, power, or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof.

9. Costs of Collection and Attorneys' Fees

If this Note is placed in the hands of an attorney for collection after an Event of Default, or if suit is instituted to collect this Note or enforce any of its terms, Maker promises to pay to Holder all reasonable costs of collection, including, without limitation, reasonable attorneys' fees, court costs, and legal expenses incurred by Holder, whether or not litigation is formally commenced.

    • Locate all bracketed text fields (e.g., [Amount in USD], [State], [Effective Date]) and replace them with the exact verified factual data. Ensure numerical and written currency amounts match precisely.
    • Select and finalize Section 6 (choose either Secured or Unsecured Option; delete the unused option).
  2. Signatory Authority Verification:

  4. Collateral Perfection (If Applicable):

    • If Section 6 (Option A - Secured Note) is selected, ensure that the accompanying Security Agreement is executed simultaneously and that UCC-1 financing statements are duly filed with the appropriate state filing office (typically the Secretary of State where the debtor is organized).
  5. Record Retention & Compliance:

    • Store the fully executed PDF in a secure, encrypted document repository with strict access controls. Retain the instrument for the statutory limitations period applicable to written contracts following the date of full repayment or final judicial resolution.
