SECURED PROMISSORY NOTE (AUTOMOBILE LOAN)

Document ID: PN-AUTO-2023-V1.0
Effective Date: [Effective Date]
Governing Jurisdiction: State of [State], County of [County]

1. STATUTORY & LEGAL COMPLIANCE NOTICE

CRITICAL LEGAL NOTICE: This Promissory Note is an institutional-grade financial instrument designed to evidence a secured debt obligation arising from the acquisition or refinancing of a motor vehicle. Financial contracts of this nature are subject to extensive federal and state statutory frameworks, including, but not limited to, the Truth in Lending Act (TILA), the Equal Credit Opportunity Act (ECOA), state uniform commercial codes (specifically UCC Article 9 regarding secured transactions), and state-specific usury and motor vehicle finance laws.

The parties acknowledge that the drafter of this document acts solely as a legal architect providing a structural framework and does not provide localized legal, tax, or financial counsel. Failure to properly record security interests, perfect liens on motor vehicle titles, or comply with local maximum interest rate caps (usury laws) may render certain provisions of this Note unenforceable or result in the loss of priority status regarding the collateral. Independent legal and financial counsel should be retained prior to execution.

2. PARTIES & RECITALS

THIS SECURED PROMISSORY NOTE (the "Note") is entered into as of [Effective Date] (the "Effective Date"), by and between the parties defined below:

  • LENDER: [Lender Full Legal Name], having a principal place of residence or business located at [Lender Principal Address] (hereinafter referred to as the "Lender").
  • BORROWER: [Borrower Full Legal Name], having a principal place of residence or business located at [Borrower Principal Address] (hereinafter referred to as the "Borrower").

RECITALS

WHEREAS, the Borrower has requested that the Lender extend financial accommodation in the form of a loan for the purpose of acquiring or refinancing a specific motor vehicle; and
WHEREAS, the Lender is willing to extend such loan to the Borrower strictly upon the terms, covenants, and conditions hereinafter set forth, and secured by the collateral described herein;

NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Principal Sum and Payment Terms

For value received, the Borrower promises to pay to the order of the Lender the principal sum of [Amount in USD] ($[Numeric Amount]), together with interest thereon calculated in accordance with the terms of this Note.

2. Interest Rate and Calculation

Subject to the limitations of applicable state usury laws, the unpaid principal balance of this Note shall bear interest at the fixed rate of [Interest Rate Percentage] percent ([Numeric Rate]%) per annum, calculated on the basis of a 360-day year comprising twelve (12) thirty-day months. Interest shall begin to accrue on the Effective Date and shall continue to accrue until the full and final payment of all principal and accrued interest has been received by the Lender.

3. Repayment Schedule and Maturity Date

The principal and interest of this Note shall be due and payable in lawful money of the United States of America in installments as follows:

  • Installment Payments: The Borrower shall make consecutive monthly installment payments of [Monthly Payment Amount in USD] ($[Numeric Monthly Amount]) on the [Day of Month, e.g., 1st] day of each and every calendar month, commencing on [First Payment Date], and continuing until [Final Payment Date] (the "Maturity Date"), at which time the remaining unpaid principal balance, together with all accrued and unpaid interest and any other charges provided for herein, shall be due in full.
  • Application of Payments: All payments remitted by the Borrower shall be applied first to any late charges, collection costs, or fees due under this Note, second to accrued and unpaid interest, and the remainder to the reduction of the principal balance.
  • Place of Payment: All payments shall be delivered to the Lender at the address set forth in the preamble of this Note, or at such other place as the Lender may designate in writing to the Borrower from time to time.

4. Vehicle Collateral & Security Interest

To secure the prompt, complete, and punctual payment and performance of all obligations of the Borrower under this Note, the Borrower hereby grants, assigns, pledges, and hypothecates to the Lender a first-priority security interest in the motor vehicle described below (the "Collateral"):

  • Make: [Vehicle Make, e.g., Ford]
  • Model: [Vehicle Model, e.g., F-150]
  • Year: [Vehicle Year, e.g., 2021]
  • VIN (Vehicle Identification Number): [17-Character VIN]
  • **License Plate / Registration No.:[License Plate Number] ([State of Registration])`

The Borrower shall execute and deliver to the Lender, concurrently with the execution of this Note, all documents, certificates of title applications, and financing statements (including UCC-1 financing statements) reasonably requested by the Lender to perfect, protect, and maintain the Lender’s first-priority security interest in the Collateral.

5. Prepayment Privileges

The Borrower reserves the right to prepay the principal amount outstanding under this Note, in whole or in part, at any time without penalty. Any partial prepayment shall be applied against the principal balance outstanding and shall not postpone the due date of any subsequent monthly installments, nor shall it change the amount of such installments, unless the Lender expressly agrees in writing to a modification of the payment schedule.

6. Default and Acceleration of Maturity

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

  • Failure to Pay: The failure of the Borrower to pay any installment of principal or interest within [Number of Grace Period Days, e.g., 10] calendar days of its due date.
  • Breach of Covenants: The failure of the Borrower to observe, perform, or comply with any other covenant, agreement, or warranty contained in this Note or any related security agreement.
  • Insolvency or Bankruptcy: The filing of a petition by or against the Borrower under any provisions of the federal Bankruptcy Code or any state insolvency law, or the appointment of a receiver, trustee, or liquidator for all or any substantial part of the Borrower’s assets.
  • Loss or Damage to Collateral: The actual or threatened destruction, severe damage, seizure, or unpermitted transfer or encumbrance of the Collateral, or the failure of the Borrower to maintain continuous, comprehensive insurance coverage on the Collateral as required herein.

Upon the occurrence of an Event of Default, and at any time thereafter during the continuance thereof, the Lender may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and any other sums due hereunder, immediately due and payable (the "Acceleration"), without notice, presentment, protest, or demand of any kind, all of which are hereby expressly waived by the Borrower.

7. Remedies Upon Default

Upon the occurrence of an Event of Default and the acceleration of maturity, the Lender shall have all the rights and remedies of a secured party under the Uniform Commercial Code (UCC) of the governing jurisdiction, in addition to all other rights and remedies available at law or in equity. Such remedies shall include, without limitation, the right to:

  • Take immediate possession of the Collateral without judicial process, provided that such repossession can be accomplished without a breach of the peace, or by judicial process;
  • Require the Borrower to assemble the Collateral and make it available to the Lender at a designated place; and
  • Sell, lease, or otherwise dispose of the Collateral at public or private sale, with or without notice, and apply the proceeds of such disposition toward the reasonable expenses of retaking, holding, preparing for sale, selling, and the satisfaction of the debt evidenced by this Note.

8. Borrower Covenants Regarding Collateral

The Borrower covenants and agrees that, so long as any portion of this Note remains unpaid:

  • Maintenance: The Borrower shall maintain the Collateral in good operating condition and repair, normal wear and tear excepted, and shall not permit the Collateral to be subjected to abuse, misuse, or neglect.
  • Insurance: The Borrower shall obtain and maintain comprehensive automotive insurance (including collision, comprehensive, and liability coverage) naming the Lender as an additional insured and loss payee. The insurance policy shall provide that it may not be canceled or materially altered without at least thirty (30) days' prior written notice to the Lender.
  • Encumbrances and Transfers: The Borrower shall not sell, assign, transfer, lease, encumber, or grant any further security interest in the Collateral to any third party without the express prior written consent of the Lender.
  • Taxes and Fees: The Borrower shall promptly pay all taxes, license fees, registration fees, and assessments levied or assessed upon or against the Collateral.

9. Late Charges and Collection Costs

If any monthly installment is not received by the Lender within [Number of Grace Period Days] calendar days after its due date, a late charge of [Late Fee Percentage] percent ([Numeric Late Fee]%) of the delinquent installment amount, or the maximum amount permitted by applicable law, whichever is less, shall be immediately due and payable. Furthermore, if this Note is placed in the hands of an attorney for collection after default, or if collection is enforced through any legal proceeding, the Borrower promises to pay all reasonable costs of collection, including, without limitation, reasonable attorneys' fees and court costs.

10. Waivers and Consents

The Borrower and all endorsers, sureties, and guarantors of this Note jointly and severally waive presentment, demand for payment, notice of dishonor, protest, notice of protest, and any and all other notices or demands whatsoever in connection with the delivery, acceptance, performance, default, or enforcement of this Note. No failure or delay on the part of the Lender in exercising any right, power, or privilege under this Note shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

11. Governing Law and Jurisdiction

This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located within [County] County, [State], for any actions, suits, or proceedings arising out of or relating to this Note.

12. Miscellaneous Provisions

  • Severability: If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The remaining provisions of this Note shall remain in full force and effect.
  • Entire Agreement: This Note constitutes the entire agreement between the Borrower and the Lender with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether oral or written.
  • Amendments: No modification, amendment, or waiver of any provision of this Note shall be effective unless executed in writing and signed by both the Borrower and the Lender.
  • Binding Effect: This Note shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, personal representatives, successors, and permitted assigns.

5. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Customization

Open this document in a word processor (e.g., Microsoft Word or Google Docs). Locate all bracketed placeholders (such as [Lender Full Legal Name], [Amount in USD], and vehicle details) and replace them with accurate, verified information. Ensure that numeric amounts match their written counterparts.

Step 2: Verification of Vehicle Data and Titling

Verify the Vehicle Identification Number (VIN) directly from the physical vehicle or the current certificate of title. Inaccurate VIN entry can invalidate the perfection of the security interest. Confirm state-specific requirements regarding the recording of liens on motor vehicle titles with the local Department of Motor Vehicles (DMV) or equivalent agency.

Step 3: Signatory Authority Verification

Confirm that the individuals signing on behalf of the Lender and Borrower possess the legal capacity and corporate or personal authority to bind their respective entities or estates.

Step 4: Execution via Digital Signature or Wet Ink

Execute the document using an institutional-grade electronic signature platform (e.g., DocuSign or Adobe Sign) ensuring an audit trail is generated, or execute via traditional wet-ink signatures in the presence of a notary public if required by local recording statutes.

Step 5: Perfection of Security Interest (Filing)

Promptly submit the necessary documentation (such as a UCC-1 financing statement filed with the Secretary of State and/or application for notation of lien on the vehicle's certificate of title) to perfect the Lender's security interest in the Collateral.

Step 6: Record Retention

Store the fully executed original of this Note and all related security documentation in a secure, fireproof physical vault or an encrypted digital repository with immutable access controls for the duration of the loan term plus the applicable statute of limitations.
