NOW, THEREFORE, in consideration of the mutual covenants contained herein, the educational services rendered or to be rendered, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Maker unconditionally promises to pay to the order of the Institution the Principal Sum, together with interest and all other charges, in strict accordance with the terms of this Note.

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1: Principal Sum and Interest Rate

1.1 Principal Sum: For value received, the Maker unconditionally promises to pay to the order of the Institution the principal sum of [Amount in USD] United States Dollars (U.S. $[Numeric Amount]), or so much thereof as may be advanced from time to time, representing the unpaid tuition and mandatory institutional fees associated with the Maker’s enrollment in the educational program designated as [Name of Educational Program/Course] (the "Principal Amount").

1.2 Interest Rate: The outstanding principal balance of this Note shall bear interest at the fixed rate of [Interest Rate Percentage, e.g., 5.5]% per annum (the "Contract Rate"). Interest shall be calculated on the basis of a 360-day year consisting of twelve (12) thirty-day months and shall accrue daily on the actual unpaid principal balance from the Effective Date until this Note is paid in full.

Section 2: Repayment Terms and Amortization Schedule

2.1 Installment Payments: The Maker promises to repay the Principal Amount, together with accrued and unpaid interest thereon, in installments as follows:

  • Payment Structure: [Insert payment structure, e.g., Sixty (60) equal monthly installments of U.S. $[Monthly Payment Amount]]
  • First Payment Due Date: [First Payment Due Date, e.g., the 1st day of the month following the Effective Date]
  • Subsequent Payments: Due on the [Day of the month, e.g., 1st] day of each and every consecutive calendar month thereafter until the Maturity Date.

2.2 Maturity Date: The entire outstanding principal balance of this Note, together with all accrued and unpaid interest, late charges, collection costs, and any other fees provided for herein, shall be due and payable in full on [Final Maturity Date] (the "Maturity Date"), unless accelerated earlier in accordance with the default provisions of this Note.

2.3 Application of Payments: All payments made under this Note shall be applied first to any costs of collection, enforcement fees, and late charges then due, second to accrued and unpaid interest, and the remainder to the reduction of the Principal Amount.

2.4 Method of Payment: All payments shall be made in lawful money of the United States of America by electronic automatic clearing house (ACH) transfer, credit card, wire transfer, or check delivered to the Institution’s principal business address or via the Institution’s designated online payment portal, as directed in writing by the Institution.

Section 3: Prepayment Privileges

3.1 Right to Prepay: The Maker reserves the right to prepay the principal amount outstanding under this Note, in whole or in part, at any time without penalty or premium.

3.2 Effect of Prepayment: Any partial prepayment shall be applied against the remaining principal installments in the inverse order of their maturity or as otherwise elected by the Institution and shall not postpone the due date of any subsequent scheduled installment unless expressly agreed to in writing by the Institution. Partial prepayments shall not excuse the Maker from making the regularly scheduled monthly installment payments until the principal and interest are paid in full.

Section 4: Late Charges and Default Interest

4.1 Late Charges: If any installment payment is not received by the Institution within [Number of days, e.g., ten (10)] calendar days after the date it is due, the Maker shall pay to the Institution a late charge equal to [Late charge percentage or flat fee, e.g., 5% of the overdue installment / U.S. $50.00] to defray the administrative costs of handling the delinquency.

4.2 Default Rate: Upon the occurrence and during the continuance of an Event of Default (as defined herein), the unpaid principal balance of this Note shall, at the option of the Institution and without prior notice to the Maker, bear interest at the lesser of [Default interest rate, e.g., 18%] per annum or the maximum rate permitted by applicable law (the "Default Rate"), from the date of default until the obligation is paid in full.

Section 5: Events of Default

The occurrence of any one or more of the following events shall constitute an immediate and material "Event of Default" under this Note:

  1. Failure to Pay: The Maker fails to pay any principal, interest, late charge, or other sum due under this Note within [Number of days, e.g., fifteen (15)] calendar days of its scheduled due date.

  3. Insolvency and Bankruptcy: The Maker or Guarantor makes an assignment for the benefit of creditors, files a petition in bankruptcy, is adjudicated bankrupt or insolvent, petitions or applies to any tribunal for the appointment of a custodian, receiver, or trustee for all or a substantial part of its assets, or commences any proceeding under any bankruptcy, reorganization, arrangement, readjustment of debt, dissolution, or liquidation law of any jurisdiction.
  4. False Representations: Any representation, warranty, or statement made or furnished by or on behalf of the Maker or Guarantor to the Institution in connection with this Note or the underlying enrollment proves to have been false, incorrect, or misleading in any material respect when made.
  5. Dismissal from Institution: The Maker is expelled, suspended, or officially withdrawn from the Institution, whether voluntarily or involuntarily, prior to the completion of the educational program.

Section 6: Acceleration of Debt and Remedies

6.1 Acceleration: Upon the occurrence of any Event of Default, the Institution may, at its sole option and without notice, demand, protest, or presentment of any kind (all of which are hereby expressly waived by the Maker), declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest, late charges, and all other sums secured hereby, to be immediately due and payable.

6.2 Withholding of Academic Services and Credentials: In addition to all other remedies available at law or in equity, upon the occurrence of an Event of Default, the Institution reserves the absolute right to withhold academic transcripts, grade reports, diplomas, certificates, and institutional endorsements, and to deny registration for subsequent academic terms until all outstanding payment obligations are satisfied in full.

6.3 Collection Costs and Attorney’s Fees: If this Note is placed in the hands of an attorney or collection agency for collection, or if suit is instituted, or if it is enforced through any judicial or administrative proceeding, the Maker and Guarantor jointly and severally agree to pay all reasonable costs of collection, including, without limitation, reasonable attorneys’ fees, court costs, arbitration fees, and expert witness fees incurred by the Institution.

  • This Note constitutes a legal, valid, and binding obligation of the Maker, enforceable against the Maker in accordance with its terms.
  • The execution and delivery of this Note do not violate any applicable law, regulation, or contractual obligation to which the Maker is a party.

7.2 Notice of Change of Circumstances: The Maker and Guarantor shall immediately notify the Institution in writing of any change in their residential address, primary telephone number, email address, or employment status during the term of this Note.

Section 8: Guaranty (If Applicable)

8.2 Nature of Guaranty: This is a guaranty of payment and performance, and not of collection. The Institution shall not be required to exhaust any remedies against the Maker or any collateral before proceeding against the Guarantor. The liability of the Guarantor is direct, primary, absolute, and continuing, and shall not be released, impaired, or affected by any extension of time, renewal, waiver, or modification granted by the Institution to the Maker.

Section 9: Dispute Resolution and Arbitration

9.1 Mandatory Arbitration: Any dispute, controversy, or claim arising out of, relating to, or in connection with this Note, including its formation, interpretation, performance, breach, termination, or validity, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Section 10: Governing Law and Venue

10.1 Governing Law: This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Province], without regard to its conflict of laws principles.

10.2 Jurisdiction and Venue: Subject to Section 9, each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County], [State], for any legal action, suit, or proceeding arising out of or relating to this Note.

Section 11: Miscellaneous Provisions

11.1 Severability: If any provision of this Note is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from this Note, and the remaining provisions shall remain in full force and effect.

11.2 Entire Agreement: This Note constitutes the entire agreement between the Institution, the Maker, and the Guarantor with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, understandings, negotiations, and discussions, whether oral or written.

11.3 Amendments and Waivers: No amendment, modification, or waiver of any provision of this Note shall be valid unless executed in writing and signed by an authorized representative of the Institution and the Maker.
