INSTITUTIONAL PROMISSORY NOTE & TUITION DEFERRED PAYMENT AGREEMENT

Document ID: PN-EDU-202X-01
Effective Date: [Effective Date]
Version: 4.2
Governing Jurisdiction: State of [State], United States

1. STATUTORY & LEGAL COMPLIANCE NOTICE

CLINICAL LEGAL DISCLAIMER: This Promissory Note is an institutional-grade legal instrument drafted for educational institutions, collegiate financial aid offices, and private lenders. Loan agreements, educational credit products, and student promissory notes are subject to extensive federal and state statutory frameworks, including but not limited to the Truth in Lending Act (TILA), the Higher Education Act of 1965 (HEA) as amended, the Equal Credit Opportunity Act (ECOA), state consumer protection acts, and state-specific usury ceilings.

The inclusion, modification, or exclusion of specific clauses—particularly regarding interest rates, late fees, acceleration, default triggers, and collection cost recovery—must be vetted against the laws of the jurisdiction in which the Maker resides and where the institution maintains its principal place of business. Legal counsel should be retained to review local statutory disclosures (such as TILA box requirements) prior to execution.

2. PARTIES & RECITALS

This Promissory Note and Tuition Deferred Payment Agreement (the "Note") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

MAKER (Student / Borrower):
[Student Full Legal Name], having a principal residential address at [Student Street Address, City, State, Zip] ("Maker"), and, if applicable, the Co-Maker/Guarantor identified below.

CO-MAKER / GUARANTOR (If Applicable):
[Co-Maker Full Legal Name], having a principal residential address at [Co-Maker Street Address, City, State, Zip] ("Co-Maker").

PAYEE (Institution / Lender):
[Institution Full Legal Name], a [State of Incorporation/Organization] [entity type, e.g., non-profit university / corporate entity], having its principal administrative office located at [Institution Street Address, City, State, Zip] ("Payee").

RECITALS:

WHEREAS, Maker is enrolled or has applied for enrollment at Payee’s educational institution and has incurred or will incur educational expenses, tuition, fees, room, board, and related academic charges;

WHEREAS, Maker has requested that Payee extend credit in the form of a deferred payment arrangement or institutional loan to assist Maker in financing said educational expenses;

WHEREAS, Payability and extension of credit by Payee are expressly conditioned upon the execution and delivery of this Note by Maker (and Co-Maker, if applicable) pursuant to the terms, covenants, and conditions set forth herein;

NOW, THEREFORE, for value received, the receipt and sufficiency of which are hereby acknowledged, Maker unconditionally promises to pay to the order of Payee the Principal Amount set forth below, together with accrued interest and all other charges, fees, and costs as provided herein.

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: PRINCIPAL AMOUNT & DISBURSEMENT

1.1 Principal Sum. For value received, Maker promises to pay to the order of Payee the principal sum of [Amount in USD] United States Dollars (U.S. $[Numerical Amount]), or so much thereof as may be disbursed from time to time, together with interest thereon calculated in accordance with the terms of this Note.

1.2 Purpose of Funds. The proceeds of this Note shall be applied exclusively toward the payment of Maker’s educational expenses, including tuition, mandatory fees, institutional housing, meal plans, and required course materials billed directly by Payee for the academic term(s) of [Academic Term, e.g., Fall 202X / Spring 202Y].

SECTION 2: INTEREST RATE & ACCRUAL MECHANICS

2.1 Interest Rate. The unpaid principal balance of this Note shall bear interest at a fixed rate of [Interest Rate Percentage] percent ([XX.XX]%) per annum. Alternatively, if designated as variable, the interest rate shall be equal to [Index Name, e.g., Prime Rate] plus [Margin Percentage] percent ([XX.XX]%) per annum, adjusted [Monthly/Quarterly/Annually], but in no event shall the interest rate exceed the maximum rate permitted by applicable law (the "Usury Ceiling").

2.2 Calculation of Interest. Interest shall be calculated on the basis of a 365-day year and the actual number of days elapsed. Interest shall begin to accrue on the date funds are disbursed or credited to Maker’s student account and shall continue to accrue until this Note is paid in full.

2.3 Capitalization of Interest. Unpaid interest that accrues during periods of authorized deferment, forbearance, or grace, if permitted under a separate written addendum executed by Payee, may be capitalized (added to the principal balance) on [Capitalization Date, e.g., the first day of each calendar quarter / upon expiration of the grace period], and thereafter shall bear interest at the same rate.

SECTION 3: REPAYMENT TERMS & AMORTIZATION

3.1 Repayment Schedule. Maker shall repay the principal amount and accrued interest of this Note in installments as follows:

  • Option A (Installment Plan): Consecutive monthly installments of [Monthly Payment Amount in USD] U.S. Dollars ($[Numerical Amount]), commencing on [First Payment Due Date], and continuing on the same day of each successive month thereafter until [Maturity Date], at which time the entire remaining unpaid principal balance, together with all accrued and unpaid interest and fees, shall be due and payable in full.
  • Option B (Lump-Sum / Post-Graduation): A single lump-sum payment of the entire outstanding principal balance, plus all accrued and unpaid interest and administrative fees, due on or before [Lump-Sum Maturity Date, e.g., six (6) months post-graduation or withdrawal].

3.2 Application of Payments. All payments remitted by or on behalf of Maker shall be applied in the following order of priority:

  1. First, to the payment of any collection costs, legal fees, and administrative late charges then due;
  2. Second, to the payment of accrued and unpaid interest; and
  3. Third, to the reduction of the principal balance.

3.3 Method of Payment. All payments under this Note shall be made in lawful money of the United States of America via automated clearing house (ACH) transfer, online student account portal, electronic wire, or check drawn on a U.S. financial institution, directed to Payee at the address designated for notices or via Payee’s designated electronic payment processing portal.

SECTION 4: PREPAYMENT RIGHTS

4.1 Right to Prepay. Maker shall have the absolute right to prepay the principal amount of this Note, in whole or in part, at any time without penalty or premium.

4.2 Effect of Prepayment. Any partial prepayment shall not postpone the due date of any subsequent scheduled installment under Section 3, unless expressly agreed to in writing by Payee. Prepayments shall be applied immediately to the principal balance in inverse order of maturity or as otherwise directed by Payee in accordance with institutional policy.

SECTION 5: DEFAULT EVENTS & ACCELERATION

5.1 Events of Default. The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

  1. Failure to Pay: Maker fails to pay any principal, interest, or installment payment when due under this Note, and such failure continues for a period of [Grace Period Days, e.g., ten (10)] calendar days following the due date;
  2. Breach of Covenants: Maker or Co-Maker breaches or fails to perform any other covenant, term, or condition contained in this Note or any ancillary agreement executed in connection herewith;
  3. Misrepresentation: Any representation, warranty, or financial statement furnished by or on behalf of Maker or Co-Maker proves to have been materially false, misleading, or incomplete when made;
  4. Insolvency or Bankruptcy: Maker or Co-Maker makes an assignment for the benefit of creditors, files a petition in bankruptcy, is adjudicated insolvent, or has a receiver or trustee appointed for all or substantially all of their assets;
  5. Separation from Institution: Maker withdraws, is expelled, or is permanently suspended from Payee’s educational institution prior to the completion of the academic program, unless an explicit alternative repayment schedule is authorized in writing by Payee.

5.2 Acceleration of Maturity. Upon the occurrence of any Event of Default, and at any time thereafter while such default is continuing, Payee may, at its sole option and without notice or demand (notice and demand being expressly waived by Maker), declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest, late charges, and collection expenses, to be immediately due and payable in full.

SECTION 6: LATE CHARGES & COLLECTION COSTS

6.1 Late Payment Fees. If any installment or payment due under this Note is not received by Payee within [Late Grace Period, e.g., fifteen (15)] calendar days after its due date, Maker shall pay a late charge equal to [Late Fee Percentage, e.g., five percent (5%)] of the overdue payment amount, or U.S. $[Flat Late Fee Amount], whichever is greater, to the extent permitted by applicable law.

6.2 Default Interest Rate. Upon the occurrence of an Event of Default and acceleration of maturity, or upon maturity, the outstanding principal balance shall automatically bear interest at the lesser of [Default Interest Rate Percentage, e.g., twelve percent (12%)] per annum or the maximum rate permitted by applicable law (the "Default Rate"), until paid in full.

6.3 Cost of Collection and Attorneys' Fees. If this Note is placed in the hands of an attorney or collection agency for collection, or if suit is filed hereon, or if proceedings are instituted in bankruptcy, receivership, reorganization, or other legal proceedings, Maker and Co-Maker jointly and severally promise to pay all reasonable costs and expenses of collection, including, without limitation, reasonable attorneys' fees, court costs, arbitration fees, and disbursements incurred by Payee, whether or not litigation is formally commenced.

SECTION 7: REPRESENTATIONS & WARRANTIES

7.1 Maker Representations. Maker represents and warrants to Payee that:

  1. Capacity and Authority: Maker has full legal capacity, power, and authority to execute, deliver, and perform this Note;
  2. Binding Obligation: This Note constitutes a legal, valid, and binding obligation of Maker, enforceable against Maker in accordance with its terms;
  3. No Violation: The execution and delivery of this Note do not violate any law, regulation, order, or contractual obligation to which Maker is a party or by which Maker is bound.

7.2 Co-Maker / Guarantor Representations. If a Co-Maker executes this Note, Co-Maker represents and warrants that they have independently reviewed this Note, possess the financial capacity to fulfill the obligations hereunder, and acknowledge that their liability is primary, joint, and several with Maker.

SECTION 8: JOINT AND SEVERAL LIABILITY

8.1 Joint & Several Liability. If more than one party executes this Note as Maker or Co-Maker, the covenants, agreements, and obligations of all such parties hereunder shall be joint and several.

8.2 Waivers of Suretyship Defenses. Maker and Co-Maker (and any endorser, surety, or guarantor) jointly and severally waive presentment, demand, protest, notice of dishonor, notice of intent to accelerate, notice of acceleration, diligence in collecting, and any release of any party or collateral. Payee may, at its option and without notice, extend the time for payment, renew this Note, release any party liable hereon, or compromise any claim without discharging or releasing the liability of Maker, Co-Maker, or any surety.

SECTION 9: DISPUTE RESOLUTION & ARBITRATION

9.1 Negotiation and Mediation. In the event of any dispute, claim, or controversy arising out of or relating to this Note, including its formation, interpretation, breach, or enforcement, the parties agree to first engage in good-faith negotiations for a period of not less than thirty (30) calendar days following written notice of dispute by one party to the other.

9.2 Binding Arbitration. If the dispute is not resolved through negotiation, any unresolved controversy or claim shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted before a single neutral arbitrator in [City, State], and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

9.3 Waiver of Jury Trial. EACH PARTY HERETO IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LITIGATION DIRECTLY OR INDIRECTLY ARISING OUT OF, UNDER, OR IN CONNECTION WITH THIS NOTE.

SECTION 10: GOVERNING LAW & JURISDICTION

10.1 Governing Law. This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.

10.2 Consent to Jurisdiction. Subject to Section 9, each party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County] County, [State]`, for any legal action, suit, or proceeding arising out of or relating to this Note.
