The user acknowledges and agrees that the drafting entity and its agents disclaim any and all liability for the legal sufficiency, tax implications, or judicial enforceability of this instrument when altered, modified, or executed outside of strict compliance with applicable state, federal, and international laws. Usury laws, statutory grace periods, and formal execution requirements (such as notarization or witness attestation) vary significantly across jurisdictions and must be independently verified by the Parties prior to execution.

SECTION 2: PARTIES & RECITALS

For value received, the receipt and sufficiency of which are hereby acknowledged, the undersigned debtor ([Debtor Full Legal Name]), with a principal place of residence or business located at [Debtor Principal Address] ("Maker"), hereby unconditionally promises to pay to the order of [Creditor Full Legal Name], with a principal place of residence or business located at [Creditor Principal Address] ("Holder"), the aggregate principal sum of [Amount in USD] United States Dollars ($[Numeric Amount]), together with interest thereon calculated in accordance with the terms set forth herein.

SECTION 3: EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Principal Sum and Payment Structure

The Maker promises to pay to the order of the Holder the principal sum of [Amount in USD] ($[Numeric Amount]), disbursed on [Disbursement Date]. The indebtedness evidenced by this Promissory Note (the "Note") shall be payable strictly in accordance with the following payment schedule:

  • Installment Terms: Maker shall pay equal consecutive monthly installments of [Monthly Installment Amount in USD] ($[Numeric Amount]) commencing on [First Payment Date], and continuing on the same day of each successive calendar month thereafter, until [Maturity Date] (the "Maturity Date"), at which time the entire remaining unpaid principal balance, together with all accrued and unpaid interest and any other charges provided for herein, shall be due and payable in full.
  • Application of Payments: All payments made hereon shall be applied first to the payment of any late charges or collection costs incurred by the Holder, second to the payment of accrued and unpaid interest, and third to the reduction of the outstanding principal balance.

2. Interest Rate and Calculations

  • Stated Interest Rate: The unpaid principal balance of this Note shall bear interest at the fixed rate of [Interest Rate Percentage]% per annum. Alternatively, if designated as variable, the interest rate shall be equal to the Prime Rate published in The Wall Street Journal from time to time, plus a margin of [Margin Percentage]% per annum (the "Applicable Rate").
  • Calculation Methodology: Interest shall be calculated on the basis of a 360-day year consisting of twelve (12) 30-day months and charged for the actual number of days elapsed.
  • Default Interest Rate: Upon the occurrence of an Event of Default (as defined herein), and without notice or demand by the Holder, the outstanding principal balance and, to the extent permitted by applicable law, any overdue interest, shall bear interest at the maximum rate permitted by applicable law (the "Default Rate"), not to exceed [Maximum Legal Default Rate]% per annum, from the date of default until the obligation is paid in full, whether before or after judgment.

3. Prepayment Privileges

The Maker reserves the right to prepay this Note, in whole or in part, at any time and from time to time, without premium or penalty. Any partial prepayment shall be applied against the principal installments last maturing and shall not postpone the due date of any subsequent monthly installments required under Section 3(1) of this Note, unless expressly agreed to in writing by the Holder.

4. Events of Default

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

  • Failure to Pay: Maker fails to pay any installment of principal or interest within [Grace Period Days, e.g., 10] calendar days of the date when due.
  • Insolvency or Bankruptcy: Maker files a petition in bankruptcy, is adjudicated bankrupt or insolvent, makes an assignment for the benefit of creditors, seeks appointment of a receiver, trustee, or liquidator for all or a substantial part of its assets, or if any such proceeding is commenced against Maker and is not dismissed within sixty (60) days.
  • Breach of Covenants: Maker breaches any material covenant, warranty, or representation contained in this Note or any related security agreement, guaranty, or collateral document executed in connection herewith, and fails to cure such breach within thirty (30) days following written notice from Holder.
  • Cross-Default: Any default occurs under any other material indebtedness, promissory note, credit agreement, or financial obligation of Maker to Holder or any third-party financial institution.

5. Acceleration of Maturity

Upon the occurrence of any Event of Default, the Holder may, at its sole option and without notice, demand, or presentment of any kind (all of which are expressly waived by Maker), declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable. Failure to exercise this option shall not constitute a waiver of the right to exercise the same at any other time.

6. Collection Costs and Attorney’s Fees

If this Note is placed in the hands of an attorney for collection, or if suit is instituted to collect this Note or enforce any provision hereof, or if this Note is collected through bankruptcy, probate, receivership, or other judicial proceedings, the Maker promises to pay to the Holder all reasonable costs and expenses of collection, including, without limitation, reasonable attorneys’ fees, court costs, and expert witness fees, whether or not litigation is formally commenced.

7. Waivers and Consents

Maker and all endorsers, sureties, guarantors, and accommodation parties hereof severally waive presentment for payment, demand, notice of nonpayment, protest, notice of protest, notice of intent to accelerate, notice of acceleration, and all other notices or demands whatsoever in connection with the delivery, acceptance, performance, default, or enforcement of this Note. Maker consents to any and all extensions of time, renewals, modifications, releases of any party liable hereon, or releases of any security, without in any way affecting or discharging the liability of Maker or any guarantor.

8. Representations and Warranties

Maker hereby represents and warrants to Holder that:

  • Authority: Maker has full legal capacity, power, and authority to execute, deliver, and perform its obligations under this Note.
  • Binding Obligation: This Note constitutes a legal, valid, and binding obligation of Maker, enforceable against Maker in accordance with its terms.
  • No Conflicts: The execution and delivery of this Note do not violate any provision of any law, rule, regulation, order, or any agreement to which Maker is a party or by which Maker’s assets are bound.

9. Governing Law, Jurisdiction, and Venue

This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Province], without regard to its conflict of laws principles. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County Name] County, [State / Province], for any action, suit, or proceeding arising out of or relating to this Note.

10. Miscellaneous Provisions

  • Severability: If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The remaining provisions of this Note shall remain in full force and effect.
  • Entire Agreement: This Note constitutes the final, complete, and exclusive statement of the agreement between Maker and Holder with respect to the subject matter hereof, and supersedes all prior and contemporaneous oral or written negotiations, understandings, and agreements.
  • Amendments: No modification, amendment, waiver, or discharge of any provision of this Note shall be valid unless executed in writing and signed by the party against whom such modification, amendment, waiver, or discharge is sought to be enforced.
