PROMISSORY NOTE FOR PROFESSIONAL SERVICES AND DEFERRED COMPENSATION

Document ID: PN-PSDC-202X-01
Effective Date: [Effective Date]
Version: 1.0
Governing Jurisdiction: State of [State]

1. STATUTORY & LEGAL COMPLIANCE NOTICE

THIS IS A LEGALLY BINDING INSTRUMENT. THIS PROMISSORY NOTE EVIDENCES AN OBLIGATION TO PAY FOR PROFESSIONAL SERVICES RENDERED OR WORK PERFORMED. IT CONTAINS STRICT PROVISIONS REGARDING ACCELERATION, DEFAULT, INTEREST RATES, AND ATTORNEY'S FEES. THE PARTIES ACKNOWLEDGE THAT LAWS REGARDING USURY, STATUTES OF LIMITATIONS, AND NEGOTIABLE INSTRUMENTS VARY SIGNIFICANTLY ACROSS JURISDICTIONS. COUNSEL SHOULD BE CONSULTED PRIOR TO EXECUTION TO ENSURE FULL COMPLIANCE WITH APPLICABLE STATE AND FEDERAL LAWS.

2. PARTIES & RECITALS

FOR VALUE RECEIVED, the undersigned Maker, [Client Full Legal Name], with a principal place of residence or business located at [Client Principal Address] ("Maker"), hereby promises to pay to the order of [Company Full Legal Name], with a principal place of business located at [Company Principal Address] ("Payee"), the principal sum of [Amount in USD] (USD [Written Amount]), together with interest accrued thereon, payable in accordance with the terms set forth in this Promissory Note (the "Note").

WHEREAS, Payee has performed, or agreed to perform, certain professional services, labor, and deliverables for Maker pursuant to a separate or contemporaneous arrangement, agreement, or statement of work; and

WHEREAS, Maker has elected to defer payment for said services, labor, and deliverables, and the parties intend for this Note to document, secure, and govern the repayment of such indebtedness upon the terms and conditions hereinafter set forth;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Maker and Payee agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Principal Sum and Payment Terms

1.1 Principal Amount. The Maker unconditionally promises to pay to the order of Payee the total principal sum of [Amount in USD], representing the agreed-upon value of professional services rendered, work completed, or deliverables provided by Payee to Maker. 1.2 Repayment Schedule. The principal amount, together with any accrued and unpaid interest, shall be paid by Maker to Payee in accordance with the following schedule: - [Option A: Lump Sum] The entire principal balance, together with all accrued interest, shall be due and payable in a single balloon payment on or before [Maturity Date] (the "Maturity Date"). - [Option B: Installments] Installment payments of [Installment Amount in USD] shall be made on the [Day] day of each consecutive month, commencing on [Start Date] and continuing until [End Date], at which time the remaining unpaid principal balance and all accrued interest shall be paid in full. 1.3 Application of Payments. All payments made under this Note shall be applied first to any collection costs, expenses, or late charges then due, second to accrued and unpaid interest, and third to the reduction of the outstanding principal balance. 1.4 Prepayment. Maker may prepay this Note, in whole or in part, at any time without penalty or premium. Any partial prepayment shall not postpone the due date of any subsequent scheduled installment unless expressly agreed to in writing by Payee.

Section 2. Interest Rate

2.1 Standard Interest Rate. The unpaid principal balance of this Note shall bear interest at the rate of [Interest Rate, e.g., 5.0]% per annum, calculated on the basis of a 365-day year and the actual number of days elapsed, from the Effective Date until this Note is paid in full. 2.2 Default Interest Rate. Upon the occurrence and during the continuance of an Event of Default (as defined herein), the unpaid principal balance of this Note, and to the extent permitted by applicable law, any overdue interest, shall bear interest at the lesser of (a) [Default Rate, e.g., 18.0]% per annum, or (b) the maximum rate permitted by applicable law (the "Default Rate"), commencing from the date of default until the default is cured or this Note is paid in full. 2.3 Usury Savings Clause. In no event shall the rate of interest charged under this Note exceed the maximum rate permitted by applicable law. If any provision of this Note is construed to obligate the Maker to pay interest at a rate exceeding the maximum legal rate, such provision shall be automatically construed as limiting the interest rate to the maximum permitted by law, and any excess interest previously paid shall be credited against the principal balance or refunded to Maker.

Section 3. Scope of Services & Work Performed

3.1 Underlying Obligation. This Note is issued in consideration for professional services, labor, developmental work, creative output, consulting, and/or technical deliverables (collectively, the "Services") rendered by Payee to Maker. 3.2 Independent Obligation. The obligations of Maker under this Note are absolute and unconditional, and shall not be subject to any abatement, reduction, setoff, defense, counterclaim, or recoupment for any alleged failure of Payee to perform future services, except as explicitly set forth in a separate written agreement executed by both parties.

Section 4. Default and Acceleration

4.1 Events of Default. The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note: - (a) Failure of Maker to pay any principal or interest installment within [Number, e.g., 10] days of its due date; - (b) Failure of Maker to perform, observe, or comply with any other material covenant, term, or condition contained in this Note, which failure continues for a period of [Number, e.g., 15] days after written notice thereof from Payee; - (c) The filing of a petition by or against Maker under any bankruptcy, insolvency, reorganization, or moratorium law, or any other law for the relief of debtors; - (d) The appointment of a receiver, trustee, custodian, or liquidator for Maker or for any substantial part of Maker's property; or - (e) The making of a general assignment for the benefit of creditors by Maker. 4.2 Acceleration of Maturity. Upon the occurrence of any Event of Default, and at any time thereafter (unless such Event of Default has been cured), Payee may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable without presentment, demand, protest, or further notice of any kind, all of which are hereby expressly waived by Maker.

Section 5. Intellectual Property & Work Made for Hire

5.1 Retention of Rights. To the extent that the Services underlying this Note resulted in the creation of intellectual property, proprietary software, designs, documents, works of authorship, or inventions (collectively, the "Work Product"), Payee remains the sole and exclusive owner of all right, title, and interest in and to such Work Product, including all associated copyright, trademark, patent, and trade secret rights, unless and until the principal sum and all accrued interest under this Note are paid in full. 5.2 Conditional License. Upon the full execution of this Note, Payee grants Maker a limited, non-exclusive, non-transferable, revocable license to use the Work Product solely for internal business purposes. If an Event of Default occurs and is not cured within the applicable grace period, this license shall automatically terminate, and Maker shall immediately cease all use of the Work Product and return or destroy all copies in its possession. 5.3 Transfer of Title. Upon receipt of final and complete payment of all amounts due under this Note, Payee shall execute and deliver such instruments as may be reasonably necessary to transfer, assign, and convey to Maker all right, title, and interest in the specific Work Product delivered pursuant to the underlying engagement.

Section 6. Confidentiality

6.1 Definition. "Confidential Information" shall include all non-public information, technical data, trade secrets, financial documents, business strategies, and know-how disclosed by either party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with this Note or the underlying Services, whether orally or in writing. 6.2 Obligations. The Receiving Party agrees to protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information (but not less than a reasonable degree of care), and shall not disclose such Confidential Information to any third party without the prior written consent of the Disclosing Party, except to its employees, legal counsel, and financial advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein.

Section 7. Representations and Warranties

7.1 Maker Representations. Maker represents and warrants that: (a) it has the full legal power, capacity, and authority to enter into this Note and perform its obligations hereunder; (b) the execution and delivery of this Note have been duly authorized by all necessary corporate or organizational action; and (c) this Note constitutes a legal, valid, and binding obligation of Maker, enforceable against Maker in accordance with its terms. 7.2 Payee Representations. Payee represents and warrants that: (a) it possesses the requisite skill, experience, and qualifications to perform the underlying Services; and (b) it has the authority to grant the licenses and rights described herein.

Section 8. Limitation of Liability and Indemnification

8.1 Limitation of Liability. Except in cases of gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Note or the underlying Services, even if advised of the possibility of such damages. Payee’s total aggregate liability under this Note shall not exceed the total principal amount stated herein. 8.2 Indemnification. Maker agrees to indemnify, defend, and hold harmless Payee, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from Maker's breach of this Note, misuse of the Work Product, or violation of applicable law.

Section 9. Collection Costs and Legal Fees

If any payment obligation under this Note is not paid when due, or if an Event of Default occurs, Maker promises to pay all costs of collection incurred by Payee, including, without limitation, reasonable attorneys' fees, court costs, arbitration fees, and collection agency fees, whether or not litigation or arbitration is formally commenced.

Section 10. Dispute Resolution

10.1 Negotiation. In the event of any dispute, claim, or controversy arising out of or relating to this Note, the parties shall first attempt to resolve the matter through good-faith negotiations between designated executives for a period of not less than [Number, e.g., 30] days. 10.2 Binding Arbitration. If the dispute is not resolved through negotiation, it shall be settled by binding arbitration administered by the [Arbitration Body, e.g., American Arbitration Association (AAA)] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

Section 11. Governing Law and Jurisdiction

This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, and enforced in accordance with, the internal laws of the State of [State], without regard to its conflict of laws principles. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County] County, [State].

Section 12. Miscellaneous Provisions

12.1 Severability. If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect. 12.2 Entire Agreement. This Note constitutes the entire agreement between Maker and Payee with respect to the subject matter hereof and supersedes all prior discussions, negotiations, term sheets, or understandings, whether written or oral. 12.3 Amendments and Waivers. No modification, amendment, or waiver of any provision of this Note shall be effective unless set forth in a writing signed by both Maker and Payee. No failure or delay by Payee in exercising any right, power, or remedy under this Note shall operate as a waiver thereof. 12.4 Waiver of Presentment. Maker, and any endorsers, sureties, or guarantors hereof, jointly and severally waive presentment, demand for payment, protest, notice of dishonor, notice of acceleration, and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note. 12.5 Counterparts & Electronic Signatures. This Note may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
