3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & PROJECT ENGAGEMENT
1.1 Scope of Work. The Provider shall perform, execute, and deliver all services, milestones, deliverables, research outputs, and administrative documentation set forth in Exhibit A (Statement of Work) attached hereto and incorporated herein by this reference (collectively, the "Services"). All Services shall be executed in a professional, workmanlike manner, in accordance with highest industry standards, academic rigor, and applicable institutional policies.
1.2 Project Management & Personnel. The Provider shall assign qualified, vetted, and competent personnel to execute the Services. [Project Manager Name] shall serve as the primary institutional point of contact and Project Manager for the Provider. Any substitution of key personnel by the Provider requires prior written consent from the University’s designated representative, [University Representative Name].
1.3 University Cooperation. The University shall provide timely access to necessary institutional facilities, data sets, administrative stakeholders, and operational infrastructure as expressly mandated within Exhibit A. Delays caused by the University’s failure to provide specified inputs shall equitably extend corresponding project milestones.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Total Compensation. As full and complete consideration for the complete and satisfactory performance of the Services, the University shall pay the Provider an aggregate not-to-exceed amount of USD [Amount in USD] (the "Contract Price"), payable strictly in accordance with the milestone payment schedule set forth in Exhibit B.
2.2 Invoicing Protocols. The Provider shall submit detailed, itemized invoices to the University’s Accounts Payable department at [Billing Email Address] upon the successful completion and institutional acceptance of each designated milestone. Invoices must reference the institutional Purchase Order number ([PO Number]), project identifier, and include verifiable documentation of milestone completion.
2.3 Payment Terms & Late Interest. Net payment terms are [Number, e.g., Thirty (30)] days ([Net 30]) from the date of the University's formal receipt and approval of a compliant, undisputed invoice. Any undisputed amounts remaining unpaid past the designated payment due date shall accrue late interest at the lesser of one percent (1.0%) per month or the maximum rate permitted by applicable state law.
2.4 Disputed Invoices. If the University disputes any portion of an invoice in good faith, it shall notify the Provider in writing within fifteen (15) days of receipt, detailing the specific grounds for dispute. The University shall promptly pay any undisputed portions. The Parties shall negotiate in good faith to resolve any disputed amounts within thirty (30) days.
SECTION 3: TERM & TERMINATION
3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall automatically expire on [Project Completion Date] (the "Term"), unless terminated earlier in accordance with the provisions of this Section 3.
3.2 Termination for Convenience. The University may terminate this Agreement, in whole or in part, at any time and for any reason or no reason, by providing [Number, e.g., Thirty (30)] days prior written notice to the Provider. Upon receipt of such notice, the Provider shall immediately cease all non-essential work, mitigate all ongoing costs, and deliver to the University all completed work product and work-in-progress. The University shall compensate the Provider for all Services satisfactorily performed up to the effective date of termination, plus reasonable, documented wind-down costs, not to exceed the unbilled balance of the Contract Price.
3.3 Termination for Cause (Breach). Either Party may terminate this Agreement immediately upon written notice if the other Party materially breaches any of its representations, warranties, or material covenants under this Agreement and fails to cure such material breach within thirty (30) days following receipt of written notice detailing the specific breach.
3.4 Insolvency & Bankruptcy. This Agreement shall terminate automatically, without notice, if either Party files for bankruptcy, becomes insolvent, makes an assignment for the benefit of creditors, or has a receiver appointed over its substantial assets.
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Work Made for Hire. To the maximum extent permitted by applicable law, all deliverables, custom software, research reports, data compilations, written documentation, instructional materials, and creative works authored, created, or developed by the Provider specifically pursuant to this Agreement (collectively, the "Work Product") shall be deemed a "work made for hire" for the University. 4.2 Assignment of Rights. To the extent that any Work Product does not legally qualify as a "work made for hire," the Provider hereby irrevocably assigns, transfers, and conveys to the University all right, title, and interest worldwide in and to such Work Product, including all intellectual property rights, copyrights, patents, trade secrets, and moral rights. 4.3 Pre-Existing Intellectual Property. Each Party retains all right, title, and interest in and to its respective pre-existing intellectual property, proprietary tools, methodologies, software, and trade secrets developed prior to or independently of this Agreement ("Pre-Existing IP"). If the Provider incorporates any Pre-Existing IP into the Work Product, the Provider hereby grants the University a perpetual, irrevocable, royalty-free, worldwide, non-exclusive license to use, execute, reproduce, display, and distribute such Pre-Existing IP solely as integrated into and necessary for the full utilization of the Work Product. 4.4 Academic Publication & Research Freedom. Recognizing the University's status as an institution of higher education, nothing in this Section 4 shall restrict, prohibit, or impede the University's faculty, researchers, or students from publishing academic papers, conducting scholarly research, or teaching, subject to the mutual confidentiality obligations set forth in Section 5.
SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") under this Agreement, whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure, including student education records (FERPA-protected data), research data, financial records, institutional strategies, and trade secrets. 5.2 Obligations of Confidentiality. The Receiving Party shall:
- (a) Protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but no less than a reasonable standard of care;
- (b) Not disclose the Confidential Information to any third party, except to its employees, legal counsel, and independent contractors who have a strict need to know and are bound by written confidentiality obligations at least as restrictive as those contained herein; and
- (c) Use the Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement. 5.3 Exclusions. Confidential Information shall not include information that:
- (a) Is or becomes publicly known through no breach of this Agreement by the Receiving Party;
- (b) Was already in the rightful possession of the Receiving Party prior to disclosure;
- (c) Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or
- (d) Is required to be disclosed by applicable law, court order, or public records acts (e.g., state freedom of information laws), provided that the Receiving Party gives prompt written notice to the Disclosing Party to enable it to seek a protective order. 5.4 Data Privacy & Compliance. The Provider shall strictly comply with all applicable institutional, state, and federal privacy statutes, including the Family Educational Rights and Privacy Act (FERPA), the Health Insurance Portability and Accountability Act (HIPAA), and applicable state consumer privacy acts, when handling institutional data.
SECTION 6: REPRESENTATIONS & WARRANTIES
6.1 Mutual Representations. Each Party represents and warrants that:
- (a) It is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization;
- (b) It has full corporate or institutional power and authority to execute, deliver, and perform its obligations under this Agreement; and
- (c) The execution and performance of this Agreement does not violate any other agreement, charter provision, or statutory mandate to which it is bound. 6.2 Provider Warranties. The Provider expressly represents and warrants that:
- (a) All Services shall be performed by qualified personnel in a professional, workmanlike manner consistent with prevailing industry standards;
- (b) The Work Product shall be original and shall not infringe, misappropriate, or violate any copyright, patent, trademark, trade secret, or other proprietary right of any third party;
- (c) The Work Product shall be free from disabling code, viruses, malware, or unauthorized backdoors; and
- (d) The Provider shall comply with all applicable local, state, and federal laws, ordinances, codes, and university campus safety regulations while on institutional premises.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. Except for liability arising from breaches of confidentiality (Section 5), intellectual property infringement (Section 4), or gross negligence and willful misconduct, neither Party shall be liable to the other for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, loss of data, or business interruption, arising out of or in connection with this Agreement, regardless of the theory of liability. The total aggregate liability of either Party under this Agreement, under any and all legal theories, shall be strictly limited to the total Contract Price actually paid or payable by the University to the Provider under this Agreement. 7.2 Provider Indemnification. The Provider agrees to defend, indemnify, and hold harmless the University, its Board of Regents/Trustees, officers, employees, agents, and students from and against any and all third-party claims, liabilities, losses, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from:
- (a) Any material breach of this Agreement by the Provider or its personnel;
- (b) Any negligent, grossly negligent, or willful acts or omissions of the Provider; or
- (c) Any claim that the Work Product or Services infringe, misappropriate, or violate any third-party intellectual property or proprietary right.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Good Faith Negotiations. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the designated project managers from each Party shall first attempt in good faith to resolve the dispute through informal administrative negotiation for a period of thirty (30) days.
8.2 Binding Arbitration. If the dispute remains unresolved following the 30-day negotiation period, the controversy shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. Judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Each Party shall bear its own legal fees, with arbitration administrative costs split equally, unless the arbitrator rules otherwise.
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Province], without regard to its conflict of laws principles.
9.2 Jurisdiction & Venue. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction and venue of the state and federal courts located within [County, State], for any legal action or proceeding arising out of this Agreement.
SECTION 10: MISCELLANEOUS PROVISIONS
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2 Counterparts & Electronic Signatures. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Agreement by electronic mail (PDF) or digital signature platform (DocuSign/Adobe Sign) shall be equally effective as delivery of an original manual signature. 10.3 Entire Agreement. This Agreement, including all Exhibits attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations, and understandings, whether written or oral.
