3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & RESEARCH ENGAGEMENT

1.1 Research Program. The Institution shall use reasonable efforts to conduct the Research Program in accordance with professional academic and scientific standards. The Parties acknowledge and agree that research is, by its inherent nature, experimental and exploratory. Therefore, the Institution makes no express or implied warranty, guarantee, or representation that the Research Program will achieve any specific commercial, practical, or theoretical objective, nor that any marketable product, patentable invention, or regulatory approval will result from the performance of this Agreement. 1.3 Principal Investigator (PI). The Research Program shall be directed and supervised by [Principal Investigator Name], acting as the Principal Investigator (the "PI"). In the event that the PI is unable or unwilling to continue to serve as PI for any reason, the Institution shall promptly notify the Sponsor in writing. Upon receipt of such notice, the Institution shall immediately cease all non-cancelable work and take all reasonable steps to mitigate costs. 3.3 Termination for Cause (Breach). If either Party materially breaches any representation, warranty, or obligation under this Agreement, the non-defaulting Party may provide written notice specifying the nature of the breach. If the breach is not cured within the thirty (30) day cure period, the non-defaulting Party may terminate this Agreement immediately upon written notice. 3.4 Termination for Insolvency. This Agreement shall terminate automatically, without notice, if either Party files a petition for bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors, has a receiver appointed for its assets, or ceases to conduct business in the ordinary course. 3.5 Post-Termination Obligations & Financial Settlement. Upon termination or expiration of this Agreement for any reason:

  • (a) The Sponsor shall pay the Institution for all allowable, non-cancelable costs incurred, and non-cancellable commitments made by the Institution up to the effective date of termination, plus any non-cancellable third-party obligations incurred specifically to execute the Research Program.
