Client acknowledges that Service Provider's timely performance is contingent upon Client’s full and active cooperation, as well as the prompt delivery of necessary information, access, approvals, and resources. Client's failure to provide required inputs within [Number, e.g., 5] business days of request shall constitute an excusable delay on the part of Service Provider and may result in an equitable adjustment to project timelines and fees.

2. COMPENSATION & PAYMENT TERMS

2.1 Project Fees. In consideration for the full and faithful performance of the Services, Client shall pay Service Provider the total sum of [Amount in USD] (USD), payable in accordance with the milestone schedule set forth in Exhibit B (Fee Schedule & Payment Milestones). 2.2 Invoicing & Net Terms. Service Provider shall issue invoices to Client upon the completion of designated milestones or on a recurring monthly basis as specified in Exhibit B. Any undisputed invoice amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date paid in full. Client shall reimburse Service Provider for all reasonable costs and expenses incurred in collecting late payments, including reasonable attorneys' fees, collection agency fees, and court costs. 2.4 Disputed Invoices. If Client disputes any portion of an invoice in good faith, Client must notify Service Provider in writing within [Number, e.g., 10] business days of receipt, detailing the specific grounds for the dispute. Client shall pay the undisputed portion of the invoice when due. The Parties shall negotiate in good faith to resolve any disputed amount within [Number, e.g., 15] business days of such notice. 2.5 Taxes. All fees and compensation set forth in this Agreement are exclusive of all applicable federal, state, local, and foreign taxes, duties, tariffs, and levies, including value-added and sales taxes (collectively, "Taxes"). Client shall be solely responsible for the payment of all such Taxes, excluding taxes based solely on Service Provider's net income.

3. TERM & TERMINATION

This Agreement shall commence on the Effective Date and shall continue in full force and effect until the Services are fully rendered and accepted, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term"). 3.2 Termination for Convenience. Client or Service Provider may terminate this Agreement, or any individual Statement of Work, for any reason or no reason, by providing [Number, e.g., 30] calendar days' prior written notice to the other Party. Upon such termination for convenience, Client shall pay Service Provider for all Services performed up to the effective date of termination, plus any non-cancellable third-party commitments or expenses incurred by Service Provider in reliance on this Agreement. 3.3 Termination for Cause. Subject to full and final payment of all undisputed fees due under this Agreement, Service Provider hereby assigns to Client all right, title, and interest (including all worldwide copyright, patent, and trade secret rights) in and to the specific custom deliverables created expressly and uniquely for Client under this Agreement (the "Deliverables"). To the extent any Deliverable does not qualify as a "work made for hire" under applicable law, Service Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest in such Deliverable upon creation. 4.3 Service Provider Tools and Residuals. Notwithstanding Section 4.2, Service Provider retains sole and exclusive ownership of all underlying frameworks, libraries, software code, know-how, documentation, and development tools utilized by Service Provider to create the Deliverables, including any generic modifications or improvements thereto ("Service Provider Tools"). EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS." SERVICE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

7. LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Cap on Liability. SERVICE PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT IN THE [Number, e.g., twelve (12)] MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.3 Client Indemnification. Client shall defend, indemnify, and hold harmless Service Provider, its officers, directors, employees, agents, and affiliates from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Client’s material breach of this Agreement; (b) the operation of Client's business; or (c) any materials, data, or intellectual property provided by Client to Service Provider that infringes or misappropriates the rights of any third party. 7.4 Service Provider Indemnification. 8. DISPUTE RESOLUTION & ARBITRATION

8.1 Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties shall first attempt in good faith to resolve the matter through informal negotiations between senior executives of each Party within [Number, e.g., 15] business days of receiving written notice of the dispute. 8.2 Binding Arbitration. If the dispute cannot be resolved through good faith negotiations, the dispute shall be submitted to final and binding arbitration administered by the [American Arbitration Association (AAA) / Judicial Arbitration and Mediation Services (JAMS)] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The arbitrator’s award shall be final and binding, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. 8.3 Injunctive Relief. Nothing in this Section 8 shall prevent either Party from seeking preliminary injunctive relief, temporary restraining orders, or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights or Confidential Information pending the constitution of an arbitral tribunal.

9. GOVERNING LAW & JURISDICTION

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles. 9.2 Jurisdiction and Venue. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County] County, State of [State], for any legal action, suit, or proceeding arising out of or relating to this Agreement, and waives any objection to venue based on inconvenient forum.

This Agreement, together with all exhibits, schedules, and statements of work attached hereto, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior and contemporaneous proposals, negotiations, understandings, representations, and agreements, whether oral or written. 10.3 Amendments and Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by an authorized representative of each Party. The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver of future enforcement of that or any other provision. 10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performance under this Agreement (other than payment obligations) to the extent such failure or delay is caused by acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, labor strikes, utility failures, or other causes beyond the reasonable control of the affected Party, provided the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to resume performance. 10.5 Assignment.
