NOW, THEREFORE, in consideration of the mutual covenants, promises, and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. Scope of Services & Project Deliverables
1.1. Engagement: Client hereby retains Provider, and Provider accepts such retention, to perform the professional services (the "Services") and deliver the project outcomes, assets, documentation, and artifacts (the "Deliverables") as expressly set forth in Exhibit A (Scope of Work), which is incorporated herein by this reference. 1.2. Project Management & Changes: Any material modification, expansion, or reduction of the Services or Deliverables set forth in Exhibit A must be executed via a formal, written Change Order signed by the authorized representatives of both Parties ("Change Order"). Provider shall not be obligated to perform any out-of-scope work until a mutually agreed-upon Change Order detailing the additional fees, timeline adjustments, and resource allocations has been fully executed. 1.3. Client Cooperation: Client shall provide Provider with timely access to required personnel, technical environments, facilities, data, and documentation necessary for the execution of the Services. Client acknowledges and agrees that Provider's performance is contingent upon Client's prompt fulfillment of its dependencies and cooperative obligations.
2. Compensation & Payment Terms
2.1. Project Fees: In consideration for the full, complete, and timely performance of the Services and the delivery of the Deliverables, Client shall pay Provider the total fixed fee or time-and-materials sum of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Exhibit B.
2.2. Invoicing & Payment Terms: Provider shall issue invoices to Client in accordance with the schedule defined in Exhibit B or upon the completion of designated project milestones. All undisputed invoices shall be due and payable by Client within thirty (30) calendar days from the date of receipt of the invoice ("Net 30"). Payments shall be remitted via wire transfer, electronic ACH, or check to the banking coordinates specified by Provider in writing.
2.3. Late Payment Interest: Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the date due until the date paid in full.
2.4. Suspension of Services: If any undisputed invoice remains unpaid for more than fifteen (15) calendar days following its due date, Provider reserves the right, upon providing five (5) business days' written notice to Client, to suspend the performance of any and all Services and withhold the delivery of any Deliverables until all outstanding balances and accrued interest are paid in full. Provider shall incur no liability to Client for any delay or damage arising out of or related to any such lawful suspension of Services.
2.5. Expenses: Client shall reimburse Provider for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred by Provider in the performance of the Services (including travel, lodging, and third-party software licensing), provided that such expenses are supported by itemized receipts and submitted to Client in accordance with Provider's standard expense policy.
3. Term & Termination
3.1. Term: This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and final delivery of all Deliverables, or until earlier terminated in accordance with the provisions of this Section 3 (the "Term"). 3.2. Termination for Convenience: Client may terminate this Agreement, in whole or in part, for its convenience at any time by providing thirty (30) calendar days' prior written notice to Provider. Upon receipt of such notice, Provider shall immediately cease performance of the terminated Services, take all reasonable steps to minimize unrecoverable costs, and compile all work-in-progress. 3.3. Effect of Termination: Upon the effective date of termination of this Agreement for any reason: (a) Client shall immediately pay Provider all accrued, unpaid fees for Services rendered and Deliverables completed up to the effective date of termination, plus any reasonable, non-cancellable commitments incurred by Provider prior to notice; (b) each Party shall promptly return or destroy (and certify destruction of) all Confidential Information of the other Party in its possession or control; and (c) Sections 4, 5, 6, 7, 8, and 9 shall survive any expiration or termination of this Agreement.
4. Intellectual Property Ownership & Work Made for Hire
4.1. Provider Pre-Existing IP: All methodologies, software code libraries, frameworks, tools, algorithms, documentation, know-how, and works of authorship created, acquired, or developed by Provider independently of this Agreement, or licensed from third parties ("Pre-Existing IP"), shall remain the exclusive, sole property of Provider. Nothing in this Agreement shall be construed to transfer ownership of Provider's Pre-Existing IP to Client. 4.2. Deliverables & Assignment: Subject to full and final payment of the Contract Price by Client, Provider hereby assigns, transfers, and conveys to Client all right, title, and interest (including all worldwide copyright, patent, trade secret, and other intellectual property rights) in and to the specific, customized Deliverables created expressly and uniquely for Client under this Agreement (the "Custom Deliverables"). 4.3. License to Pre-Existing IP embedded in Deliverables: To the extent that any Provider Pre-Existing IP is embedded within, integrated into, or necessary for the operation, maintenance, or exploitation of the Custom Deliverables, Provider hereby grants to Client a perpetual, irrevocable, worldwide, non-exclusive, fully paid-up, royalty-free license to use, execute, reproduce, display, and distribute such Pre-Existing IP solely as an integrated component of the Custom Deliverables.
