2. Purpose:
The Disclosing Party may disclose certain Confidential Information to the Receiving Party for the following purpose (the "Purpose"):

3. Definition of Confidential Information:
"Confidential Information" means any and all non-public information, whether commercial, financial, technical, or otherwise, related to the Disclosing Party's current or future business, products, services, research, or development, disclosed by the Disclosing Party to the Receiving Party, directly or indirectly, in writing, orally, visually, or by inspection of tangible objects, and which is designated as confidential or which, by its nature, would reasonably be understood to be confidential. Confidential Information includes, but is not limited to:
- Proprietary processes, designs, formulas, algorithms, software code.
- Business plans, strategies, customer lists, pricing data, financial forecasts.
- Marketing plans, product specifications, prototypes, samples.
- Employee data, personnel records, compensation structures.
- Any other information marked "Confidential," "Proprietary," or similar.

4. Exclusions from Confidential Information:
Confidential Information does not include information that:
- (a) Is or becomes publicly available through no fault of the Receiving Party.
- (b) Was rightfully known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any confidentiality obligation.
- (c) Is rightfully obtained by the Receiving Party from a third party without restriction and without breach of any confidentiality obligation.
- (d) Is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information.
- (e) Is required to be disclosed by law or court order, provided the Receiving Party gives prompt notice to the Disclosing Party to allow an opportunity to seek protective measures.
5. Obligations of Receiving Party:
The Receiving Party agrees to:
- (a) Maintain Confidentiality: Hold the Confidential Information in strict confidence and prevent its unauthorized use or disclosure.
- (b) Limited Use: Use the Confidential Information solely for the Purpose.
- (c) Standard of Care: Exercise at least the same degree of care to protect the Confidential Information as it uses to protect its own proprietary information, but no less than a reasonable degree of care.
- (d) Limited Disclosure: Not disclose Confidential Information to any third party, except to its employees, agents, or contractors who have a "need to know" for the Purpose and who are bound by confidentiality obligations at least as restrictive as those contained herein.
- (e) Return/Destruction: Upon the Disclosing Party's request or termination of this Agreement, promptly return or destroy (and certify destruction in writing) all Confidential Information, including all copies thereof, except for one archive copy retained solely for legal compliance.
6. Term:
