WHEREAS, the Consultant possesses the requisite academic and professional expertise, operational capacity, and personnel to perform such services under the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants, promises, and obligations contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Scope of Services & Project Engagement

1.1 Engagement: The Client hereby engages the Consultant, and the Consultant accepts such engagement, to perform the professional advisory, research, modeling, and strategic services (the "Services") detailed in the Project Proposal attached hereto as Schedule A (Scope of Work).

1.2 Standard of Performance: The Consultant shall perform the Services in a professional, workmanlike, and timely manner, in accordance with generally accepted industry standards and rigorous academic-commercial methodologies appropriate for an MBA-level strategic project. The Consultant shall devote adequate time, personnel, and resources to ensure the successful execution of the project milestones.

1.3 Change Orders: Any material modification, expansion, or reduction of the Scope of Services set forth in Schedule A shall be mutually agreed upon in writing via a formal Change Order executed by authorized representatives of both Parties. Such Change Order shall explicitly state the adjustments to compensation, project timeline, and deliverable specifications.

Section 2. Compensation & Payment Terms

2.1 Compensation: In consideration for the full and faithful performance of the Services, the Client shall pay the Consultant the total fixed fee (or time-and-materials cap) of [Amount in USD] USD (the "Contract Price"), payable in accordance with the milestone schedule set forth in Schedule B (Fee and Milestone Schedule).

2.2 Invoicing: The Consultant shall submit itemized invoices to the Client upon the completion and acceptance of each project milestone or on a monthly recurring basis as specified in Schedule B. Invoices shall be sent to the designated billing address: [Client Billing Email/Address].

2.3 Payment Terms: All undisputed invoices are due and payable within thirty (30) calendar days from the date of receipt by the Client (Net 30). Payments shall be remitted via wire transfer or ACH to the bank account designated in writing by the Consultant.

2.4 Late Payments: Any undisputed amounts not paid when due shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower, calculated from the date such payment was due until the date paid in full. Furthermore, the Consultant reserves the right to suspend the performance of Services upon ten (10) business days' written notice until all delinquent balances are fully satisfied.

2.5 Expenses: Unless otherwise explicitly provided in Schedule B, the Client shall reimburse the Consultant for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred in connection with the performance of the Services (including travel, lodging, and specialized data licensing), provided that such expenses are supported by itemized receipts and submitted in accordance with the Client's standard expense policy.

Section 3. Term & Termination

3.1 Term: This Agreement shall commence on the Effective Date and shall continue in full force and effect until [Project Completion Date], or until all deliverables specified in Schedule A are formally accepted and final payment is remitted, unless terminated earlier in accordance with this Section 3.

3.2 Termination for Convenience: The Client may terminate this Agreement, in whole or in part, at any time for any reason or no reason, by providing fourteen (14) calendar days' prior written notice to the Consultant. Upon receipt of such notice, the Consultant shall immediately cease performance of the Services (unless the notice dictates otherwise) and take all reasonable steps to minimize costs. The Client shall pay the Consultant for all Services rendered up to the effective date of termination, plus any non-cancellable commitments reasonably incurred by the Consultant prior to notice.

3.3 Termination for Cause: Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) Materially breaches any provision of this Agreement and fails to cure such material breach within fifteen (15) calendar days after receipt of written notice detailing the specific breach; (b) Files a petition for bankruptcy, makes an assignment for the benefit of creditors, or becomes subject to any proceeding under insolvency laws; or (c) Ceases to conduct business operations in the ordinary course.

3.4 Survival: Termination of this Agreement shall not affect any rights or obligations that accrued prior to the effective date of termination. Provisions relating to Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and Governing Law shall expressly survive any expiration or termination of this Agreement.

Section 4. Intellectual Property Ownership & Work Made for Hire

4.1 Client Background IP: The Client retains all right, title, and interest in and to its pre-existing proprietary technology, data, trademarks, trade secrets, and intellectual property ("Client Background IP"). Nothing in this Agreement shall be construed to transfer any ownership rights in Client Background IP to the Consultant.

4.2 Consultant Background IP & Methodologies: The Consultant retains all right, title, and interest in and to its proprietary frameworks, educational tools, analytical models, software, templates, and general know-how developed independently of this engagement ("Consultant Background IP").

4.3 Work Product & Deliverables: Subject to full payment of the Contract Price, all custom reports, strategic analyses, financial models, presentations, and tangible deliverables created specifically by the Consultant for the Client pursuant to Schedule A (collectively, the "Work Product") shall be deemed "works made for hire" under United States copyright law (and equivalent international statutes) and shall become the exclusive property of the Client upon creation.

4.4 Assignment of Rights: To the extent that any Work Product does not qualify as a "work made for hire," the Consultant hereby irrevocably assigns, transfers, and conveys to the Client all right, title, and interest worldwide in and to such Work Product, including all copyrights, patent rights, trade secret rights, and other intellectual property rights therein.

4.5 License to Consultant Tools: The Consultant hereby grants to the Client a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, incorporate, and execute any Consultant Background IP embedded within or necessary for the operation, implementation, and utilization of the Work Product.

Section 5. Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information: "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally or in writing, including but not limited to business plans, financial data, customer lists, software code, trade secrets, operational methods, and the terms of this Agreement. 5.4 Compelled Disclosure: If the Receiving Party is legally compelled by subpoena, court order, or regulatory agency to disclose any Confidential Information, it shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

6.3 Disclaimer: EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.

Section 7. Limitation of Liability & Indemnification

7.1 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION), ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Cap on Liability: THE TOTAL AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY LEGAL THEORY, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY THE CLIENT TO THE CONSULTANT UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.3 Consultant Indemnification: The Consultant shall defend, indemnify, and hold harmless the Client, its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising directly out of the Consultant's willful misconduct, gross negligence, or proven infringement of third-party intellectual property rights by the custom Work Product.

7.4 Client Indemnification: The Client shall defend, indemnify, and hold harmless the Consultant, its project team members, university affiliates, officers, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising directly out of the Client's breach of this Agreement, gross negligence, willful misconduct, or the use of Client Background IP.

Section 8. Dispute Resolution & Arbitration

8.1 Negotiation: In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, termination, or validity (a "Dispute"), the designated senior representatives of both Parties shall first attempt in good faith to resolve the Dispute through informal executive negotiation for a period of thirty (30) calendar days from the date of written notice by one Party to the other.

8.2 Binding Arbitration: If the Dispute is not resolved through informal negotiation within the thirty (30) day period, the Dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

8.3 Arbitration Mechanics: The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with AAA rules. The place of arbitration shall be [City, State]. The proceedings shall be conducted in the English language. The arbitrator shall issue a reasoned written award, which shall be final and binding upon the Parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Each Party shall bear its own legal fees and expenses, provided that the arbitrator may award reasonable costs and attorney's fees to the prevailing Party if deemed equitable.

Section 9. Governing Law & Jurisdiction

9.1 Governing Law: This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State/Country], without regard to its conflict of laws principles.

9.2 Jurisdiction: Subject to Section 8 (Arbitration), each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County, State] for any legal action or proceeding arising out of or relating to this Agreement.

Section 10. Miscellaneous

10.1 Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

10.2 Entire Agreement: This Agreement, together with Schedules A and B attached hereto, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

10.3 Amendments and Waivers: No amendment, modification, or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by an authorized representative of each Party. The failure of either Party to enforce any right or provision shall not constitute a waiver of future enforcement of that or any other right or provision.

10.4 Independent Contractors: The relationship between the Consultant and the Client is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the Parties.
