NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Scope of Services & Engagement

1.1 Engagement. Client hereby engages Provider to provide professional grant proposal development, strategic research, drafting, editing, and submission-support services (collectively, the "Services"), as specifically set forth in one or more mutually agreed-upon Statements of Work (each, an "SOW") executed by both Parties. Each SOW shall incorporate the terms of this Agreement by reference.
1.2 Standard of Performance. Provider shall perform the Services in a professional, workmanlike manner, in accordance with industry standards and prevailing commercial practices. Provider warrants that its personnel possess the requisite skill, experience, and qualifications to execute the Services.
1.3 Client Cooperation. Client acknowledges and agrees that Provider's successful and timely performance of the Services is contingent upon Client’s full, active, and prompt cooperation, including the timely delivery of organizational data, historical financials, programmatic descriptions, technical narratives, and administrative feedback as reasonably requested by Provider. Client's failure to provide necessary inputs shall excuse Provider from corresponding performance deadlines and milestones.

2. Compensation & Payment Terms

2.1 Fee Structure. In consideration for the Services rendered by Provider, Client shall pay Provider the fees set forth in the applicable SOW, which may be structured as fixed-fee milestones, hourly rates, retainer fees, or performance-contingent bonuses (where legally permissible), totaling the sum of [Amount in USD] USD, subject to adjustment only via written amendment executed by both Parties.
2.2 Invoicing. Provider shall issue invoices to Client in accordance with the billing schedule set forth in the applicable SOW. Unless otherwise specified, all invoices are due and payable within thirty (30) calendar days from the date of receipt (Net 30).
2.3 Late Payment Interest. Any undisputed amount not paid by Client when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date such payment was due until the date paid in full. Provider reserves the right to suspend the performance of Services upon ten (10) business days’ written notice if any invoice remains unpaid past its due date.
2.4 Expenses. Client shall reimburse Provider for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred in connection with the performance of the Services, including travel, lodging, specialized data subscriptions, and courier fees, provided that Provider submits itemized receipts and supporting documentation.
2.5 Taxes. All fees and charges stated in this Agreement are exclusive of any applicable sales, use, value-added, or similar taxes. Client shall be solely responsible for the payment of all such taxes levied upon the Services or compensation rendered hereunder, excluding taxes based solely on Provider's net income.

3. Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of all Services and SOWs, or until terminated earlier in accordance with this Section 3.
3.2 Termination for Convenience. Client or Provider may terminate this Agreement or any active SOW, in whole or in part, at any time for any reason or no reason, upon providing thirty (30) calendar days' prior written notice to the other Party.
3.3 Termination for Cause. Either Party may terminate this Agreement and all active SOWs immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement and fails to cure such material breach within fifteen (15) calendar days after receipt of written notice detailing the breach; (b) files or has filed against it a petition for bankruptcy or insolvency, makes an assignment for the benefit of creditors, or suffers the appointment of a receiver; or (c) ceases to conduct business operations in the ordinary course.
3.4 Effect of Termination. Upon termination of this Agreement for any reason: (a) Client shall immediately pay Provider all accrued, unpaid fees and reimbursable expenses for Services rendered up to and including the effective date of termination; (b) if termination is initiated by Client for convenience, Client shall pay Provider a pro-rata portion of any non-refundable fixed fees or milestone commitments designated in the SOW; and (c) each Party shall promptly return or destroy all Confidential Information belonging to the other Party in accordance with Section 5.

4. Intellectual Property Ownership & Work Made for Hire

4.1 Work Made for Hire. Subject to full payment of all compensation due under this Agreement, all final deliverables specifically created by Provider for Client pursuant to an SOW, including grant application narratives, custom logic models, and draft proposals (the "Deliverables"), shall be deemed "work made for hire" under the copyright laws of the United States. To the extent that any Deliverable does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest worldwide in and to such Deliverables, including all copyright, patent, and trade secret rights.
4.2 Provider Pre-Existing IP. Notwithstanding Section 4.1, Provider retains sole and exclusive ownership of all pre-existing methodologies, templates, frameworks, writing models, software, know-how, and proprietary tools developed, acquired, or licensed by Provider prior to or independently of this Agreement (the "Provider IP"). Provider hereby grants Client a perpetual, non-exclusive, royalty-free, worldwide license to use, incorporate, and execute Provider IP solely as embedded within or necessary for the utilization of the Deliverables.
4.3 Grant Submission Success. Client acknowledges that grant awards are determined entirely by the discretion of the granting agency, foundation, or corporate entity. Provider makes no guarantee, warranty, or representation that any proposal developed under this Agreement will result in the award of grant funding.

5. Mutual Confidentiality & Non-Disclosure

5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, or in writing, including financial data, business plans, technical specifications, strategic research, proprietary templates, operational processes, and the terms of this Agreement.
5.2 Obligations of Confidentiality. Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but no less than a reasonable standard of care; (b) restrict disclosure of Confidential Information to its directors, officers, employees, and legal/financial advisors who have a strict need to know and who are bound by confidentiality obligations at least as restrictive as those herein; and (c) not use Confidential Information for any purpose outside the scope of this Agreement.
5.3 Exclusions. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of Receiving Party; (b) was already in the rightful possession of Receiving Party prior to disclosure; (c) is independently developed by Receiving Party without reference to or reliance upon Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided Receiving Party gives prompt written notice to Disclosing Party to enable it to seek a protective order.

Provider represents and warrants that: (a) it has the full power, capacity, and authority to enter into this Agreement and perform its obligations hereunder; (b) the Services will be performed in a professional and workmanlike manner by qualified personnel; and (c) the Deliverables created by Provider will not knowingly infringe, misappropriate, or violate any copyright, trademark, patent, trade secret, or other intellectual property right of any third party.
6.2 Client Warranties. Client represents and warrants that: (a) it has the full legal capacity and authority to enter into this Agreement; (b) all data, financial statements, historical metrics, organizational descriptions, and information provided by Client to Provider for incorporation into the Deliverables are accurate, complete, and truthful in all material respects; and (c) Client holds all necessary rights and authorizations to submit grant applications under its legal name and status.
6.3 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. ALL SUCH WARRANTIES ARE EXPRESSLY DISCLAIMED.

7. Limitation of Liability & Indemnification

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, SHALL UNDER NO CIRCUMSTANCES EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THE APPLICABLE SOW IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.2 Client Indemnification. Client agrees to defend, indemnify, and hold harmless Provider, its officers, directors, employees, agents, and subcontractors from and against any and all third-party claims, liabilities, losses, damages, judgments, penalties, interest, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Client's material breach of this Agreement; (b) any inaccuracy, misrepresentation, or falsification in the data or information provided by Client to Provider; or (c) Client's misuse of the Deliverables or violation of applicable laws or grant program guidelines.
7.3 Provider Indemnification. Provider agrees to defend, indemnify, and hold harmless Client from and against any third-party claims, losses, and expenses (including reasonable attorneys' fees) to the extent arising directly from Provider's gross negligence, willful misconduct, or proven infringement of any third-party intellectual property rights by the Deliverables.

8. Dispute Resolution & Arbitration

8.1 Negotiation in Good Faith. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, the Parties shall first attempt in good faith to resolve the matter through informal negotiations between senior executives of both Parties for a period of not less than thirty (30) calendar days.
8.2 Binding Arbitration. If the dispute cannot be resolved through informal negotiation, the matter shall be settled exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The arbitrator's award shall be final and binding, and judgment upon the award rendered may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief. Notwithstanding anything to the contrary, either Party may seek temporary injunctive relief or other equitable remedies in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information without posting bond or demonstrating inadequacy of legal remedies.

9. Governing Law & Jurisdiction

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.
9.2 Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County], [State], for any legal action or proceeding arising out of this Agreement.

10. Miscellaneous

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
10.2 Entire Agreement. This Agreement, together with any SOWs executed hereunder, constitutes the final, complete, and exclusive expression of the agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous discussions, negotiations, proposals, understandings, and agreements, whether oral or written.
10.3 Amendments & Waivers. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless executed in writing by authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power, or privilege hereunder shall operate as a waiver thereof.
10.4 Independent Contractors. The relationship of the Parties established by this Agreement is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between the Parties.
10.5 Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay arises from causes beyond its reasonable control, including acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, pandemic, epidemic, embargoes, utility failures, or governmental actions (each, a "Force Majeure Event").
10.6 Counterparts & Electronic Signatures. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
