2.3 Late Payment Interest. 5. STEP-BY-STEP EXECUTION & FILING GUIDE

Follow these operational instructions to ensure complete legal validity and proper record retention of this instrument:

  1. Document Customization: Open this document in Microsoft Word or Google Docs. Utilize the Find and Replace function to locate all bracketed placeholder terms (e.g., [Company Full Legal Name], [Client Full Legal Name], [Principal Address], [Effective Date], [Amount in USD]) and replace them with accurate, verified legal data.
  2. Exhibit Verification: Ensure that Exhibit A (Project Proposal Specifications, including dates, locations, and itineraries) and Exhibit B (Payment & Milestone Schedule) are fully drafted, verified by operations teams, and attached prior to circulation for signature.
  3. Signatory Authority Verification: Verify that the individuals signing on behalf of both the Provider and the Client hold actual corporate authority (e.g., CEO, President, Managing Director, or authorized VP) to bind their respective legal entities. For high-value contracts, request a corporate Resolution of the Board of Directors if necessary.
