1. PARTIES & RECITALS

This Project Proposal and Professional Services Agreement ("Agreement") is entered into as of the Effective Date by and between:

2. SCOPE OF SERVICES

Provider shall perform the services (the "Services") as detailed in the attached Statement of Work (SOW). Provider shall perform the Services in a professional and workmanlike manner, consistent with industry standards. Any changes to the scope shall be documented in writing and signed by both parties as a formal Change Order.

3. COMPENSATION & PAYMENT TERMS

3.1 Fees: Client shall pay Provider the total sum of $[Amount in USD] for the Services. 3.2 Invoicing: Provider shall submit invoices [e.g., monthly/upon milestone completion]. 4. TERM & TERMINATION

4.1 Term: This Agreement shall commence on the Effective Date and continue until completion of the Services unless earlier terminated. 4.2 Termination for Convenience: Either party may terminate this Agreement upon thirty (30) days’ written notice. Client shall pay for all services rendered up to the date of termination. 4.3 Termination for Breach: Either party may terminate this Agreement upon written notice if the other party commits a material breach and fails to cure said breach within fifteen (15) days of receiving written notice specifying the breach.

5. INTELLECTUAL PROPERTY & WORK MADE FOR HIRE

All deliverables created specifically for Client under this Agreement ("Deliverables") shall be deemed "works made for hire" under the U.S. Copyright Act. To the extent any Deliverable does not qualify as a work made for hire, Provider hereby assigns all right, title, and interest in such Deliverables to Client upon receipt of full payment. Provider retains ownership of all pre-existing methodologies, tools, and intellectual property.

6. CONFIDENTIALITY

The parties agree to hold in strict confidence all proprietary or non-public information disclosed during the term of this Agreement ("Confidential Information"). This obligation shall survive for three (3) years following the termination of this Agreement. Confidential Information shall not be disclosed to any third party without prior written consent.

7. REPRESENTATIONS & WARRANTIES

Provider represents that it has the legal right to enter into this Agreement and that the Services will not infringe upon the intellectual property rights of any third party. Client represents that it has the authority to provide all necessary assets and approvals required for the performance of the Services.

8. LIMITATION OF LIABILITY & INDEMNIFICATION

8.1 Limitation: In no event shall either party be liable for any indirect, incidental, or consequential damages. The total liability of Provider under this Agreement shall not exceed the total amount paid by Client to Provider under this Agreement. 8.2 Indemnification: Each party agrees to indemnify and hold harmless the other from any third-party claims arising out of the indemnifying party’s gross negligence or willful misconduct.

9. DISPUTE RESOLUTION & GOVERNING LAW

This Agreement shall be governed by the laws of the State of [Insert State].
