MASTER SERVICES AGREEMENT

DOCUMENT ID: MSA-[Year]-[Sequential Number] EFFECTIVE DATE: [Effective Date, e.g., January 1, 2024] VERSION: 1.0 GOVERNING JURISDICTION: State of [State, e.g., Delaware], United States of America

STATUTORY & LEGAL COMPLIANCE NOTICE

This document, a Master Services Agreement, is drafted to be institutional-grade and exhaustive, designed for general commercial engagements between sophisticated parties. It aims for broad enforceability but is explicitly not a Bill of Lading. While the prompt referenced "bill of lading form pdf," the detailed mandatory clause requirements (e.g., Scope of Services, IP, Confidentiality, Compensation, etc.) are characteristic of a comprehensive service or commercial agreement, not a Bill of Lading which primarily serves as a contract of carriage, receipt for goods, and document of title in logistics.

DISCLAIMER: The enforceability, interpretation, and specific application of this Agreement, or any part thereof, are subject to the specific laws and regulations of the jurisdiction in which it is sought to be enforced, and the factual circumstances surrounding its execution and performance. No generalized legal document can account for all possible jurisdictional variations or unique transactional details. This document should not be considered legal advice. Parties are strongly advised to consult with qualified legal counsel licensed in the relevant jurisdiction(s) to review, customize, and ensure the suitability and full enforceability of this Agreement for their specific needs and circumstances prior to execution. This document is provided for informational and template purposes only.

CLIENT: [Client Full Legal Name] ("Client"), a corporation/limited liability company/individual duly organized and existing under the laws of the State of [Client's State of Incorporation/Organization] (or, if an individual, residing at [Client's Principal Address]), with its principal place of business/address located at [Client's Principal Address].

WHEREAS, Provider possesses expertise and resources in the provision of [General description of services, e.g., consulting services, software development, marketing solutions]; WHEREAS, Client desires to retain Provider to perform certain services, and Provider is willing to perform such services, all in accordance with the terms and conditions set forth herein; NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Scope of Services / Engagement

1.1. General Scope. Provider agrees to provide the services described in one or more Statement(s) of Work ("SOW") executed by both Parties subsequent to the Effective Date of this Agreement. Each SOW shall be sequentially numbered, reference this Agreement, describe the specific services to be performed ("Services"), the deliverables to be provided ("Deliverables"), the timelines for performance, and the fees applicable thereto. Each SOW, once executed by authorized representatives of both Provider and Client, shall be incorporated by reference into and become a part of this Agreement. In the event of any conflict between the terms of an SOW and the terms of this Agreement, the terms of this Agreement shall govern, unless the SOW explicitly states an intent to supersede a specific provision of this Agreement and is signed by duly authorized representatives of both Parties.

1.2. Change Orders. Any changes or additions to the Services or Deliverables set forth in an SOW must be mutually agreed upon by both Parties in writing through a formal change order ("Change Order"). Each Change Order shall describe the changes to the Services, Deliverables, timelines, or fees, and shall be effective only upon execution by authorized representatives of both Parties. Unless otherwise agreed in a Change Order, all Services performed pursuant to a Change Order shall be subject to the terms and conditions of this Agreement.

1.3. Client Cooperation. Client acknowledges and agrees that Provider's ability to successfully perform the Services is dependent upon Client's timely and effective cooperation, including but not limited to, providing accurate and complete information, timely decisions, access to necessary personnel, systems, and data, and review and approval of Deliverables. Provider shall not be liable for any delays or failures in performance caused by Client's failure to cooperate as reasonably required.

2. Compensation & Payment Terms

2.1. Fees. Client shall pay Provider for the Services and Deliverables provided under each SOW at the rates and in the amounts specified therein. Unless otherwise specified in an SOW, all fees are exclusive of any applicable taxes, duties, levies, or other governmental charges, which shall be the sole responsibility of Client.

2.2. Invoicing. Provider shall submit invoices to Client in accordance with the billing schedule set forth in the applicable SOW, or, if no schedule is specified, on a monthly basis for Services performed during the preceding calendar month. Each invoice shall provide reasonable detail regarding the Services rendered, Deliverables completed, and expenses incurred.

2.3. Payment Due Date. Unless otherwise specified in an SOW, all undisputed invoices are due and payable by Client within thirty (30) days from the date of the invoice ("Due Date"). Client shall make payments in United States Dollars ([Amount in USD]) via [Method of Payment, e.g., wire transfer, ACH] to the account designated by Provider.

2.4. Late Interest. If Client fails to pay any undisputed amount by the Due Date, Provider reserves the right to charge interest on such overdue amount at the rate of [Interest Rate, e.g., one and one-half percent (1.5%)] per month or the maximum rate permitted by applicable law, whichever is less, calculated from the Due Date until the date of actual payment. Client shall also be responsible for all reasonable costs incurred by Provider in collecting any overdue amounts, including, without limitation, reasonable attorneys' fees and collection agency fees.

2.5. Milestones and Advance Payments. Any provisions for advance payments, retainers, or payments tied to specific milestones or deliverables shall be explicitly detailed in the relevant SOW. Failure to meet an agreed-upon milestone payment schedule by the Client may result in the suspension of Services until such payment is received, at Provider’s sole discretion, without prejudice to any other rights or remedies available to Provider.

3. Term & Termination

3.1. Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated earlier pursuant to the provisions set forth herein ("Term").

3.2. Termination for Convenience. Either Party may terminate this Agreement or any individual SOW, for any reason or no reason, upon providing [Number, e.g., thirty (30)] days' prior written notice to the other Party. In the event of such termination for convenience by Client, Client shall pay Provider for all Services performed and Deliverables completed up to the effective date of termination, plus any non-cancellable expenses and reasonable demobilization costs incurred by Provider as a direct result of such termination. In the event of such termination for convenience by Provider, Provider shall refund Client any pre-paid fees for Services not yet rendered.

3.3. Termination for Breach. Either Party may terminate this Agreement or any individual SOW immediately upon written notice to the other Party if the other Party materially breaches any of its obligations under this Agreement or an SOW, and such breach remains uncured for a period of [Number, e.g., fifteen (15)] days following receipt of written notice specifying the breach ("Cure Period"). If the breach is of a nature that cannot be cured within the Cure Period, the breaching Party shall promptly commence good faith efforts to cure the breach and diligently pursue such efforts to completion, in which case the Cure Period shall be extended for a reasonable period.

3.4. Termination for Insolvency. Either Party may terminate this Agreement immediately upon written notice if the other Party (a) becomes insolvent; (b) makes an assignment for the benefit of creditors; (c) files or has filed against it a petition in bankruptcy or is subject to any proceeding under bankruptcy laws; or (d) ceases to conduct business in the ordinary course.

3.5. Effect of Termination. Upon termination of this Agreement for any reason: (a) all rights and licenses granted under this Agreement shall immediately cease; (b) Client shall promptly pay all outstanding fees and expenses due to Provider for Services rendered and Deliverables completed up to the effective date of termination; (c) each Party shall return or destroy (at the disclosing Party's option) all Confidential Information of the other Party in its possession or control; and (d) sections 2.4, 3.5, 4, 5, 6, 7, 8, 9, and 10 of this Agreement, along with any other provisions which by their nature are intended to survive termination, shall survive such termination.

4. Intellectual Property Ownership & Work Made for Hire

4.1. Client Ownership of Deliverables. Unless otherwise expressly specified in an SOW, all Deliverables created by Provider specifically for Client under an SOW, including all associated Intellectual Property Rights, shall be considered "works made for hire" to the maximum extent permitted by applicable law. To the extent that any Deliverable or any part thereof is not a "work made for hire," Provider hereby irrevocably assigns, transfers, and conveys to Client all right, title, and interest in and to such Deliverables and all associated Intellectual Property Rights throughout the world, without further compensation, effective upon payment in full for the Services. Provider agrees to execute any documents reasonably requested by Client to perfect Client's ownership rights.

4.2. Provider Background IP. Notwithstanding Section 4.1, Provider shall retain all Intellectual Property Rights in and to any pre-existing materials, tools, methodologies, software, or other intellectual property owned or developed by Provider prior to or independently of this Agreement ("Provider Background IP"). Provider grants Client a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, display, perform, and distribute the Provider Background IP solely to the extent necessary to use and enjoy the Deliverables provided under this Agreement.

4.3. Client Intellectual Property. Client retains all Intellectual Property Rights in and to any materials, information, or intellectual property provided by Client to Provider for use in performing the Services ("Client IP"). Client grants Provider a non-exclusive, worldwide, royalty-free, limited license to use the Client IP solely for the purpose of performing the Services under this Agreement.

4.4. Definition of Intellectual Property Rights. For the purposes of this Agreement, "Intellectual Property Rights" means any and all now known or hereafter existing rights associated with works of authorship throughout the world, including copyrights, moral rights, and mask-works; trade secret rights; patent rights, including utility models and design patents; industrial design rights; trademark and service mark rights; rights in trade dress and packaging; and all other intellectual and industrial property rights of every kind and nature, however designated, whether arising by operation of law, contract, license, or otherwise, and whether registered or unregistered, and all registrations, applications, renewals, extensions, continuations, divisions, or reissues thereof now or hereafter existing, and all goodwill associated therewith.

5. Mutual Confidentiality & Non-Disclosure

5.1. Definition of Confidential Information. "Confidential Information" means any and all non-public, proprietary, or confidential information, technical data, trade secrets, or know-how, including, but not limited to, research, product plans, products, services, customers, markets, software, developments, inventions, processes, designs, drawings, engineering, hardware configuration information, marketing, finances, business opportunities, or personnel information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally or in writing, visually or otherwise, prior to, on, or after the Effective Date, and whether or not marked as "confidential." Notwithstanding the foregoing, Confidential Information does not include information that: (a) is or becomes publicly known through no wrongful act or omission of the Receiving Party; (b) was already in the lawful possession of the Receiving Party prior to disclosure by the Disclosing Party, without breach of any confidentiality obligation; (c) is lawfully disclosed to the Receiving Party by a third party without restriction on disclosure and without breach of any confidentiality obligation owed to the Disclosing Party; or (d) is independently developed by the Receiving Party without reference to the Disclosing Party's Confidential Information.

5.2. Obligation of Confidentiality. The Receiving Party agrees to: (a) hold the Disclosing Party's Confidential Information in strict confidence; (b) not disclose or permit disclosure of the Disclosing Party's Confidential Information to any third party without the Disclosing Party's prior written consent, except to its employees, contractors, and agents who have a need to know such information for the purpose of performing the Receiving Party's obligations under this Agreement and who are bound by confidentiality obligations no less restrictive than those contained herein; (c) use the Disclosing Party's Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement; and (d) use at least the same degree of care to protect the Disclosing Party's Confidential Information as it uses to protect its own confidential information of a similar nature, but in no event less than a reasonable degree of care.

5.3. Compelled Disclosure. If the Receiving Party is compelled by law, regulation, or a valid order of a court or governmental agency to disclose any Confidential Information of the Disclosing Party, the Receiving Party shall provide prompt written notice to the Disclosing Party prior to such disclosure (unless legally prohibited from doing so) to allow the Disclosing Party an opportunity to seek a protective order or other appropriate remedy. The Receiving Party shall only disclose that portion of the Confidential Information that it is legally compelled to disclose.

5.4. Return or Destruction. Upon termination or expiration of this Agreement, or at any time upon the Disclosing Party's written request, the Receiving Party shall, at the Disclosing Party's option, promptly return or destroy all Confidential Information (and all copies thereof) of the Disclosing Party in its possession or control, and, if requested, certify in writing its compliance with this obligation.

5.5. Remedies. The Parties acknowledge that a breach of this Section 5 may cause irreparable harm to the Disclosing Party for which monetary damages alone would be inadequate. Accordingly, the Disclosing Party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity, without the necessity of posting a bond.

6. Representations & Warranties

6.1. Mutual Representations and Warranties. Each Party represents and warrants to the other Party that: (a) It is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or formation. (c) The execution and delivery of this Agreement and the performance of its obligations hereunder have been duly authorized by all necessary corporate or other organizational action. (d) This Agreement constitutes a legal, valid, and binding obligation enforceable against it in accordance with its terms. (e) It is not subject to any litigation, claim, or proceeding which would materially or adversely affect its ability to perform its obligations under this Agreement.

6.2. Provider Representations and Warranties. Provider represents and warrants to Client that: (a) The Services will be performed in a professional and workmanlike manner, in accordance with generally accepted industry standards. (b) Provider has and will maintain all necessary licenses, permits, and expertise required to perform the Services. (c) To Provider's knowledge, the Deliverables will not infringe upon or misappropriate the Intellectual Property Rights of any third party. (d) The Services will be performed by qualified personnel.

6.3. Client Representations and Warranties. Client represents and warrants to Provider that: (a) Client has the full right and authority to provide the Client IP to Provider for use in performing the Services without violating any third-party rights or applicable laws. (b) Client will provide timely access to information, resources, and personnel as reasonably required by Provider to perform the Services.

6.4. Disclaimer of Warranties. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION 6, ALL SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER HEREBY EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. PROVIDER DOES NOT WARRANT THAT THE SERVICES OR DELIVERABLES WILL MEET CLIENT'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE.

7. Limitation of Liability & Indemnification

7.1. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THIS AGREEMENT, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT FOR OBLIGATIONS UNDER SECTION 7.2 (INDEMNIFICATION), BREACHES OF SECTION 5 (MUTUAL CONFIDENTIALITY & NON-DISCLOSURE), OR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, EACH PARTY'S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATION SHALL APPLY EVEN IF THE ABOVE-STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

7.2. Indemnification by Provider. Provider shall indemnify, defend, and hold harmless Client and its officers, directors, employees, and agents from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any third-party claim or action alleging that the Deliverables, as provided by Provider and used by Client in accordance with this Agreement, infringe or misappropriate any patent, copyright, trademark, or trade secret rights of any third party; provided, that Client (a) promptly notifies Provider in writing of the claim; (b) grants Provider sole control of the defense and settlement of the claim; and (c) provides Provider with all reasonable assistance, information, and authority required for the defense and settlement. Provider shall have no indemnification obligation for claims arising from (i) Client's modification of the Deliverables, (ii) Client's use of the Deliverables in combination with other products or services not provided by Provider, or (iii) Client's use of the Deliverables in a manner not authorized by this Agreement.

7.3. Indemnification by Client. Client shall indemnify, defend, and hold harmless Provider and its officers, directors, employees, and agents from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any third-party claim or action alleging (a) Client's breach of Section 6.3 (Client Representations and Warranties); (b) Client's gross negligence or willful misconduct; or (c) Client's use of the Services or Deliverables in violation of this Agreement or applicable law; provided, that Provider (a) promptly notifies Client in writing of the claim; (b) grants Client sole control of the defense and settlement of the claim; and (c) provides Client with all reasonable assistance, information, and authority required for the defense and settlement.

8. Dispute Resolution & Arbitration

8.1. Informal Dispute Resolution. The Parties agree that before initiating any formal legal proceedings, they will attempt to resolve any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or validity thereof (a "Dispute"), through good faith negotiations. Either Party may request a meeting to discuss the Dispute, to be held within [Number, e.g., ten (10)] business days of the request, attended by senior management representatives with authority to resolve the Dispute.

8.2. Binding Arbitration. If the Parties are unable to resolve a Dispute through informal negotiations within [Number, e.g., thirty (30)] days of the initial request for negotiation, then, except for claims for injunctive relief regarding intellectual property or confidentiality, such Dispute shall be exclusively and finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. (f) Confidentiality. All aspects of the arbitration proceeding, including the hearing and any award, shall be confidential, except as may be necessary to enforce the award, or as otherwise required by law. (g) Class Action Waiver. EACH PARTY EXPRESSLY WAIVES ITS RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS. THE ARBITRATOR SHALL NOT HAVE THE AUTHORITY TO CONSOLIDATE OR JOIN CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED.

9. Governing Law & Jurisdiction

9.1. Governing Law. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of [State, e.g., Delaware], without giving effect to any choice or conflict of law provision or rule (whether of the State of [State] or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than those of the State of [State].

9.2. Jurisdiction for Non-Arbitrable Disputes. For any legal action or proceeding not subject to arbitration under Section 8.2, the Parties irrevocably submit to the exclusive jurisdiction of the federal and state courts located in [County, State, e.g., New Castle County, Delaware]. Each Party waives any objection to the laying of venue in such courts and agrees not to plead or claim in any such court that any such action or proceeding has been brought in an inconvenient forum.

10. Miscellaneous

10.1. Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and if such modification is not possible, that provision shall be severed from this Agreement. All other provisions of this Agreement shall remain in full force and effect.

10.2. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Facsimile, electronic signatures (e.g., DocuSign, Adobe Sign), and PDF copies of signatures shall be deemed original for all purposes.

10.3. Entire Agreement. This Agreement, including any exhibits and SOWs attached hereto or incorporated by reference, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, conversations, discussions, and understandings, whether written or oral, between the Parties relating to such subject matter. No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

10.4. Assignment. Neither Party may assign or transfer any of its rights or obligations under this Agreement, whether by operation of law or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld or delayed. Notwithstanding the foregoing, either Party may assign this Agreement in its entirety, without the other Party's consent, to its affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets. Any attempted assignment or transfer in violation of this section shall be null and void.

10.5. Relationship of the Parties. The relationship between the Parties is that of independent contractors. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture, or other form of joint enterprise, employment, or fiduciary relationship between the Parties, and neither Party shall have authority to contract for or bind the other Party in any manner whatsoever.

10.6. Notices. All notices, consents, and other communications required or permitted under this Agreement shall be in writing and shall be deemed effectively given (a) when delivered personally, (b) when sent by nationally recognized overnight courier (e.g., FedEx, UPS) with tracking capabilities, (c) when sent by confirmed email (with a copy sent by another method described herein), or (d) when sent by registered or certified mail, return receipt requested, postage prepaid, to the addresses set forth below or to such other address as either Party may designate by written notice to the other Party:

If to Client: [Client Full Legal Name] [Principal Address] Attention: [Name of Contact Person] Email: [Email Address]

10.7. Force Majeure. A "Force Majeure Event" means any event beyond the reasonable control of the affected Party, including but not limited to acts of God, war, terrorism, riots, insurrections, civil commotion, governmental acts or regulations, epidemics, pandemics, quarantines, fires, floods, earthquakes, major storms, strikes, lockouts, or other labor disputes, or failure of public utilities or common carriers. The Party affected by a Force Majeure Event shall promptly notify the other Party of its occurrence and use commercially reasonable efforts to mitigate the effects of the Force Majeure Event. If a Force Majeure Event continues for a period exceeding [Number, e.g., sixty (60)] days, either Party may terminate this Agreement upon written notice without further liability, except for payment of Services rendered prior to the Force Majeure Event.

STEP-BY-STEP EXECUTION & FILING GUIDE

This guide provides instructions for the proper completion, execution, and retention of this Master Services Agreement.

Step 1: Review and Customize Bracketed Fields

  1. Open in Editor: Open the document in Microsoft Word, Google Docs, or a similar word processing application.
  2. Identify Fields: Carefully locate all bracketed fields, such as [Company Full Legal Name], [Effective Date], [State], [Principal Address], [Amount in USD], [Interest Rate, e.g., one and one-half percent (1.5%)], [Number, e.g., thirty (30)], [City, State, e.g., New York, New York], [County, State, e.g., New Castle County, Delaware], and [Email Address].
  3. Input Specific Information: Replace each bracketed field with the accurate, specific information pertinent to the parties and the agreement. Ensure consistency across the document (e.g., use the same full legal name for each party wherever it appears).
  4. Confirm Dates: Ensure the "Effective Date" in the header aligns with the actual intended start date of the agreement.
  5. Review Numeric Values: Double-check all numerical values for interest rates, notice periods, and payment terms for accuracy and agreement.

Step 2: Verify Signatory Authority

  1. Identify Authorized Signatories: For both Provider and Client, determine the individuals who possess the legal authority to bind their respective organizations to contractual agreements. This typically includes corporate officers (e.g., CEO, President, VP of Legal) or individuals explicitly granted such authority by a corporate resolution or power of attorney.
  2. Confirm Titles: Ensure the titles listed under the signature blocks accurately reflect the authorized signatory's role within their organization.

Step 3: Execute via Digital Signature (Recommended)

  1. Prepare for Digital Signing: Once all fields are populated and the document is finalized, save it as a PDF.
  2. Upload to Digital Signature Platform: Upload the PDF document to a reputable digital signature platform such as DocuSign, Adobe Sign, or PandaDoc.
  3. Place Signature Fields: Place designated signature, printed name, title, company, and date fields for each authorized signatory.
  4. Send for Signatures: Send the document to the authorized signatories of both parties. The platforms typically guide signatories through the signing process.
  5. Verify Completion: Ensure all required fields are completed by both parties. Digital signature platforms usually provide a certificate of completion as proof of execution.

Step 4: Execute via Wet Signature (Alternative)

  1. Print Document: Print two (2) original copies of the final, filled-in Agreement.
  2. Signatures: Have the authorized signatory for each party physically sign and date both original copies where indicated.
  3. Witness (Optional but Recommended for certain jurisdictions/values): Depending on jurisdictional requirements or the value/complexity of the agreement, consider having a disinterested third party witness the signatures.
  4. Exchange Originals: Each party should retain one original, fully executed copy of the Agreement.

Step 5: Record Retention & Filing

  1. Digital Filing:
    • Save the fully executed PDF document (including the digital signature certificate, if applicable) to a secure, shared network drive or cloud storage (e.g., SharePoint, Google Drive, dedicated contract management system).
    • Implement a consistent naming convention for easy retrieval (e.g., "MSA-[Client Name]-[Year]-[Version].pdf").
    • Ensure appropriate access controls are in place.
  2. Physical Filing (if applicable):
    • For wet-signed documents, file the original hard copy in a secure, fire-proof cabinet or vault.
    • Create a digital scan (PDF) of the wet-signed original for electronic record-keeping and easy access.
  3. Contract Management System: If a dedicated Contract Lifecycle Management (CLM) system is in use, upload the executed Agreement and input all relevant metadata (e.g., Effective Date, Termination Date, Parties, Key Clauses) for tracking, reporting, and automated alerts.
  4. Legal Review: Schedule periodic legal review of the contract template and executed agreements to ensure ongoing compliance and effectiveness.

IMPORTANT NOTE: Always ensure all parties receive a fully executed copy of the Agreement.
