RECITALS: WHEREAS, Provider specializes in [Core Business Competency]; and WHEREAS, Client desires to engage Provider to perform the services set forth in the Scope of Services (Exhibit A); NOW, THEREFORE, the parties agree as follows:

II. OPERATIVE CLAUSES

1. SCOPE OF SERVICES Provider shall perform the professional services (the "Services") defined in the attached Exhibit A. Provider shall use commercially reasonable efforts to perform the Services in accordance with the project milestones and timelines specified therein. Any material change to the scope must be memorialized in a written Change Order signed by both parties.

2. COMPENSATION & PAYMENT TERMS Client shall pay Provider the sum of $[Amount in USD] (the "Fees"). Fees shall be invoiced as follows: [e.g., 50% upfront, 50% upon completion]. All invoices are due and payable within thirty (30) days of receipt. Late payments shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Client is responsible for all applicable sales, use, and excise taxes.

3. TERM & TERMINATION This Agreement shall commence on the Effective Date and continue until the completion of the Services, unless terminated earlier. Either party may terminate this Agreement for cause upon thirty (30) days’ written notice of a material breach, provided the breaching party fails to cure such breach within the notice period. Client may terminate for convenience upon fourteen (14) days’ written notice, provided that Client shall compensate Provider for all work performed and non-cancellable expenses incurred up to the date of termination.

4. INTELLECTUAL PROPERTY & WORK MADE FOR HIRE All deliverables, reports, and tangible work products created specifically for the Client under this Agreement (“Work Product”) shall be deemed “work made for hire” to the extent permitted by law. Provider retains all rights to its pre-existing methodologies, proprietary tools, and background intellectual property.

5. CONFIDENTIALITY Each party agrees to maintain the confidentiality of all non-public, proprietary, or sensitive information disclosed by the other party (“Confidential Information”). Neither party shall disclose Confidential Information to any third party without prior written consent, except to employees or contractors with a need to know who are bound by similar confidentiality obligations. This obligation survives termination for a period of three (3) years.

6. REPRESENTATIONS & WARRANTIES Provider represents and warrants that the Services shall be performed in a professional and workmanlike manner consistent with industry standards. Provider further warrants that it has the legal authority to enter into this Agreement and that the deliverables will not infringe upon the intellectual property rights of any third party.

7. LIMITATION OF LIABILITY & INDEMNIFICATION Except for instances of gross negligence or willful misconduct, neither party shall be liable for any indirect, incidental, or consequential damages. The total aggregate liability of Provider under this Agreement shall not exceed the Fees paid by Client to Provider during the twelve (12) months preceding the claim. Each party agrees to indemnify and hold harmless the other from third-party claims arising out of the indemnifying party's breach of this Agreement.

8. DISPUTE RESOLUTION & ARBITRATION Any dispute arising out of or related to this Agreement shall be resolved through binding arbitration in [City, State], conducted by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The prevailing party shall be entitled to recover reasonable attorney’s fees and costs.

9. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law principles.

IV. EXECUTION & FILING GUIDE

  1. Customization: Open this document in your preferred word processor. Use the "Find and Replace" function to populate all bracketed fields (e.g., [Company Full Legal Name]).
  2. Exhibit Attachment: Create an "Exhibit A" document detailing the specific project roadmap, deliverables, and technical requirements. Append this to the MSA.
  3. Internal Review: Before presenting to the Client, ensure your Finance department verifies the payment terms and the Legal department confirms the limitation of liability caps are acceptable for your risk profile.
  4. Signatory Authority: Verify that the person signing on behalf of the Client holds the title of Director, Officer, or authorized signatory to ensure the contract is enforceable.
  5. Digital Execution: Upload the finalized PDF to a platform like DocuSign or Adobe Sign. These platforms provide an audit trail of the signing process, which is critical for evidentiary purposes in a court of law.
  6. Record Retention: Save the fully executed original in a secure, encrypted digital repository (e.g., cloud-based contract management system or encrypted drive) for a minimum of seven (7) years following the termination of the project.
