3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1: Scope of Services & Project Engagement

1.1 Engagement. The Client hereby engages the Service Provider to design, develop, and deliver the project described in the Project Proposal attached hereto as Exhibit A (the "Project"). The Service Provider shall perform the services (the "Services") in a professional, workmanlike manner, consistent with academic standards and industry best practices. 1.2 Project Milestones and Deliverables. The Service Provider shall not be in breach of this Agreement for academic breaks, examination periods, or semester transitions explicitly disclosed in Exhibit A.

Section 2: Compensation & Payment Terms

2.1 Project Fee. In consideration for the full and complete performance of the Services and the assignment of rights herein, the Client shall pay to the Service Provider the total sum of [Amount in USD] USD (the "Project Fee"), payable according to the milestone schedule set forth in Exhibit B. 2.2 Invoicing and Payment. The Service Provider shall submit itemized invoices to the Client upon the completion of each project milestone or delivery phase. The Client shall remit payment in full via electronic transfer or check within thirty (30) calendar days of the receipt of an undisputed invoice. 2.3 Late Payments. Any undisputed amounts remaining unpaid upon the expiration of the thirty (30) day payment window shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable state law, whichever is lower, calculated from the date such payment was due until the date paid in full. 2.4 Expenses. Unless otherwise expressly authorized in writing by the Client, the Project Fee is inclusive of all out-of-pocket expenses, travel, software licensing, and material costs incurred by the Service Provider in the performance of the Services.

Section 3: Term & Termination

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and delivery of the final Deliverables, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term"). 3.2 Termination for Convenience. The Client may terminate this Agreement, in whole or in part, for any reason or no reason, by providing fourteen (14) calendar days prior written notice to the Service Provider. The Client shall pay the Service Provider for all Services satisfactorily performed and non-cancellable commitments incurred up to the effective date of termination. 3.3 Termination for Cause. Either Party may terminate this Agreement effective immediately upon written notice if the other Party materially breaches any of its obligations under this Agreement and fails to cure such material breach within fourteen (14) calendar days after receipt of written notice detailing the specific breach. 3.4 Survival. 4.1 Pre-Existing Intellectual Property. Each Party retains all right, title, and interest in and to its respective pre-existing intellectual property, tools, methodologies, and proprietary software created or acquired prior to the Effective Date or independently of this Agreement ("Pre-Existing IP"). To the extent that any Pre-Existing IP is embedded in the Deliverables, the Service Provider grants to the Client a perpetual, non-exclusive, royalty-free, worldwide license to use, execute, and display such Pre-Existing IP solely as integrated into and necessary for the operation of the Deliverables. 4.2 Work Made for Hire / Assignment. Subject to Section 4.1 and institutional policies of [Name of University/Institution], the Service Provider agrees that all custom Deliverables, source code, documentation, and work product specifically created pursuant to this Agreement shall be deemed a "work made for hire" to the extent permitted by law. To the extent that any Deliverable does not qualify as a work made for hire, the Service Provider hereby irrevocably assigns, transfers, and conveys to the Client all worldwide right, title, and interest in and to such Deliverables, including all copyright, patent, trade secret, and other intellectual property rights therein. 4.3 Academic Rights & Publication. Notwithstanding Section 4.2, the Service Provider and its participating students and faculty advisors retain the perpetual, non-exclusive right to use the Project, its underlying research, and non-confidential findings for academic, educational, publishing, and portfolio display purposes, subject to the confidentiality obligations set forth in Section 5.

"Confidential Information" means any proprietary or non-public information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") under this Agreement, including but not limited to business plans, source code, technical data, customer lists, financial data, and trade secrets, that is marked "Confidential" or disclosed in such a manner that a reasonable person would understand its sensitive nature. 5.2 Obligations of Confidentiality. The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall use the same degree of care it uses to protect its own confidential information (but no less than reasonable care), and shall not disclose such Confidential Information to any third party, except to its members, students, faculty advisors, and legal or financial advisors who have a need to know and are bound by legal or professional obligations of confidentiality. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) was already in the rightful possession of the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to or reliance upon the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party.

6.1 Service Provider Warranties. The Service Provider represents and warrants that: (a) it has the full legal right, power, and authority to enter into this Agreement and perform the Services; (b) the Deliverables will be original creations or properly licensed, and will not knowingly infringe, misappropriate, or violate the intellectual property rights of any third party; and (c) the Services will be performed in a professional manner. 6.2 Client Warranties. THE SERVICE PROVIDER’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL UNDER NO CIRCUMSTANCES EXCEED THE TOTAL PROJECT FEE ACTUALLY PAID BY THE CLIENT TO THE SERVICE PROVIDER HEREUNDER. 7.2 Client Indemnification. The Client agrees to defend, indemnify, and hold harmless the Service Provider, its student members, faculty advisors, and [Name of University/Institution] from and against any and all claims, liabilities, losses, damages, demands, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) the Client’s breach of this Agreement; (b) the Client's misuse or modification of the Deliverables; or (c) violation of third-party rights caused by materials or data supplied by the Client to the Service Provider.
