Part 1: Preparation & Customization
-
Read Thoroughly: Carefully read the entire Agreement, including all clauses and schedules. Ensure you understand all terms and obligations.
-
Fill All Blanks: Systematically go through the document and fill in every section marked with
[Square Brackets].- Header: Effective Date, Jurisdiction.
- Parties: Full legal names, entity types, addresses for both Client and Consultant.
- Term: Anticipated end date (if fixed term) or state indefinite/project-based if applicable.
- Termination: Notice period for convenience termination (e.g., 30 days). Cure period for cause termination (e.g., 15 days).
- Surviving Sections: Ensure the list of surviving sections in 3.4 is accurate for your needs.

- Late Payments: Specify interest rate.
- Confidentiality: Review non-disclosure obligations.
- Intellectual Property: Confirm ownership of Work Product (Client ownership is standard here).
- Liability: Review limitations and caps.
- Governing Law/Jurisdiction: Crucial. Specify the correct State/Country and County/City. This determines which laws apply and where disputes are heard.
- Dispute Resolution: Choose between negotiation, mediation, and/or arbitration. If opting for mediation/arbitration, specify the service (e.g., JAMS, AAA) and location.
- Notices: Review contact details.
- Signatures: Printed names, titles, and dates for authorized representatives of both Parties.
- Schedule A (Statement of Work): This is critical. Detail the specific Services, Deliverables, timelines, and responsibilities for your unique engagement. Vague SOWs lead to disputes.
- Schedule B (Compensation Schedule): Ensure this aligns with your commercial terms.
-
Review Optional Clauses:
- Non-Solicitation: Consider adding a clause prohibiting each party from soliciting the other's employees or contractors for a specified period after termination.
- Insurance: Consider requiring Consultant to maintain professional liability or general liability insurance.
-
Legal Review: STRONGLY RECOMMENDED. Have an attorney licensed in the specified jurisdiction review the completed Agreement to ensure it meets your specific needs, complies with local laws, and adequately protects your interests.
Part 2: Execution & Filing
- Print Clean Copies: Print two (or more) identical, clean copies of the entire Agreement, including all schedules.
- Signatures: Both the Client's authorized representative and the Consultant's authorized representative must physically sign and date each copy of the Agreement in the designated signature blocks. Ensure titles are accurate.
- Initial Each Page (Optional but Recommended): For added security and to prevent tampering, both Parties may initial each page of the Agreement.
- Distribute Signed Copies: Each Party should receive an original, fully signed copy of the Agreement for their records. If there are multiple stakeholders (e.g., legal, finance), consider providing them with copies.
- Secure Storage: Store the original signed Agreement in a secure, accessible location (e.g., a locked file cabinet, a secure digital document management system). Maintain digital scans/PDFs of the signed document as backups.
Part 3: Post-Execution & Enforcement Considerations
- Monitor Compliance: Regularly review the Agreement to ensure both Parties are fulfilling their obligations (e.g., services delivered, payments made, confidentiality maintained).
- Maintain Records: Keep detailed records of all communications, deliverables, invoices, payments, and any changes or amendments related to the Agreement. This evidence is crucial for enforcement.
- Amendments: If any terms of the Agreement need to change during the engagement, create a written amendment, signed by both Parties, referencing the original Agreement. Do not rely on verbal agreements.
- Dispute Resolution: If a dispute arises:
- Reference the Agreement: Re-read the relevant clauses, especially Section 12 (Dispute Resolution).
- Good Faith Negotiation: Attempt to resolve issues through direct communication, escalating to senior management as needed.
- Formal Notice: If necessary, send formal written notice as per Section 13.1 for any breaches or termination.
- Mediation/Arbitration/Litigation: Follow the dispute resolution process outlined in Section 12.
