1. PARTIES & DEFINITIONS

1.1 The Parties:

2. DURATION & RENEWAL

2.1 This Agreement shall commence on the Commencement Date and shall endure for a fixed period ending on the Expiry Date, whereupon it shall automatically terminate without the necessity of notice, unless expressly renewed in writing by both Parties.

2.2 The Tenant shall have no right of tacit relocation (huur gaat voor koop or automatic continuation on a monthly basis) upon the expiry of this Agreement. Any holding over by the Tenant shall be deemed a material breach of contract, entitling the Landlord to immediate legal remedies and damages.


3. RENTAL, PAYMENT & DEPOSIT

3.1 Monthly Rental: The Tenant shall pay the Rental monthly in advance, without deduction or set-off, on or before the [Day, e.g., first] day of each calendar month (the "Due Date").

3.2 Payment Method: Payment shall be made via Electronic Funds Transfer (EFT) into the following nominated bank account of the Landlord:

3.3 Late Payment & Penalties: In the event that any amount due by the Tenant is not received by the Landlord by the Due Date, the Tenant shall automatically be liable to pay interest on the outstanding amount at the Interest Rate calculated daily and compounded monthly from the Due Date until date of final payment, without prejudice to the Landlord's right to cancel this Agreement.

3.4 Security Deposit: Upon signature of this Agreement, the Tenant shall pay the Deposit into the Landlord’s nominated account. The Landlord shall hold the Deposit in an interest-bearing account (if agreed in writing) as security for the faithful performance of all the Tenant's obligations.

3.5 Refund of Deposit: The Deposit, less any reasonable administrative costs and deductions for arrears, unpaid utilities, or the cost of repairing damage caused to the Leased Premises beyond fair wear and tear, shall be refunded to the Tenant within [Number, e.g., 21] business days after the expiration or termination of this Agreement and the joint outgoing inspection.


4. USE OF LEASED PREMISES

4.1 The Leased Premises shall be used exclusively for residential purposes and shall be occupied strictly by the Tenant and [Number] registered dependents/occupants ([Names of Occupants]).

4.2 The Tenant shall not cede, assign, transfer, sublet, or part with possession of the Leased Premises, whether wholly or partially, without the prior written consent of the Landlord, which consent may be withheld in the Landlord's absolute discretion.

4.3 The Tenant shall not cause or permit any nuisance, disturbance, or annoyance to neighbors or occupants of adjacent properties, and shall strictly comply with all applicable municipal bylaws of the relevant Namibian Local Authority, statutory regulations, and sectional title rules (if applicable).


5. MAINTENANCE, REPAIRS & INSPECTIONS

5.1 Incoming Inspection: The Landlord and the Tenant shall jointly inspect the Leased Premises prior to the Commencement Date to record any defects or damage. Such record shall be attached as Annexure B and signed by both parties. In the absence of such record, the Leased Premises shall be deemed to be in good, clean, and sound condition.

5.2 Tenant's Maintenance Obligations: The Tenant shall, at their own cost, maintain the interior of the Leased Premises, including internal fixtures, fittings, locks, windows, electrical installations, and sanitaryware, in good order and condition, fair wear and tear excepted. The Tenant shall promptly repair any damage caused by negligence, misuse, or abuse by the Tenant, their family, guests, or invitees.

5.3 Landlord's Maintenance Obligations: The Landlord shall be responsible for the maintenance of the exterior structure, roof, main water and sewerage reticulation outside the building footprint, and structural integrity of the Leased Premises, save where damage is caused by the Tenant.

5.4 Outgoing Inspection: Prior to the Expiry Date, the Landlord and Tenant shall conduct a joint outgoing inspection of the Leased Premises to determine any liabilities or damages attributable to the Tenant.


6. UTILITIES & SERVICES

6.1 Unless otherwise agreed in writing, the Tenant shall be directly liable for and shall pay all charges for electricity, water, gas, refuse removal, and any other municipal or utility services consumed or supplied in respect of the Leased Premises during the currency of this Agreement.

6.2 If the Landlord settles accounts on behalf of the Tenant, the Tenant shall reimburse the Landlord in full upon presentation of the relevant statements, failing which such amounts shall be deemed part of the arrears.


7. BREACH & TERMINATION

7.1 If the Tenant fails to pay any Rental or other amount due on the Due Date, or commits any other breach of the terms of this Agreement, and fails to remedy such breach within [Number, e.g., 7 (seven)] business days of receiving written notice from the Landlord requiring them to do so, the Landlord shall be entitled, without prejudice to any other rights available under Namibian law, to:

  • 7.1.1 Cancel this Agreement immediately, retake possession of the Leased Premises, and claim immediate eviction of the Tenant and all occupants; and/or
  • 7.1.2 Claim immediate payment of all arrear rentals, damages, and costs incurred (including legal costs on an attorney-and-client scale and collection commission).

7.2 The Landlord reserves all common law rights to claim damages resulting from the premature termination of this Agreement caused by the Tenant's breach.


8. DOMICILIUM CITANDI ET EXECUTANDI

8.1 The Parties choose the following physical addresses for the service of all notices, legal processes, and formal communications under this Agreement (domicilium citandi et executandi):

9. GENERAL PROVISIONS

9.1 Entire Agreement: This Agreement constitutes the entire record of the agreement between the Parties in regard to the subject matter hereof. No variation, modification, or consensual cancellation of this Agreement shall be of any force or effect unless reduced to writing and signed by both Parties.

9.2 Indulgence: No relaxation, leniency, or extension of time granted by the Landlord to the Tenant shall constitute a waiver of the Landlord's rights under this Agreement, nor shall it preclude the Landlord from exercising any rights strictly against the Tenant thereafter.

9.3 Jurisdiction: In terms of Section 45 of the Magistrates’ Court Act No. 32 of 1944 (as amended in Namibia), the Parties hereby consent to the jurisdiction of the Magistrate’s Court having jurisdiction over the Leased Premises in respect of any legal action arising from this Agreement, notwithstanding that the quantum of the claim may exceed the ordinary jurisdiction of such court.

11. STEP-BY-STEP EXECUTION & ENFORCEMENT GUIDE
