State and federal laws regarding consumer lending, educational financing, usury limits, Truth-in-Lending disclosures (TILA), and debtor rights vary significantly by jurisdiction.

Execution of this document without prior review by qualified legal counsel licensed within the applicable jurisdiction may result in statutory non-compliance, unenforceability of specific penalty or interest provisions, or regulatory penalties. CO-MAKER / GUARANTOR (If Applicable): [Co-Maker Full Legal Name], having a principal residential address at [Co-Maker Principal Address] (hereinafter referred to as the "Co-Maker", and together with the Maker, collectively referred to as the "Obligors"), who, by executing this Note, jointly and severally guarantee all obligations herein.

PAYEE / INSTITUTION: [Educational Institution Full Legal Name], a [State of Incorporation/Organization] [Entity Type, e.g., corporation / non-profit educational institution], having its principal place of business at [Institution Principal Address] (hereinafter referred to as the "Payee").

RECITALS

WHEREAS, the Payee has agreed to extend credit to the Maker in the principal amount of [Amount in USD] (USD $0.00) (the "Principal Amount") to finance the tuition, fees, and related educational expenses associated with such enrollment; and

WHEREAS, the Maker (and Co-Maker, if applicable) acknowledges receipt of good and valuable consideration, the adequacy and receipt of which are hereby acknowledged, and agrees to repay the Principal Amount together with all accrued interest and applicable fees strictly in accordance with the terms of this Note.

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Promise to Pay & Principal Amount

For value received, the Maker hereby unconditionally promises to pay to the order of the Payee, at its principal place of business or at such other address as the Payee may designate in writing, the Principal Amount of [Amount in USD] (USD $0.00), together with interest thereon calculated in accordance with Section 2 of this Note. Payments shall be made in lawful money of the United States of America, which shall be legal tender at the time of payment.

Section 2. Interest Rate & Payment Terms

2.1 Interest Rate: The unpaid principal balance of this Note shall bear interest at a fixed annual rate of [Interest Rate, e.g., 5.5]% per annum (the "Interest Rate"), or the maximum rate permitted by applicable state law, whichever is less. Interest shall be calculated on the basis of a 360-day year consisting of twelve 30-day months and shall accrue daily commencing on the Effective Date.

2.2 Repayment Schedule: The Maker shall repay the Principal Amount and accrued interest in installments as follows:

  • Installment Structure: [Insert installment terms, e.g., Sixty (60) equal monthly installments of USD [Amount] commencing on [Date], and continuing on the same day of each successive month thereafter until fully paid.]
  • Final Maturity Date: The entire outstanding principal balance, together with all accrued and unpaid interest, late charges, and collection costs, shall be due and payable in full on [Final Maturity Date] (the "Maturity Date").

2.3 Application of Payments: All payments remitted by the Maker shall be applied first to any late fees, collection costs, or administrative charges due under this Note, second to accrued and unpaid interest, and third to the reduction of the Principal Amount.

Section 3. Prepayment Privilege

The Maker reserves the right to prepay this Note, in whole or in part, at any time without penalty. Any partial prepayment shall not postpone the due date of any subsequent scheduled installment, nor change the amount of such installments, unless the Payee expressly agrees in writing to such modification. All prepayments shall be applied directly to the principal balance outstanding.

Section 4. Late Charges & Default Interest

4.1 Late Charges: If any scheduled payment is not received by the Payee within [Number, e.g., 10] calendar days of its due date, the Maker shall pay to the Payee a late charge of [Late Fee Amount, e.g., $50.00 or 5% of the overdue payment] to defray administrative collection expenses, to the maximum extent permitted by applicable law.

4.2 Default Interest: Upon the occurrence of an Event of Default (as defined in Section 6), and irrespective of whether the Payee accelerates the maturity of this Note, the outstanding principal balance shall bear interest at the lesser of [Default Interest Rate, e.g., 18]% per annum or the maximum legal rate permitted under applicable law (the "Default Rate"), accruing from the date of default until the default is fully cured or the Note is paid in full.

Section 5. Academic Sanctions for Non-Payment

In addition to all financial remedies available to the Payee under this Note, law, or equity, and to the maximum extent permitted by applicable institutional policy and state and federal law, the Payee reserves the right to withhold academic transcripts, diplomas, certificates, and enrollment privileges for any future academic terms until the outstanding balance under this Note—including all principal, interest, and late charges—is paid in full or an alternative payment arrangement has been formally executed and approved by the Payee.

Section 6. Events of Default

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

  1. Failure to Pay: The Maker fails to pay any principal, interest, late charge, or other sum due under this Note within [Number, e.g., 15] calendar days of its scheduled due date.
  2. Breach of Covenants: The Maker or Co-Maker breaches any other covenant, agreement, condition, or representation contained in this Note or any ancillary agreement executed in connection herewith.
  3. Insolvency or Bankruptcy: The Maker or Co-Maker makes an assignment for the benefit of creditors, files a petition in bankruptcy, is adjudicated bankrupt or insolvent, or has a receiver or trustee appointed for all or a substantial part of their assets.
  4. Misrepresentation: Any financial statement, application, or representation furnished by or on behalf of the Maker or Co-Maker to the Payee proves to have been materially false, misleading, or incorrect when made.

Section 7. Acceleration of Debt & Remedies

7.1 Acceleration: Upon the occurrence of any Event of Default, and at any time thereafter, the Payee may, at its sole option and without notice or demand (all such notice and demand being hereby expressly waived by the Maker and Co-Maker), declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, immediately due and payable.

7.2 Remedies Cumulative: The remedies of the Payee provided herein are cumulative and concurrent, and may be pursued singly, successively, or together against the Maker, the Co-Maker, or any collateral, at the sole discretion of the Payee. Failure of the Payee to exercise any right or remedy shall not constitute a waiver of the right to exercise the same at any subsequent time.

Section 8. Costs of Collection & Attorney’s Fees

If this Note is placed in the hands of an attorney for collection, or if collection is pursued through judicial proceedings, bankruptcy, or arbitration, the Maker and Co-Maker jointly and severally agree to pay all reasonable costs of collection, including, without limitation, reasonable attorneys’ fees, court costs, filing fees, and collection agency commissions, to the maximum extent permitted by applicable law.

Section 9. Waivers by Maker and Co-Maker

9.1 Waiver of Presentment and Notice: The Maker and Co-Maker, for themselves and their respective legal representatives, successors, and assigns, hereby severally waive presentment for payment, demand, protest, notice of protest, notice of dishonor, notice of intent to accelerate, notice of acceleration, and all other notices or demands of any kind in connection with the delivery, acceptance, performance, default, or enforcement of this Note.

9.2 Waiver of Defenses: No release of any security, no indulgence, extension of time, renewal, or modification of this Note, and no release of any co-maker, guarantor, or surety shall release or discharge the liability of the Maker or Co-Maker.

Section 10. Joint and Several Liability

If this Note is executed by more than one person or entity as Maker or Co-Maker, the obligations and liabilities of each such person or entity hereunder shall be joint and several. The Payee may proceed against any one or more Obligors independently, without necessity of proceeding against any other Obligor or exhausting any remedies against collateral.

Section 11. Miscellaneous Provisions

11.1 Severability: If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Note shall remain in full force and effect.

11.2 Amendments and Waivers: No modification, amendment, or waiver of any provision of this Note shall be effective unless executed in writing by both the Payee and the Maker. No failure or delay by the Payee in exercising any right hereunder shall operate as a waiver thereof.

11.3 Successors and Assigns: This Note shall be binding upon and shallure to the benefit of the Maker, the Co-Maker, and the Payee, and their respective heirs, legal representatives, successors, and permitted assigns. The Payee may assign, transfer, or sell this Note, in whole or in part, without notice to or consent of the Maker.

11.4 Entire Agreement: This Promissory Note constitutes the entire agreement between the Maker and the Payee with respect to the subject matter hereof and supersedes all prior negotiations, term sheets, correspondence, and preliminary understandings.

4. GOVERNING LAW & JURISDICTION

This Note shall be governed by, construed, and enforced in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles.

The Maker and Co-Maker hereby irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located within [County] County, [State], for any legal action, suit, or proceeding arising out of or relating to this Note.
