1. PARTIES

2. SERVICES & DELIVERABLES

3. COMPENSATION & TAXES

All Content must clearly and conspicuously disclose the commercial relationship (e.g., #ad, #sponsored) in accordance with platform guidelines. 4.2 Platform TOS: Influencer represents they have read and shall adhere to the Terms of Service of the relevant social media platforms.

5. INTELLECTUAL PROPERTY & USAGE RIGHTS

5.1 Work Made for Hire: All Content created hereunder shall be considered "work made for hire." To the extent such Content does not qualify as work made for hire, Influencer hereby assigns all right, title, and interest, including copyrights, to the Company. 5.2 Usage: Company is granted a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and distribute the Content for marketing purposes.

6. REPRESENTATIONS & INDEMNIFICATION

6.1 Representations: Influencer warrants the Content is original, does not infringe on third-party rights, and does not contain defamatory or illegal material. 6.2 Indemnification: Influencer agrees to indemnify and hold harmless Company from any claims, damages, or liabilities arising from a breach of this Agreement or any violation of applicable laws.

7. TERMINATION

Either party may terminate this Agreement with [Number] days’ written notice. In the event of breach, Company may terminate immediately and withhold payment for non-compliant or unfinished deliverables.

EXECUTION AND ENFORCEMENT GUIDE
