NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1: Scope of Services & Freight Particulars
1.1 Scope of Engagement: The Carrier agrees to transport, handle, and deliver the cargo specified in this Agreement and any associated shipping manifests or load tenders from the designated Origin Point ([Origin Address / Facility Name]) to the designated Destination Point ([Destination Address / Facility Name]).
1.2 Cargo Particulars: The Shipper warrants that the freight tendered hereunder is accurately described as to weight, quantity, classification, and condition. The total agreed shipment value or compensation for the logistics services rendered under this specific transaction is [Amount in USD], subject to adjustment pursuant to Section 2.
1.3 Mode and Route: Unless explicitly agreed upon in writing by both parties, the Carrier reserves absolute discretion in selecting the mode of transport, routing, and handling procedures required to effectuate timely delivery.

2.1 Rate and Consideration: The Shipper shall pay the Carrier the freight charges, accessorial fees, and tariffs calculated in accordance with Section 1.2 or any appended rate schedule. 2.2 Invoicing and Due Date: The Carrier shall issue an invoice to the Shipper upon completion of delivery or as otherwise agreed in writing. All undisputed invoices are due and payable in net thirty (30) calendar days from the date of issuance. 2.3 Late Payment and Interest: Any invoiced amount not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the date due until the date of actual payment. 2.4 Lien Rights: The Carrier shall have a general and continuous lien upon all goods, freight, and cargo in its possession, custody, or control for all charges past due (including storage fees, freight charges, advances, and legal/collection costs incurred). The Carrier may enforce such lien in accordance with applicable commercial code procedures.
Section 3: Term & Termination
3.1 Term: This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of one (1) year, unless earlier terminated in accordance with this Section 3. Thereafter, this Agreement shall automatically renew for successive one-year terms unless either party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term. 3.2 Termination for Convenience: Either party may terminate this Agreement for any reason, or no reason, by providing ninety (90) days prior written notice to the other party. 3.3 Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party: (a) materially breaches any provision of this Agreement and fails to cure such material breach within thirty (30) days of receipt of written notice detailing the breach; (b) becomes insolvent, makes an assignment for the benefit of creditors, or files for bankruptcy protection. 3.4 Post-Termination Obligations: Termination of this Agreement shall not discharge either party from any liability or obligation accrued prior to the effective date of termination, including the Shipper's obligation to pay for services rendered.
Section 4: Intellectual Property Ownership & Data Rights
4.1 Proprietary Rights: All software, logistics algorithms, proprietary tracking methodologies, routing data, and operational documentation utilized or developed by the Carrier remain the exclusive intellectual property of the Carrier. 4.2 Shipper Data: All data, manifests, and proprietary shipping information provided by the Shipper remain the property of the Shipper. Section 7: Limitation of Liability & Indemnification
7.1 Limitation of Liability: The Carrier’s liability for loss, damage, or delay to cargo shall be strictly limited to the actual documented loss, not to exceed the lesser of the actual replacement cost of the goods or standard released value provisions, unless an explicit declared value has been agreed upon and applicable surcharges have been paid. 7.2 Indemnification: Each party (the "Indemnifying Party") agrees to defend, indemnify, and hold harmless the other party, its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, or costs (including reasonable attorneys' fees) arising out of or relating to the Indemnifying Party's gross negligence, willful misconduct, or material breach of this Agreement.

8.1 Negotiation: In the event of any dispute arising out of or relating to this Agreement, the parties shall first attempt in good faith to resolve the dispute through senior management negotiations within thirty (30) days of receiving written notice of the dispute. 8.2 Binding Arbitration: If the dispute is not resolved through negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be New York, New York, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
Section 9: Governing Law & Jurisdiction
