4. OPERATIVE TERMS AND CONDITIONS OF CARRIAGE

SECTION 1: SCOPE OF CARRIAGE, RECEIPT, AND CONTRACT FORMATION

1.1 Contractual Nature. This Bill of Lading, including the terms and conditions set forth in this Section 4 (collectively, this "Contract"), governs the transportation services provided by the motor carrier identified on the face hereof ("Carrier") for the consignor ("Shipper") delivering cargo to the designated consignee ("Consignee"). By tendering cargo to Carrier, Shipper accepts and agrees to all terms set forth herein on its own behalf and as an authorized agent on behalf of the Consignee, the owner of the cargo, and any third party with an interest in the goods.

1.2 Receipt of Property. Carrier acknowledges receipt of the packages, handling units, and containers detailed in Section 2 above in apparent external good order, condition, and repair, except as specifically noted on the face of this document. Carrier makes no representation or warranty as to the internal condition, contents, quality, count, weight, or value of concealed cargo within sealed packaging, containers, pallets, or shrink-wrap ("Said to Contain" / "Shipper's Load and Count").

1.3 Reasonable Dispatch. Carrier does not guarantee delivery by a specific date, time, or for any particular market, and shall not be liable for transit delays except to the extent that such delay constitutes a material breach of the obligation to transport the property with reasonable dispatch under applicable federal standards. Carrier reserves the complete right to route, divert, re-route, transship, or physically transport the property via any highway, terminal facility, partner carrier, interline carrier, or intermodal platform that Carrier, in its sole operational discretion, deems necessary to execute the carriage.

SECTION 2: TARIFFS, NMFC INCORPORATION, AND CLASSIFICATION

2.1 Incorporation of Tariffs. This Contract is issued subject to the provisions of Carrier’s published Standard Rules Tariff, individual contract, rate schedule, and the National Motor Freight Classification (NMFC) series 100 in effect on the Effective Date. The terms, conditions, rules, accessorial structures, and rate applications of Carrier’s tariffs are incorporated herein by reference as though fully restated. In the event of an irreconcilable conflict between this document and an executed, bilateral, written motor contract carriage agreement entered into between Shipper and Carrier, the terms of such bilateral contract carriage agreement shall control; in all other cases, this document and Carrier's published rules tariff shall control.

2.2 Classification and Re-Weigh Verification. Shipper is solely responsible for accurately declaring the description, packaging type, NMFC classification code, handling unit count, cubic measurements, and gross weight of the cargo. Carrier reserves the immediate right, without prior notice, to inspect, weigh, and re-cube the shipment at any point during transit utilizing certified scale devices and electronic dimensioning equipment. If the actual weight, cube, or NMFC commodity class differs from that stated on the face hereof, Carrier shall revise the freight billing accordingly and assess a reasonable administrative re-weigh/re-class fee pursuant to Carrier's published rules tariff.

SECTION 3: COMPENSATION, ACCESSORIAL CHARGES, AND PAYMENT TERMS

3.1 Freight Charges and Accessorials. Shipper, Consignee, and Third-Party Billing Party (if applicable) shall be jointly and severally liable for all accrued freight charges, accessorial charges, detention, storage, redelivery fees, customs duties, fuel surcharges, and any operational expenses incurred by Carrier in moving, protecting, or preserving the cargo. Standard payment terms are net thirty (30) calendar days from the date of Carrier’s invoice.

3.2 Late Charges and Interest. Any unpaid balances exceeding thirty (30) calendar days from the invoice date shall accrue interest at the rate of one and one-half percent (1.5%) per month (eighteen percent [18%] per annum) or the maximum legal rate permissible under governing law, whichever is lower, calculated daily and compounded monthly until fully satisfied.

3.3 Prohibition of Set-Off. Neither Shipper, Consignee, nor any affiliated entity shall be entitled to deduct, offset, or withhold any portion of accrued freight charges or accessorial fees against pending, disputed, or settled cargo loss, damage, or delay claims. All freight charges must be paid in full as a condition precedent to the formal processing, adjustment, or satisfaction of any cargo liability claim.

3.4 Collection Costs and Legal Fees. In the event Carrier retains collection agencies, legal counsel, or initiates litigation to recover unpaid freight charges, accessorial fees, or related expenses, the defaulting party/parties shall indemnify and reimburse Carrier for all reasonable attorneys’ fees, court costs, administrative collection expenses, and statutory interest incurred.

SECTION 4: SECTION 7 NON-RECOURSE AND CARRIER'S LIEN

4.1 Non-Recourse Operation. If the Shipper signs the Section 7 Non-Recourse provision on the face of this document, and Carrier delivers the shipment to Consignee without requiring cash or certified funds payment of accrued freight and accessorial charges, the Shipper shall not be held liable for such unpaid freight charges. However, execution of Section 7 shall be null, void, and of no legal effect if: (a) the shipment is marked "Prepaid"; (b) Shipper has an underlying contractual obligation to pay the freight charges under a master service agreement; or (c) the Consignee formally refuses tender of the freight.

4.2 General and Specific Possessory Lien. Carrier possesses a continuous, general, and specific possessory lien upon all personal property, cargo, documents, and proceeds thereof tendered to Carrier, for all sums due and owing to Carrier from the Shipper, Consignee, or owner of the property, whether related to the specific property covered by this Bill of Lading or prior transportation services performed by Carrier. Carrier may exercise such lien by retaining possession of the cargo and, upon thirty (30) days’ written notice sent via certified mail or national overnight courier to the registered address of Shipper and Consignee, sell such property at public or private sale in accordance with applicable state commercial codes (UCC § 7-308) to satisfy the outstanding indebtedness, applying proceeds first to the expenses of sale and storage, then to the delinquent balance, remitting any surplus to the titled owner.

SECTION 5: CARGO LOSS, DAMAGE, AND DELAY: CARMACK LIABILITY LIMITATIONS

5.1 Statutory Baseline and Federal Standards. Carrier’s liability for loss, damage, destruction, or delay of cargo shall be governed exclusively by the provisions of the Carmack Amendment, 49 U.S.C. § 14706, as modified by the terms of this Contract and Carrier’s governing rules tariff.

5.2 Exclusions from Liability. Carrier shall not be liable for any loss, damage, delay, or failure of delivery caused by:

  • An act of God, natural disaster, severe weather phenomena, earthquake, flood, or hurricane;
  • The public enemy, acts of terrorism, war, hostilities, military operations, civil unrest, or cyber-attacks;
  • The authority of law, quarantine, governmental embargo, acts of state, customs holds, or regulatory seizures;
  • An inherent vice, latent defect, natural decay, shrinkage, evaporation, or chemical instability of the cargo itself;
  • An act, omission, default, or misstatement of the Shipper, Consignee, or their respective agents, including improper packing, marking, loading, blocking, bracing, or inaccurate description of the commodity;
  • Delays resulting from highway construction, physical road obstructions, mechanical breakdowns not attributable to gross negligence, or compliance with mandatory federal hours-of-service regulations (49 C.F.R. Part 395).

5.3 Contractual Limitations of Liability (Released Rates). In consideration of the transportation rate assessed, Carrier's liability for loss, damage, destruction, or unexcused delay shall be strictly limited as follows:

  • General Commodity Maximum: Unless a higher value is declared in Section 3.3 and excess valuation surcharges paid, Carrier's liability shall not exceed the lesser of: (i) the actual invoice cost of the damaged or lost goods; (ii) $[Amount in USD] per pound per individual damaged handling unit; or (iii) $[Amount in USD] aggregate total per shipment.
  • Used, Reconditioned, or Refurbished Goods: For all used, secondary, or refurbished items, Carrier's liability is strictly limited to $[Amount in USD] per pound per article, not to exceed $[Amount in USD] per shipment.
  • Uncapped/Undeclared Articles: Where NMFC items establish released rates or maximum valuation tiers, Carrier’s liability shall automatically default to the lowest valuation tier specified in the NMFC Series 100 for that commodity.

5.4 Consequential, Indirect, and Punitive Damages Waiver. UNDER NO CIRCUMSTANCES SHALL CARRIER, ITS AFFILIATES, OFFICERS, EMPLOYEES, SUBCONTRACTORS, OR INTERLINE CARRIERS BE LIABLE TO SHIPPER, CONSIGNEE, OWNER, OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF PRODUCTION, FACTORY SHUTDOWN COSTS, LOSS OF BUSINESS REPUTATION, SPOILED COMMERCIAL OPPORTUNITY, RESCHEDULING CHARGES, OR EXPEDITED FREIGHT COSTS, WHETHER OR NOT CARRIER HAD NOTICE OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE LEGAL THEORY ASSERTED.

SECTION 6: CLAIMS PRESENTATION, NOTICE PERIODS, AND FILING PROTOCOLS

6.1 Delivery Receipts and Exception Reporting. Consignee must inspect the cargo immediately upon physical tender of delivery. Any visible physical loss, damage, shortage, broken seal, or tampering with packaging must be explicitly documented in writing upon the Carrier's original delivery receipt before signing. A notation of "subject to count," "subject to inspection," or blank signature shall constitute prima facie evidence that the cargo was delivered intact, complete, and in undamaged condition.

6.2 Concealed Loss or Damage Notice. In the event of concealed loss, damage, or shortage not readily apparent at the time of delivery, written notice specifying the nature and extent of the damage must be delivered to Carrier within five (5) business days following the delivery date. The Consignee must maintain the cargo, original shipping cartons, inner packing materials, and pallets in the exact condition received until inspected by Carrier or its third-party adjusters. Failure to report concealed damage within five (5) business days permanently bars recovery and creates an irrebuttable presumption of delivery in good order.

6.3 Formal Claim Requirements (49 C.F.R. Part 370). A formal written or electronic claim for cargo loss, damage, or delay must be filed with Carrier within nine (9) months from the date of physical delivery (or, in the case of non-delivery, within nine [9] months from the date delivery would reasonably have occurred). To be legally sufficient, the claim must satisfy 49 C.F.R. § 370.3 by containing: (a) facts sufficient to identify the shipment (BOL number, PRO number, delivery date); (b) assertion of Carrier's liability; and (c) a claim for payment of a specified or determinable dollar amount, supported by original vendor commercial invoices, certified repair estimates, and salvage evaluations.

6.4 Time Bar for Legal Actions. Any civil action or lawsuit against Carrier for cargo loss, damage, or delay must be instituted in a court of competent jurisdiction within two (2) years and one (1) day from the date Carrier provides written notice disallowing or rejecting the claim, or any part thereof. Filing of a lawsuit within this period is an absolute condition precedent to recovery.

SECTION 7: HAZARDOUS MATERIALS, DANGEROUS GOODS, AND COMPLIANCE

7.1 Absolute Shipper Warranty. Shipper warrants that all articles, materials, or substances classified as hazardous materials or dangerous goods under federal, state, or international laws (including 49 C.F.R. Parts 171–180) tendered to Carrier are fully declared on this document, accurately classified, packaged, marked, labeled, certified, and placarded strictly in accordance with all applicable statutes.

7.2 Non-Disclosed and Undisclosed Hazmat. If Shipper tenders cargo containing hazardous materials or toxic substances without complete disclosure, appropriate placarding, and emergency contact details as required under Section 3.4:

  • Carrier may immediately, and without liability, offload, warehouse, neutralise, return, quarantine, or destroy such cargo at Shipper's sole expense;
  • Shipper shall indemnify, defend, and hold harmless Carrier, its drivers, agents, contractors, and governmental authorities from and against any and all civil fines, administrative penalties, environmental remediation costs, legal defense expenses, personal injuries, death, or property destruction directly or indirectly arising from such undisclosed cargo.

SECTION 8: SHIPPER WARRANTIES, PACKAGING, AND HANDLING PROTOCOLS

8.1 Adequacy of Packaging. Shipper warrants that all goods tendered for LTL carriage are packaged, crated, bundled, banded, shrink-wrapped, or containerized to withstand the ordinary and standard hazards of motor carrier LTL transit, including multi-terminal consolidation, mechanical cross-dock handling via forklift equipment, vibrational stress, shifting, and environmental variations. Fragile or static-sensitive goods must be marked with external warning symbology and properly protected internally.

8.2 Shipper Load and Count (SLC). Where goods are loaded and secured inside a trailer or container by Shipper without Carrier's physical observation (SLC), Carrier shall not be liable for shortages or damage resulting from improper stacking, inadequate internal bracing, load shifts, overweight axle configurations, or incorrect counts. Carrier's driver signature on an SLC shipment acknowledges receipt of the outer transport vehicle or sealed unit only, not the internal commodity inventory.

SECTION 9: MUTUAL INDEMNIFICATION AND DEFENSE OBLIGATIONS

9.1 Shipper Indemnification. Shipper agrees to defend, indemnify, and hold harmless Carrier, its parent, subsidiaries, affiliates, independent contractors, officers, directors, and employees from and against any and all liabilities, claims, suits, judgments, fines, penalties, environmental clean-up costs, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) any breach of Shipper's representations, warranties, or covenants under this Contract; (b) any negligence, gross negligence, or intentional misconduct of Shipper or its employees, contractors, or agents; (c) the misclassification, inaccurate weight declarations, or packaging failure of the cargo; or (d) any statutory violations of 49 C.F.R., OSHA, or EPA standards by Shipper.

9.2 Carrier Indemnification. Carrier agrees to defend, indemnify, and hold harmless Shipper, its affiliates, officers, directors, and employees from and against third-party personal injury, wrongful death, or physical damage to tangible third-party property (expressly excluding the cargo carried hereunder, which is governed exclusively by Section 5) to the direct extent caused by the gross negligence or intentional misconduct of Carrier or its employees while operating the motor vehicle on public roads.

SECTION 10: CONFIDENTIALITY AND PROPRIETARY DATA

10.1 Confidential Information. Neither party shall disclose the proprietary commercial terms of this carriage, including negotiated individual contract rates, volume discount matrices, lane distribution data, customer lists, or proprietary logistics software data to any third party without prior written consent, except: (a) to legal counsel, accountants, or financial auditors bound by professional duties of confidentiality; (b) to the extent required by valid judicial subpoena, statutory command, or regulatory audit; or (c) to interline motor carriers, warehouse operators, and delivery agents strictly as necessary to execute the underlying carriage.

SECTION 11: INTELLECTUAL PROPERTY AND TRANSPORTATION DATA

11.1 Ownership of Operations Data. Carrier retains exclusive ownership over all operational tracking, telematics, GPS, route optimization algorithms, fleet metrics, and automated manifest logs generated in the performance of the carriage. Shipper is granted a non-exclusive, revocable, non-transferable license to utilize tracking portals and application programming interfaces (APIs) solely to trace individual shipments in real time.

SECTION 12: DISPUTE RESOLUTION AND MANDATORY ARBITRATION

12.1 Good Faith Negotiations. In the event of any controversy, claim, or dispute arising out of or relating to this Contract or the breach, termination, enforcement, or interpretation thereof, the designated corporate representatives of Shipper and Carrier shall meet and confer in good faith within fifteen (15) calendar days of formal written notice to resolve the dispute amicably.

12.2 Mandatory Binding Arbitration. If the dispute is not resolved through negotiation within thirty (30) days of notice, it shall be settled exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single neutral arbitrator selected in accordance with said rules.

  • Seat and Venue: The legal place of arbitration shall be [City, State of Carrier Headquarters].
  • Authority: The arbitrator shall have exclusive authority to resolve all threshold issues regarding arbitrability, validity, scope, and enforceability of this Contract. The arbitrator shall have no authority to award punitive, exemplary, or indirect consequential damages.
  • Enforcement: Judgment on the award rendered by the arbitrator may be entered and enforced in any court having competent jurisdiction thereof.
  • Carriage Claims Exception: The parties may mutually elect in writing to submit qualifying cargo damage disputes under $50,000 to the Transportation Arbitration Board (TAB) rules in lieu of AAA proceedings.

SECTION 13: GOVERNING LAW AND PREEMPTION

13.1 Federal Law Dominance. This Contract, its interpretation, validity, and performance shall be governed primarily by the transportation statutes of the United States, including 49 U.S.C. Subtitle IV, the Carmack Amendment (49 U.S.C. § 14706), the Federal Bills of Lading Act (49 U.S.C. § 80101 et seq.), the Federal Aviation Administration Authorization Act of 1994 (FAAAA, 49 U.S.C. § 14501(c)(1)), and applicable federal regulations.

13.2 State Law Gap-Filler. To the extent that federal law does not preempt or address a specific common-law contract or statutory issue, the substantive laws of the State of [State], without regard to its conflict of law principles, shall govern.

SECTION 14: MISCELLANEOUS PROVISIONS

14.1 Severability. If any provision, clause, sentence, or sub-part of this Contract is determined by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, unconstitutional, or unenforceable under applicable law, such invalidity shall not affect or invalidate the remaining provisions of this Contract, which shall continue in full force and effect, and the invalid provision shall be deemed reformed to the minimum extent necessary to achieve legal enforceability.

14.2 Entire Agreement. This Bill of Lading, alongside any applicable executed bilateral contract carriage agreement and Carrier's published rules tariff, represents the entire, integrated understanding of the parties with respect to the subject matter hereof. It supersedes all prior oral or written negotiations, email quotes, informal representations, custom of the trade, or prior courses of dealing.

14.3 Force Majeure. Carrier shall be relieved of liability and excused from its operational performance obligations if performance is prevented, delayed, or impeded by a Force Majeure Event, including severe snowstorms, floods, ice events, mechanical blockages of public rights-of-way, labor disputes, port strikes, epidemics, national fuel shortages, or civil declarations of emergency.

14.4 Electronic Transmissions and Counterparts. This document may be issued, signed, validated, archived, and transmitted electronically pursuant to the Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. § 7001 et seq.) and the Uniform Electronic Transactions Act (UETA). Electronic signatures, digital check-ins at terminal gates, and digitized images of delivery driver stylus signatures on handheld devices shall carry identical legal validity and evidentiary weight as original wet-ink signatures.

6. STEP-BY-STEP EXECUTION, OPERATIONAL HANDLING, AND FILING GUIDE

To guarantee institutional-grade legal enforceability, full regulatory compliance with the Federal Motor Carrier Safety Administration (FMCSA), and seamless claims protection, logistics operations personnel must execute this Bill of Lading (BOL) in accordance with the following structured protocol:

Step 1: Pre-Populating Bracketed Master Fields in Word/Docs

  1. Open the document template in Microsoft Word, Google Docs, or an enterprise Transportation Management System (TMS).
  2. Utilize the search and replace tool (Ctrl+H / Cmd+H) to convert all bracketed identity placeholders:
    • Replace [Shipper Full Legal Name] and [Shipper Street Address] with the legal business entity of origin.
    • Replace [Carrier Full Legal Name], [Carrier USDOT Number], and [Carrier MC Number] with the operating motor carrier's verified federal credentials.
    • Replace [Consignee Full Legal Name] and [Consignee Street Address] with destination receiving details.
    • Replace [State] in Section 13.2 with the governing state law (typically the carrier's or shipper's principal place of business).
    • Enter specific liability ceilings into Section 5.3 (e.g., standard defaults: $25.00 per pound or $100,000 per shipment).

Step 2: Accurate Manifest Classification & HazMat Verification

  1. Gross Weight & Dimensions: Measure the precise cubic footprint and certify gross weight on certified scales. LTL billing adjustments and rate-class revisions occur when dimensional weight exceeds actual scale weight.
  2. NMFC Classification: Confirm the specific National Motor Freight Classification item number and class (Class 50 through 500) based on commodity density, handling characteristics, stowability, and liability.
  3. Hazardous Materials Audit: If cargo contains any 49 C.F.R. regulated substances:
    • Check the "HM" column.
    • List the UN/NA Identification Number, Proper Shipping Name, Hazard Class, and Packing Group.
    • Complete Section 3.4 with a valid 24-hour emergency phone number and CHEMTREC/INFOTRAC contract authorization.

Step 3: Determining Financial & Legal Elections Prior to Tender

  1. Freight Terms Selection: Mark precisely whether the freight is Prepaid, Collect, or Third-Party.
  2. Section 7 Non-Recourse: If the transaction is structured such that the Shipper refuses secondary liability for freight charges in the event the Consignee defaults, ensure an authorized representative of the Shipper individually signs Section 3.2. (Do not execute if shipment terms are Prepaid).
  3. Declared Value: If the shipment value exceeds Carrier’s baseline tariff limitations, write the exact declared value in Section 3.3. Ensure that excess valuation surcharges are authorized by management, as this triggers carrier insurance premiums.

Step 4: Physical Loading, Driver Tendering, and Execution

  1. Driver Verification: Verify the carrier's driver credentials, trailer number, and operating authority SCAC prior to releasing physical freight.
  2. Origin Signatures:
    • The Shipper’s shipping clerk signs the Shipper signature block and enters the exact dispatch date.
    • The Carrier’s driver signs the Carrier block, recording the PRO number, trailer number, and exact count of handling units.
  3. Shipper Load and Count (SLC): If the driver is not permitted on the dock to witness loading, write "Shipper Load and Count" or "SLC" clearly across the manifest, and apply an ultra-high security mechanical bolt seal, recording the seal ID in the control block.

Step 5: Destination Delivery and Exception Receipting

  1. Dock Verification: Upon arrival at the Consignee facility, the receiving dock manager must inspect the outer condition of all pallets and verify the intact status of the origin seal.
  2. Explicit Exception Logging: If any item is missing, crushed, wet, torn, or re-taped:
    • Write the exact exceptions on Carrier's physical or electronic delivery receipt (e.g., "Pallet 2 crushed, 4 cartons missing from lot, seal broken upon arrival").
    • Never sign without documenting damage; broad notations like "Subject to Count" hold no legal standing in Carmack claim disputes.
  3. Final Consignee Execution: The receiving agent signs, prints name, and dates the Consignee block, completing the delivery documentation.

Step 6: Digital Archival, Audit, and Document Retention

  1. FMCSA Record Retention (49 C.F.R. § 379.5): Retain legible hard copies or digitized PDF records of all executed Bills of Lading, shipping receipts, scale tickets, and delivery receipts for a statutory minimum of three (3) years.
  2. E-Signature Systems: If executed via DocuSign, Adobe Sign, or enterprise TMS mobile applications, secure the cryptographically verifiable audit trail certificate demonstrating signatory IP addresses, email authorizations, and timestamped events.
  3. Claims Preservation: If cargo damage is documented, route this completed, signed document immediately to the Risk Management and Logistics Legal Departments to satisfy the 5-day concealed damage notice or 9-month Carmack Amendment claim presentation deadlines.
