STEP-BY-STEP EXECUTION & FILING GUIDE
- Customization: Open this document in your preferred word processor. Use the "Find and Replace" function to update all bracketed fields
[ ]with your specific corporate data. Ensure the "Governing Jurisdiction" matches the state listed on your Articles of Incorporation. - Board Review: Submit the draft to your Board of Directors. They must pass a "Resolution Adopting Bylaws" to formally bring these into effect.
- Formal Adoption: Print two hard copies (or prepare a digital version). Both the Board and key shareholders should sign to evidence consent.
- Digital Execution: If using DocuSign or Adobe Sign, ensure the "Signature Order" is set so that the Corporate Secretary signs last to certify the document.
- Corporate Record Book: These Bylaws must be kept in the Corporation’s "Minute Book"—a binder or secure digital vault that houses the Articles of Incorporation, Bylaws, Board Minutes, and Share Certificates.
- Filing: In most jurisdictions, Bylaws are private documents and are not filed with the Secretary of State (unlike Articles of Incorporation). Keep them strictly internal.
