RECITALS & CORPORATE FOUNDATION
WHEREAS, the Articles of Incorporation of [CORPORATION FULL LEGAL NAME] (the "Corporation") have been duly executed, delivered, and filed with the California Secretary of State on [Filing Date, e.g., October 1, 2024], under Corporate Entity Number [Entity Number]; and
WHEREAS, the initial Director(s) of the Corporation have been duly named or the Incorporator has adopted organizational actions transferring regulatory authority to the duly appointed initial Board of Directors; and
WHEREAS, the Board of Directors (the "Board") deems it essential and in the best interests of the Corporation to establish comprehensive, institutional-grade internal governance bylaws to govern the Corporation's operations, shareholder affairs, management structure, and legal compliance obligations.
NOW, THEREFORE, the following are adopted as the official Bylaws of the Corporation:
ARTICLE I: OFFICES
Section 1.01. Principal Executive Office
The principal executive office for the transaction of the business of the Corporation is hereby established at:
[Principal Address, Street Address, Suite/Floor]
[City, State, Zip Code]
The Board is granted full power and authority to change said principal executive office from one location to another within or without the State of California. Any such change shall be noted by the Secretary in these Bylaws opposite this Section, or this Section shall be formally amended.
Section 1.02. Other Offices
Branch, regional, or subordinate offices may be established at any time, within or outside the State of California, by resolution of the Board or by authorized officers acting pursuant to delegated Board authority.
ARTICLE II: MEETINGS OF SHAREHOLDERS
Section 2.01. Place of Meetings
Meetings of shareholders shall be held at any place within or outside the State of California designated by the Board. In the absence of any such designation, shareholder meetings shall be held at the principal executive office of the Corporation. Subject to the requirements of the California Corporations Code (specifically Section 600(a)), meetings may be conducted entirely or partially by electronic transmission by and to the Corporation, electronic video screen communication, or conference telephone, provided that the Corporation implements reasonable measures to verify that each person deemed present and permitted to vote is a shareholder or proxyholder, and provides a reasonable opportunity to participate and vote.
Section 2.02. Annual Meeting
The annual meeting of shareholders shall be held on [Specific Day, e.g., the second Tuesday in the month of May] of each year at [Time, e.g., 10:00 A.M. Pacific Time], or at such other date and time as the Board may determine by resolution. At the annual meeting, directors shall be elected, reports of the affairs of the Corporation shall be considered, and any other proper business may be transacted within the scope of shareholder authority.
Section 2.03. Special Meetings
Special meetings of the shareholders may be called at any time by:
- The Board;
- The Chair of the Board;
- The Chief Executive Officer or President; or
- One or more shareholders holding an aggregate of not less than ten percent (10%) of the total voting power of the shares entitled to vote at such meeting.
Upon receipt of a written request addressed to the Chair of the Board, President, Chief Executive Officer, or Secretary, specifying the purpose of the special meeting, the officer receiving the request shall promptly cause notice to be given to all shareholders entitled to vote that a meeting will be held at a time requested by the person or persons calling the meeting, not less than thirty-five (35) nor more than sixty (60) days after the receipt of the request.
Section 2.04. Notice of Shareholders' Meetings
All notices of meetings of shareholders shall be sent or otherwise given in writing not less than ten (10) (or, if sent by third-class mail, thirty (30)) nor more than sixty (60) days before the date of the meeting to each shareholder entitled to vote thereat. Notice may be given personally, by electronic transmission (consistent with Section 20 of the California Corporations Code), or by first-class mail addressed to the shareholder at the address appearing on the books of the Corporation or given by the shareholder to the Corporation for purpose of notice. The notice shall state:
- The place, date, and hour of the meeting;
- The means of any electronic transmission or electronic video screen communication by which shareholders may participate;
- In the case of a special meeting, the general nature of the business to be transacted, and that no other business may be transacted; and
- In the case of the annual meeting, those matters which the Board, at the time of the mailing of the notice, intends to present for action by the shareholders, including the names of nominees intended at the date of the notice to be presented by the Board for election.
Section 2.05. Quorum
A majority of the shares entitled to vote, represented in person or by proxy, shall constitute a quorum for the transaction of business at any meeting of shareholders. If a quorum is present, the affirmative vote of the majority of the shares represented and voting, which shares voting affirmatively also constitute at least a majority of the required quorum, shall be the act of the shareholders, unless the vote of a greater number or voting by classes is required by the California General Corporation Law or the Articles of Incorporation. The shareholders present at a duly called or held meeting at which a quorum is present may continue to transact business until adjournment, notwithstanding the withdrawal of enough shareholders to leave less than a quorum, if any action taken (other than adjournment) is approved by at least a majority of the shares required to constitute a quorum.
Section 2.06. Adjournment and Notice of Adjourned Meetings
Any shareholders' meeting, whether or not a quorum is present, may be adjourned from time to time by the affirmative vote of a majority of the shares represented, but in the absence of a quorum no other business may be transacted. When a meeting is adjourned to another time or place, notice need not be given of the adjourned meeting if the time and place are announced at the meeting at which the adjournment is taken, unless the adjournment is for more than forty-five (45) days, or if after the adjournment a new record date is fixed for the adjourned meeting.
Section 2.07. Voting Rights and Cumulative Voting
Shareholders entitled to vote at any meeting shall be determined as of the record date established pursuant to these Bylaws. Each outstanding share, regardless of class, shall be entitled to one vote on each matter submitted to a vote, unless otherwise provided in the Articles of Incorporation.
Every shareholder entitled to vote at any election of directors may cumulate such shareholder's votes and give one candidate a number of votes equal to the number of directors to be elected multiplied by the number of votes to which the shareholder's shares are normally entitled, or distribute the votes on the same principle among as many candidates as the shareholder thinks fit, provided that:
- The candidate or candidates have been placed in nomination prior to the voting; and
- The shareholder has given notice at the meeting prior to the voting of the shareholder's intention to cumulate votes.
If any shareholder has given such notice, all shareholders may cumulate their votes for candidates in nomination.
Section 2.08. Action Without Meeting by Written Consent
Subject to California Corporations Code Section 603, any action that may be taken at any annual or special meeting of shareholders may be taken without a meeting and without prior notice, if a consent in writing, setting forth the action so taken, is signed by the holders of outstanding shares having not less than the minimum number of votes that would be necessary to authorize or take that action at a meeting at which all shares entitled to vote thereon were present and voted.
Directors may not be elected by written consent except by unanimous written consent of all shares entitled to vote for the election of directors; provided, however, that the shareholders may elect a director to fill a vacancy (other than a vacancy created by removal) not filled by the directors by the written consent of a majority of outstanding shares entitled to vote.
ARTICLE III: BOARD OF DIRECTORS
Section 3.01. General Powers
Subject to the provisions of the California General Corporation Law and any limitations in the Articles of Incorporation and these Bylaws relating to action required to be approved by the shareholders, the business and affairs of the Corporation shall be managed and all corporate powers shall be exercised by or under the direction of the Board.
Section 3.02. Number and Qualifications of Directors
The authorized number of directors of the Corporation shall be [Insert Number, e.g., Three (3)] until changed by an amendment of the Articles of Incorporation or by an amendment to this Section 3.02 duly adopted by the vote or written consent of the holders of a majority of the outstanding shares entitled to vote; provided, however, that an amendment reducing the fixed number of directors to a number less than five (5) cannot be adopted if the votes cast against its adoption at a meeting, or the shares not consenting in the case of action by written consent, are equal to more than sixteen and two-thirds percent (16-2/3%) of the outstanding shares entitled to vote. Directors need not be residents of the State of California or shareholders of the Corporation.
Section 3.03. Election and Term of Office
The directors shall be elected at each annual meeting of shareholders to hold office until the next annual meeting. Each director, including a director elected to fill a vacancy, shall hold office until the expiration of the term for which elected and until a successor has been elected and qualified, or until earlier death, resignation, or removal.
Section 3.04. Vacancies and Removals
A vacancy on the Board occurs in the event of the death, resignation, or removal of any director, or if the authorized number of directors is increased, or if the shareholders fail, at any meeting of shareholders at which any director or directors are elected, to elect the full authorized number of directors to be voted for at that meeting.
The entire Board or any individual director may be removed from office without cause by the affirmative vote of a majority of the outstanding shares entitled to vote; provided, however, that unless the entire Board is removed, no individual director may be removed when the votes cast against removal, or not consenting in writing to the removal, would be sufficient to elect that director if voted cumulatively at an election at which the same total number of votes were cast and the entire number of directors authorized at the time of their most recent election were then being elected.
Vacancies on the Board, other than those caused by the removal of a director, may be filled by a majority of the remaining directors, though less than a quorum, or by a sole remaining director. Each director so elected shall hold office until the next annual meeting of the shareholders and until a successor has been elected and qualified. A vacancy caused by the removal of a director may be filled only by the affirmative vote of a majority of the shares entitled to vote at a meeting or by the unanimous written consent of all shares entitled to vote.
Section 3.05. Place of Meetings and Telephonic Meetings
Regular and special meetings of the Board may be held at any place within or outside the State of California designated by the Board, or at the principal executive office. Members of the Board may participate in a meeting through the use of conference telephone, electronic video screen communication, or electronic transmission by and to the Corporation pursuant to California Corporations Code Section 307. Participation in a meeting pursuant to this Section constitutes presence in person at that meeting if all directors participating can hear one another and are provided the means of participating fully in all matters.
Section 3.06. Regular Meetings
Regular meetings of the Board may be held without notice at such time and at such place as shall from time to time be determined by the Board.
Section 3.07. Special Meetings and Notice
Special meetings of the Board for any purpose may be called at any time by the Chair of the Board, the Chief Executive Officer, the President, any Vice President, the Secretary, or any two (2) directors. Notice of the time and place of special meetings shall be:
- Delivered personally or by telephone (including a voice messaging system);
- Sent by first-class mail, postage prepaid, addressed to each director at that director's address as it is shown on the records of the Corporation, at least four (4) days prior to the meeting; or
- Sent by electronic transmission (e-mail, facsimile) at least forty-eight (48) hours prior to the time of the holding of the meeting.
The notice need not specify the purpose of any regular or special meeting of the Board.
Section 3.08. Quorum and Action of the Board
A majority of the authorized number of directors shall constitute a quorum for the transaction of business. Every act or decision done or made by a majority of the directors present at a meeting duly held at which a quorum is present is the act of the Board, subject to the provisions of the California General Corporation Law (including Section 310 regarding interested directors and Section 317 regarding indemnification). A meeting at which a quorum is initially present may continue to transact business notwithstanding the withdrawal of directors, if any action taken is approved by at least a majority of the required quorum for that meeting.
Section 3.09. Unanimous Action Without Meeting
Any action required or permitted to be taken by the Board may be taken without a meeting, if all members of the Board shall individually or collectively consent in writing to that action. Such written consent or consents shall be filed with the minutes of the proceedings of the Board. Such action by written consent shall have the same force and effect as a unanimous vote of the Board.
Section 3.10. Committees of the Board
The Board may, by resolution adopted by a majority of the authorized number of directors, designate one or more committees, each consisting of two (2) or more directors, to serve at the pleasure of the Board. The Board may delegate to such committees any of the authority of the Board, except with respect to:
- The approval of any action which, under the California Corporations Code, also requires shareholders' approval or approval of the outstanding shares;
- The filling of vacancies on the Board or on any committee;
- The fixing of compensation of the directors for serving on the Board or on any committee;
- The amendment or repeal of Bylaws or the adoption of new Bylaws;
- The amendment or repeal of any resolution of the Board which by its express terms is not so amendable or repealable;
- A distribution to the shareholders of the Corporation, except at a rate, in a periodic amount or within a price range set forth in the Articles of Incorporation or determined by the Board; and
- The appointment of other committees of the Board or the members thereof.
Section 3.11. Compensation of Directors
Directors and members of committees may receive such compensation, if any, for their services, and such reimbursement of expenses, as may be fixed or determined by resolution of the Board. This Section shall not preclude any director from serving the Corporation in any other capacity as an officer, agent, employee, or otherwise, and receiving compensation for those services.
ARTICLE IV: OFFICERS
Section 4.01. Officers
The officers of the Corporation shall be a Chief Executive Officer or President, a Secretary, and a Chief Financial Officer (who may also be designated as the Treasurer). The Corporation may also have, at the discretion of the Board, a Chair of the Board, one or more Vice Presidents, one or more Assistant Secretaries, one or more Assistant Treasurers, and such other officers as may be appointed in accordance with the provisions of Section 4.03. Section 4.04. Removal and Resignation of Officers
Subject to the rights, if any, of an officer under any contract of employment, any officer may be removed, either with or without cause, by the Board at any regular or special meeting of the Board, or, except in case of an officer chosen by the Board, by any officer upon whom such power of removal may be conferred by the Board.
Any officer may resign at any time by giving written notice to the Corporation. Any resignation shall take effect at the date of the receipt of that notice or at any later time specified in that notice; and, unless otherwise specified in that notice, the acceptance of the resignation shall not be necessary to make it effective.
Section 4.05. Vacancies in Offices
A vacancy in any office because of death, resignation, removal, disqualification, or any other cause shall be filled in the manner prescribed in these Bylaws for regular appointment to that office.
Section 4.06. Chief Executive Officer / President

They shall preside at all meetings of the shareholders and, in the absence of the Chair of the Board, or if there be none, at all meetings of the Board. They shall have the general powers and duties of management usually vested in the office of president and chief executive officer of a corporation and shall have such other powers and duties as may be prescribed by the Board or these Bylaws.
Section 4.07. Secretary
The Secretary shall attend all meetings of the Board and all meetings of the shareholders and keep or cause to be kept, at the principal executive office or such other place as the Board may direct, a book of minutes of all meetings and actions of directors, committees of directors, and shareholders.
The Secretary shall keep, or cause to be kept, at the principal executive office or at the office of the Corporation's transfer agent or registrar, a share register, or a duplicate share register, showing the names of the shareholders and their addresses, the number and classes of shares held by each, the number and date of certificates issued for the same, and the number and date of cancellation of every certificate surrendered for cancellation.
The Secretary shall give, or cause to be given, notice of all meetings of the shareholders and of the Board required by these Bylaws or by law to be given, and shall keep the seal of the Corporation if one be adopted, in safe custody, and shall have such other powers and perform such other duties as may be prescribed by the Board or by these Bylaws.
Section 4.08. Chief Financial Officer
The Chief Financial Officer shall keep and maintain, or cause to be kept and maintained, adequate and correct books and records of accounts of the properties and business transactions of the Corporation, including accounts of its assets, liabilities, receipts, disbursements, gains, losses, capital, retained earnings, and shares.
The Chief Financial Officer shall deposit all money and other valuables in the name and to the credit of the Corporation with such depositories as may be designated by the Board. They shall disburse the funds of the Corporation as may be ordered by the Board, shall render to the Chief Executive Officer, President, and directors, whenever they request it, an account of all transactions as Chief Financial Officer and of the financial condition of the Corporation, and shall have other powers and perform such other duties as may be prescribed by the Board or these Bylaws.

Section 5.01. Indemnification of Corporate Agents
For the purposes of this Article, "agent" means any person who is or was a director, officer, employee, or other agent of the Corporation, or is or was serving at the request of the Corporation as a director, officer, employee, or agent of another foreign or domestic corporation, partnership, joint venture, trust, or other enterprise; "proceeding" means any threatened, pending, or completed action or proceeding, whether civil, criminal, administrative, or investigative; and "expenses" includes, without limitation, attorneys' fees and any expenses of establishing a right to indemnification under Section 5.04 or Section 5.05(c).
Section 5.02. Actions Other Than by or in the Right of the Corporation
The Corporation shall indemnify any person who was or is a party or is threatened to be made a party to any proceeding (other than an action by or in the right of the Corporation to procure a judgment in its favor) by reason of the fact that the person is or was an agent of the Corporation, against expenses, judgments, fines, settlements, and other amounts actually and reasonably incurred in connection with the proceeding if that person acted in good faith and in a manner the person reasonably believed to be in the best interests of the Corporation and, in the case of a criminal proceeding, had no reasonable cause to believe the conduct of the person was unlawful.
Section 5.03. Actions by or in the Right of the Corporation
The Corporation shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending, or completed action by or in the right of the Corporation to procure a judgment in its favor by reason of the fact that the person is or was an agent of the Corporation, against expenses actually and reasonably incurred by that person in connection with the defense or settlement of the action if the person acted in good faith, in a manner the person believed to be in the best interests of the Corporation and its shareholders. No indemnification shall be made under this Section 5.03:
- In respect of any claim, issue, or matter as to which the person shall have been adjudged to be liable to the Corporation in the performance of that person's duty to the Corporation and its shareholders, unless and only to the extent that the court in which the proceeding is or was pending shall determine upon application that, in view of all the circumstances of the case, the person is fairly and reasonably entitled to indemnity for expenses and then only to the extent that the court shall determine;
- Of amounts paid in settling or otherwise disposing of a pending action without court approval; or
- Of expenses incurred in defending a pending action which is settled or otherwise disposed of without court approval.
Section 5.04. Mandatory Indemnification upon Successful Defense
To the extent that an agent of the Corporation has been successful on the merits in defense of any proceeding referred to in Section 5.02 or 5.03 or in defense of any claim, issue, or matter therein, the agent shall be indemnified against expenses actually and reasonably incurred by the agent in connection therewith.
Section 5.05. Determination of Standard of Conduct
Except as provided in Section 5.04, any indemnification under this Article shall be made by the Corporation only if authorized in the specific case, upon a determination that indemnification of the agent is proper in the circumstances because the agent has met the applicable standard of conduct set forth in Section 5.02 or 5.03, by:
- A majority vote of a quorum consisting of directors who are not parties to such proceeding;
- If such a quorum of directors is not obtainable, by independent legal counsel in a written opinion;
- Approval of the shareholders (pursuant to California Corporations Code Section 153), with the shares owned by the person to be indemnified not being entitled to vote thereon; or
- The court in which the proceeding is or was pending upon application made by the Corporation or the agent or the attorney or other person rendering services in connection with the defense, whether or not the application by the agent, attorney, or other person is opposed by the Corporation.
Section 5.06. Advancement of Expenses
Expenses incurred in defending any proceeding shall be advanced by the Corporation prior to the final disposition of the proceeding upon receipt of an undertaking by or on behalf of the agent to repay that amount if it shall be determined ultimately that the agent is not entitled to be indemnified as authorized in this Article.
Section 5.07. Non-Exclusivity and Enforceability
The indemnification and advancement of expenses provided by, or granted pursuant to, this Article shall not be deemed exclusive of any other rights to which those seeking indemnification or advancement of expenses may be entitled under any statute, provision of the Articles of Incorporation, Bylaws, agreement, vote of shareholders or disinterested directors, or otherwise, both as to action in an official capacity and as to action in another capacity while holding that office, to the fullest extent permitted by California Corporations Code Section 317 and Section 204(a)(10) and (11).
Section 5.08. Insurance
The Corporation shall have the power to purchase and maintain insurance on behalf of any agent of the Corporation against any liability asserted against or incurred by the agent in that capacity or arising out of the agent's status as such, whether or not the Corporation would have the power to indemnify the agent against that liability under the provisions of this Article or under California Corporations Code Section 317.
ARTICLE VI: SHARES AND STOCK CERTIFICATES
Section 6.01. Certificates for Shares
Shares of the Corporation may be certificated or uncertificated, as provided under California law. Certificates representing shares of the Corporation shall be in such form as is approved by the Board. Every holder of shares in the Corporation represented by certificates shall be entitled to have a certificate signed in the name of the Corporation by:
- The Chair of the Board, the Chief Executive Officer, the President, or a Vice President; and
- The Chief Financial Officer, the Treasurer, an Assistant Treasurer, the Secretary, or an Assistant Secretary.
Any or all of the signatures on the certificate may be facsimiles. If any officer, transfer agent, or registrar who has signed or whose facsimile signature has been placed upon a certificate shall have ceased to be such officer, transfer agent, or registrar before such certificate is issued, it may be issued by the Corporation with the same effect as if that person were an officer, transfer agent, or registrar at the date of issue.
Section 6.02. Transfer of Shares
Transfers of shares of the Corporation shall be made only on the books of the Corporation by the registered holder thereof, or by their attorney lawfully constituted in writing, and upon surrender of the certificate or certificates for such shares, properly endorsed, or accompanied by proper evidence of succession, assignment, or authority to transfer, with such proof of the authenticity of signature as the Corporation may reasonably require. In the case of uncertificated shares, transfers shall be made upon receipt of proper transfer instructions from the registered holder or their authorized attorney.
Section 6.03. Lost, Stolen, or Destroyed Certificates
Except as provided in this Section, no new share certificate or uncertificated shares shall be issued in place of any certificate previously issued, unless the old certificate is surrendered to the Corporation and cancelled at the same time. The Board may direct a new certificate or uncertificated shares to be issued in place of any certificate previously issued by the Corporation alleged to have been lost, stolen, or destroyed, upon the making of an affidavit of that fact by the person claiming the certificate to be lost, stolen, or destroyed. When authorizing the issue of a new certificate or uncertificated shares, the Board may, in its discretion and as a condition precedent to the issuance thereof, require the owner of the lost, stolen, or destroyed certificate, or the owner's legal representative, to give the Corporation a bond (or other adequate security) in such sum as the Board may direct as indemnity against any claim that may be made against the Corporation with respect to the certificate alleged to have been lost, stolen, or destroyed.
Section 6.04. Record Date for Shareholder Notice and Voting
For the purpose of determining which shareholders are entitled to receive notice of any meeting, to vote, to receive any distribution or payment of any dividend, or to exercise any rights in respect of any other lawful action, the Board may fix, in advance, a record date. The record date so fixed shall not be more than sixty (60) nor less than ten (10) days prior to the date of the meeting, nor more than sixty (60) days prior to any other action.
If no record date is fixed:
- The record date for determining shareholders entitled to receive notice of or to vote at a meeting of shareholders shall be at the close of business on the business day next preceding the day on which notice is given or, if notice is waived, at the close of business on the business day next preceding the day on which the meeting is held;
- The record date for determining shareholders entitled to give consent to corporate action in writing without a meeting, when no prior action by the Board has been taken, shall be the day on which the first written consent is given; and
- The record date for determining shareholders for any other purpose shall be at the close of business on the day on which the Board adopts the resolution relating thereto, or the sixtieth (60th) day prior to the date of such other action, whichever is later.
ARTICLE VII: CORPORATE RECORDS, REPORTS, AND INSPECTION RIGHTS

Minutes and other books and records shall be kept either in written form or in any other form capable of being converted into clearly legible tangible form or in any combination of the two.
Section 7.02. Inspection of Records by Shareholders

- A shareholder or shareholders holding at least five percent (5%) in the aggregate of the outstanding voting shares of the Corporation have the absolute right to inspect and copy the record of shareholders' names and addresses and shareholdings, or obtain from the transfer agent a list of shareholders within five (5) business days following oral or written demand; and
- The share register, the books of account, and the minutes of proceedings of the shareholders, the Board, and committees of the Board shall be open to inspection upon the written demand of any shareholder or holder of a voting trust certificate, at any reasonable time during usual business hours, for a purpose reasonably related to the holder's interests as a shareholder or as the holder of a voting trust certificate.
Section 7.03. Inspection of Records by Directors
Every director shall have the absolute right at any reasonable time to inspect and copy all books, records, and documents of every kind and to inspect the physical properties of the Corporation and each of its subsidiary corporations. Section 7.04. Annual Report to Shareholders
The Board shall cause an annual report to be sent to the shareholders not later than one hundred twenty (120) days after the close of the fiscal year, unless the Corporation has fewer than one hundred (100) holders of record of its shares and the requirement of an annual report is expressly waived by resolution of the Board or in these Bylaws.
The annual report shall contain:
- A balance sheet as of the end of such fiscal year;

Such authority may be general or confined to specific instances. Unless so authorized or ratified by the Board or within the agency power of the officer, no officer, agent, or employee shall have any power or authority to bind the Corporation by any contract or engagement or to pledge its credit or to render it liable for any purpose or for any amount in excess of $[Amount in USD, e.g., 25,000].

Section 9.01. Emergency Bylaws and Procedures
This Article IX shall be operative during any emergency resulting from an attack on the United States or on a locality in which the Corporation conducts its business or customarily holds meetings of its Board or its shareholders, or resulting from any nuclear or atomic disaster, or from the existence of any catastrophe, pandemic, act of God, or other similar emergency condition, as a result of which a quorum of the Board or of the executive committee cannot readily be convened for action (pursuant to California Corporations Code Section 212(c)).
During any such emergency:
- Any meeting of the Board may be called by any officer or director. Notice of the time and place of the meeting shall be given by the person calling the meeting to only such of the directors as it may be feasible to reach at the time and by such means as may be feasible at the time.
- The director or directors in attendance at the meeting of the Board shall constitute a quorum.
- The officers or other persons present on a list approved by the Board before the emergency, all in order of rank and within the same rank in order of seniority, shall, to the extent required to provide a quorum at any meeting of the Board, be deemed directors for such meeting.
- The Board, either before or during any such emergency, may provide, and from time to time modify, lines of succession in the event that during such emergency any or all officers or agents of the Corporation shall for any reason be rendered incapable of discharging their duties.
ARTICLE X: GENERAL PROVISIONS & DISPUTE RESOLUTION
Section 10.01. Forum Selection for Certain Internal Corporate Disputes
Unless the Corporation consents in writing to the selection of an alternative forum, the Superior Court of the State of California for the County of [County Name, e.g., Los Angeles / San Francisco] shall be the sole and exclusive forum for:
- Any derivative action or proceeding brought on behalf of the Corporation;
- Any action asserting a claim of breach of a fiduciary duty owed by any director, officer, or other employee of the Corporation to the Corporation or the Corporation's shareholders;
- Any action asserting a claim arising pursuant to any provision of the California General Corporation Law or the Articles of Incorporation or these Bylaws; or
- Any action asserting a claim governed by the internal affairs doctrine.
Section 10.02. Governing Law
These Bylaws and all matters concerning the validity, construction, enforceability, and interpretation of these Bylaws shall be governed by, and construed in accordance with, the internal laws of the State of California, without regard to principles of conflicts of laws.
Section 10.03. Severability
If any provision of these Bylaws or the application thereof to any person or circumstance shall be held invalid, illegal, or unenforceable to any extent by a court of competent jurisdiction, the remainder of these Bylaws and the application of such provision to other persons or circumstances shall not be affected thereby and shall be enforced to the greatest extent permitted by law.
Section 10.04. Construction and Definitions
Unless the context requires otherwise, the general provisions, rules of construction, and definitions in the California General Corporation Law shall govern the construction of these Bylaws. Without limiting the generality of this provision, the singular number includes the plural, the plural number includes the singular, and the term "person" includes both an entity and a natural person.
ARTICLE XI: AMENDMENTS
Section 11.01. Amendment by Shareholders
New Bylaws may be adopted, or these Bylaws may be amended or repealed, by the affirmative vote of a majority of the outstanding shares entitled to vote; provided, however, that if the Articles of Incorporation of the Corporation set forth the number of authorized directors, the authorized number of directors may only be changed by an amendment of the Articles of Incorporation.
Section 11.02. Amendment by the Board of Directors
Subject to the rights of the shareholders as provided in Section 11.01 and the limitations set forth in California Corporations Code Section 212, Bylaws other than a Bylaw or an amendment of a Bylaw changing the authorized number of directors may be adopted, amended, or repealed by the Board.

- The Corporate Secretary is the legal officer designated to certify the Bylaws. An additional execution block by the Chief Executive Officer or an Initial Director is included for comprehensive institutional hygiene.
Step 3: Execution Via Digital or Wet Signature
- Wet Signatures: Execute in black ink. Retain the fully signed wet-ink original within the Corporation’s physical Minute Book.
