- Customization: Copy the text above into Microsoft Word. Use the "Find & Replace" function (Ctrl+H) to update all bracketed fields (e.g., replace
[Client Full Legal Name]with the actual entity name). Ensure Exhibit A (Scope of Services) is detailed to prevent "scope creep." - Verification: Confirm that the person signing for the Company and Client has internal "Delegation of Authority" (DOA) to bind their respective legal entities.
- Execution:
- Print two physical copies for "wet ink" signatures.
- Alternatively, use an e-signature platform (e.g., DocuSign, Adobe Sign, or PandaDoc). Ensure the platform provides a "Certificate of Completion" or audit trail.
- Filing: Store a fully executed PDF version in your corporate legal repository (e.g., SharePoint, Box, or a dedicated Contract Lifecycle Management system). Set calendar reminders for "Term" expiration or renewal dates.
