RECITALS

WHEREAS, the Company has issued a solicitation for competitive quotations regarding the provision, manufacturing, licensing, assembly, packaging, and/or delivery of specific institutional goods, software, equipment, materials, and associated professional implementation services (collectively, the “Goods and Services”);

WHEREAS, the Vendor has independently evaluated the technical requirements, legal covenants, timelines, regulatory constraints, and manufacturing parameters outlined in this RFQ, and represents that it possesses the requisite technical expertise, manufacturing capacity, regulatory clearances, solvency, and personnel to furnish such Goods and Services in absolute accordance with the specifications herein; and

NOW, THEREFORE, in consideration of the mutual covenants, promises, representations, and conditions set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the Parties agree as follows:

4. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. INTEGRATION OF SOLICITATION & NATURE OF OBLIGATIONS

1.1. Contract Structure. This RFQ constitutes an institutional framework consisting of the primary body of this Agreement, Schedule A (Quotation & Pricing Schedule), Schedule B (Scope of Work & Technical Specifications), and any formal purchase orders issued by Buyer referencing this document.
1.2. Irrevocable Offer. By executing and submitting a quotation under this RFQ, Vendor guarantees that all quoted prices, rates, terms, and delivery schedules shall remain irrevocable, firm, and binding for a minimum period of [Number of Days, e.g., 90] calendar days from the Quotation Submission Deadline.
1.3. Rejection of Conflicting Vendor Terms. The terms and conditions contained within this Agreement govern the relationship exclusively. Buyer explicitly objects to, rejects, and excludes any supplemental, contradictory, or divergent terms contained in any Vendor catalog, quotation response, invoice, order acknowledgment, bill of lading, click-through license, or standard shrink-wrap terms. Any such ancillary documentation shall be treated as void and without legal effect unless expressly incorporated via a bilateral, written amendment signed by an executive officer of the Buyer.

2. SCOPE OF ENGAGEMENT, GOODS SPECIFICATIONS, & PERFORMANCE

2.1. Standard of Performance. Vendor shall design, procure, fabricate, manufacture, package, ship, test, and deliver the goods, and/or perform the services, in strict conformity with Schedule B (Scope of Work & Technical Specifications), industry best practices, and the highest standards of care applicable to institutional industrial suppliers.
2.2. Delivery & Title. All Goods shall be delivered [Incoterms 2020: e.g., DDP - Delivered Duty Paid] to the designated Buyer facility located at [Delivery Address] on or before the delivery milestones established in Schedule B. Risk of loss, damage, or destruction of Goods shall remain entirely with Vendor until physical delivery and formal inspection sign-off by Buyer’s authorized representative. Legal and equitable title to the Goods shall transfer to Buyer immediately upon delivery, without prejudice to Buyer's rights of inspection and rejection.
2.3. Inspection and Rejection. Buyer shall have a period of [Number of Days, e.g., 30] business days following physical receipt of the Goods or completion of the Services (“Inspection Period”) to conduct formal technical audits, quality control tests, and operational validations. If the Goods or Services fail in any material respect to conform strictly to Schedule B, Buyer may, at its sole discretion and without liability:

  • Reject the non-conforming items and require Vendor to replace, repair, or re-perform the same at Vendor's sole expense within [Number of Days, e.g., 10] calendar days;
  • Accept the non-conforming items subject to an equitable downward reduction in the contract price; or
  • Rescind the order, return non-conforming goods to Vendor at Vendor's expense and risk, and obtain a full, immediate refund of all funds previously remitted for such items.

3. PRICING, INVOICING, COMPENSATION, & PAYMENT TERMS

3.1. Firm-Fixed Pricing. All prices set forth in Schedule A are all-inclusive firm-fixed fees stated in United States Dollars ([Amount in USD]). Said pricing encompasses all labor, materials, equipment, insurance, shipping, customs clearances, export/import duties, freight, and general overhead. Under no circumstances shall Buyer be liable for any surcharges, unanticipated escalations, raw material price fluctuations, or unapproved ancillary expenditures.
3.2. Invoicing Requirements. Vendor shall submit detailed, itemized invoices to Buyer’s accounts payable department at [Accounts Payable Email / Physical Address]. Invoices must cross-reference this RFQ Control Number and the relevant Purchase Order number, and must be accompanied by certified bills of lading, timesheets, or Milestone Completion Certificates as applicable.
3.3. Payment Terms & Milestones. Undisputed invoice amounts shall be payable within [Number of Days, e.g., 45] calendar days from the date of Buyer's formal written acceptance of the associated milestone or delivery batch.
3.4. Late Payment Interest. Undisputed payments overdue beyond the contractual period shall accrue statutory interest at the rate of [Interest Percentage, e.g., 1.0%] per month, or the maximum rate permissible under applicable state usury laws, whichever is lower. The accrual of late interest shall not apply to amounts withheld in good faith due to billing discrepancies, non-conforming deliverables, or ongoing disputes.
3.5. Taxes. Buyer shall pay only those sales, use, or value-added taxes expressly mandated by applicable law that Vendor is legally obligated to collect and remit, provided such taxes are separately itemized on Vendor's invoice. Buyer retains the right to furnish valid tax exemption certificates where applicable.

4. TERM, SCHEDULES, & TERMINATION

4.1. Term. This Agreement shall commence on the Effective Date and shall remain in full force and effect until all Goods have been delivered and accepted and all Services fully performed, or until terminated earlier in accordance with this Section 4.
4.2. Termination for Convenience. Buyer reserves the unconditional right to terminate this Agreement, in whole or in part, for its sole convenience, at any time, by serving at least [Number of Days, e.g., 15] calendar days' prior written notice to Vendor. Upon receipt of such notice, Vendor shall immediately halt all production, procurement, and labor, except as specifically directed by Buyer. In the event of such termination, Buyer shall pay Vendor exclusively for conforming Goods completed and delivered, and verifiable non-recoverable direct out-of-pocket costs reasonably incurred prior to the notice date. In no event shall Buyer be liable for lost anticipatory profits, unabsorbed overhead, or speculative damages.
4.3. Termination for Breach. Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any provision, covenant, or warranty herein and fails to remedy such breach within [Number of Days, e.g., 30] calendar days of receiving written notification detailing the breach.
4.4. Insolvency & Bankruptcy. Buyer may terminate this Agreement immediately, with zero notice liability, if Vendor becomes insolvent, files a petition for bankruptcy, makes an assignment for the benefit of creditors, has a receiver appointed over its assets, or ceases normal commercial operations.
4.5. Effect of Termination. Upon termination, Vendor shall promptly deliver to Buyer all completed or partially completed deliverables, technical documentation, specifications, materials, and inventory paid for by Buyer, and shall return or certify destruction of all Confidential Information.

5. INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

5.1. Work Made for Hire. To the maximum extent permitted by applicable copyright, patent, and intellectual property law, all technical outputs, designs, engineering prints, code, software, reports, prototypes, dies, molds, tooling, and documentation prepared, created, or developed by Vendor (or its personnel) specifically for Buyer under this Agreement (collectively, the “Deliverables”) shall be deemed a “work made for hire” for Buyer.
5.2. Assignment. If any Deliverable is deemed not to qualify as a work made for hire, Vendor hereby unconditionally and irrevocably assigns, transfers, and conveys to Buyer, its successors, and assigns, all worldwide right, title, and interest in and to the Deliverables, including all patents, copyrights, industrial designs, trade secrets, moral rights, and other intellectual property protections. Vendor agrees to execute, at Buyer's expense, any formal assignments, patent applications, or instruments necessary to record Buyer’s full ownership.
5.3. Background IP. Vendor shall retain sole ownership of all pre-existing technologies, standard off-the-shelf software, proprietary methodologies, and trade secrets developed prior to or independently of this Agreement (“Vendor Background IP”). To the extent that any Vendor Background IP is embedded in, required for the operation of, or integrated with the Goods or Deliverables, Vendor grants Buyer an irrevocable, perpetual, royalty-free, fully paid-up, worldwide, non-exclusive license to use, execute, reproduce, display, perform, modify, and distribute such Vendor Background IP for Buyer's business purposes.

6. MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

6.1. Definition of Confidential Information. “Confidential Information” means any and all proprietary, technical, operational, financial, or commercial information disclosed by one Party (“Disclosing Party”) to the other Party (“Receiving Party”), whether orally, visually, in writing, or electronically, that is marked as confidential or should reasonably be understood to be confidential given the circumstances of disclosure. Confidential Information explicitly includes the existence, terms, specifications, and pricing of this RFQ.
6.2. Standard of Protection. The Receiving Party agrees to safeguard the Disclosing Party’s Confidential Information with the same degree of care it exercises toward its own most sensitive information, but in no event less than a reasonable standard of care. The Receiving Party shall not disclose, disseminate, publish, or transfer any Confidential Information to third parties, except to its own officers, directors, employees, and legal/financial advisors who have a need to know and who are bound by non-disclosure covenants at least as protective as those herein.
6.3. Exclusions. Confidential Information shall not include information that: (a) was already known to the Receiving Party without restriction prior to receipt; (b) is or becomes publicly available through no fault or breach of the Receiving Party; (c) is rightfully obtained from an independent third party without violation of any non-disclosure duty; or (d) is independently developed without reference to or reliance upon the Disclosing Party's Confidential Information.
6.4. Compelled Disclosure. If Receiving Party is required by valid court order, subpoena, or governmental regulation to disclose Confidential Information, it shall provide prompt written notice to Disclosing Party (where legally permissible) to enable Disclosing Party to seek a protective order, and shall disclose only that minimal portion legally mandated.
6.5. Survival. The confidentiality obligations herein shall survive for a period of [Number of Years, e.g., 5] years following the termination or expiration of this Agreement, except that trade secrets shall be maintained in strict confidence in perpetuity.

For Services, Vendor warrants that they will be executed in a professional, workmanlike manner, conforming to prevailing industrial standards, for a period of [Number of Days, e.g., 365] days from completion. During the warranty period, Vendor shall, immediately upon notification, repair or replace any defective Good or re-perform non-conforming Services at its own expense.
7.4. Compliance with Statutory Laws. Vendor covenants that it conducts operations in absolute compliance with all applicable local, national, and international laws, including the Foreign Corrupt Practices Act (FCPA), export control regulations (EAR/ITAR), occupational safety standards (OSHA), environmental safety laws, and modern anti-slavery/fair labor standards.

8. INDEMNIFICATION & ALLOCATION OF RISK

8.1. General Indemnification. • Non-compliance by Vendor with environmental, regulatory, or employment-related statutes.
8.2. Intellectual Property Indemnification. Vendor shall indemnify, defend, and hold harmless Buyer against any third-party action, claim, or lawsuit alleging that the Goods, Deliverables, or Services provided hereunder infringe, misappropriate, or violate any patent, copyright, trademark, trade secret, or proprietary right of any third party. If an injunction is sought or issued against Buyer's use of the Goods, Vendor shall, at its sole cost: (a) secure for Buyer the legal right to continue utilizing the Goods; (b) modify the Goods so they become non-infringing while preserving absolute functional equivalence; or (c) replace the Goods with non-infringing equivalents of identical performance.
8.3. LIMITATION OF LIABILITY. EXCEPT FOR VENDOR’S INDEMNIFICATION OBLIGATIONS UNDER SECTIONS 8.1 AND 8.2, BREACHES OF CONFIDENTIALITY UNDER SECTION 6, AND DAMAGES ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT:
    (A) NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF PRODUCTION, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE LEGAL THEORY ASSERTED; AND
    (B) BUYER’S AGGREGATE, MAXIMUM CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS TRANSACTION SHALL UNDER NO CIRCUMSTANCES EXCEED THE TOTAL AGGREGATE SUM OF FEES PAID OR PAYABLE TO VENDOR UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. DISPUTE RESOLUTION & MANDATORY ARBITRATION

10. GOVERNING LAW & JURISDICTION

10.1. Choice of Law. This Agreement, the interpretation of its terms, and any disputes arising out of its execution, subject matter, or breach shall be governed exclusively by, and construed in absolute accordance with, the substantive laws of the State of [State of Governing Law], without giving effect to any conflict of law or choice of law principles that would require the application of the laws of any other jurisdiction.

11. GENERAL & MISCELLANEOUS PROVISIONS

If any provision, sentence, or term of this Agreement is held to be invalid, illegal, or unenforceable by an arbitral tribunal or court of competent jurisdiction, such invalidity shall not impair, affect, or invalidate the remainder of this Agreement. The provision shall be modified to the minimum extent necessary to make it legally valid and enforceable while achieving its original commercial purpose.
11.3. Force Majeure. Neither Party shall be held liable or responsible for delays or failure in performance resulting from events beyond its reasonable control and without its fault or negligence, including acts of God, catastrophic weather, war, civil insurrection, pandemics, national embargoes, or catastrophic labor strikes. The Party experiencing the event must provide formal written notice within [Number of Days, e.g., 5] calendar days of occurrence and make commercially reasonable efforts to mitigate the delay.

             ▼
  4. Contract Ledgering & Archive (ERP/CLM)

STEP 1: Populating Template Variables & Word Processing Setup

  1. Download & Import: Copy this Markdown text directly into Microsoft Word or Google Docs (use Edit > Paste without Formatting to preserve clean styling).
  2. Apply Typography: Apply corporate standard typography: Body Text in 10.5 pt Calibri, Georgia, or Times New Roman (1.15 line spacing, 6 pt space after paragraphs); Headings in bold sans-serif (Arial or Calibri).
  3. Automate Bracketed Fields: Use Word’s Find & Replace (Ctrl + H on Windows, Cmd + H on Mac) to systematically replace all bracketed items (e.g., [Company Full Legal Name], [Amount in USD], [Effective Date]) with verified corporate data.
  4. Finalize Pricing & Scope: Ensure Schedule A (Pricing Table) and Schedule B (Scope/Specifications) are populated without omitting technical, quantity, or logistical variables. Verify that the sum of line items in Schedule A precisely reconciles with the aggregate contract ceiling.

STEP 2: Verifying Signatory Corporate Authority

  1. Corporate Standing Verification: Before transmittal, conduct a search via the Secretary of State (or equivalent corporate registry) for the counterparty's jurisdiction to confirm active legal status.
  2. Delegation of Authority (DoA) Audit: Confirm that both signatories possess explicit executive authority to bind their entities (e.g., holding titles such as Chief Executive Officer, Chief Operating Officer, Vice President of Supply Chain, Managing Director, or possessing an active, formally executed Power of Attorney / Board Resolution).
  3. Cross-Check Legal Entity Names: Confirm the legal entities match their formal formation filings character-for-character (e.g., distinguish between "Inc.", "LLC", "Corp.", and "Limited").

STEP 3: Execution via Digital Signature Platform

  1. Platform Configuration: Upload the finalized .docx or exported PDF file to an enterprise electronic signature solution (e.g., DocuSign, Adobe Sign, or PandaDoc).
  2. Signature Field Tagging:
    • Place signature tags, printed name fields, title fields, and date fields directly over the lines provided in Section 7.
    • Tag each Schedule (Schedule A and Schedule B) with an "Initials" field in the bottom-right corner to ensure acknowledgment of technical bounds.
  3. Security & Authentication Protocol:
    • Configure signer authentication using enterprise Two-Factor Authentication (SMS OTP or corporate email domain verification).
    • Set routing order: Sender/Procuring Entity reviews -> Counterparty signs -> Procuring Entity counter-signs.
  4. Certificate of Completion: Ensure the platform generates a cryptographically sealed Audit Trail / Certificate of Completion detailing IP addresses, timestamps (UTC), and signer email verifications.

STEP 4: Institutional Post-Execution Filing & Record Retention

  1. Counterpart Compilation: Download the executed PDF containing all completed signatures and the cryptographic Audit Certificate. Verify no pages are missing or unreadable.
  2. Enterprise Contract Lifecycle Management (CLM) / ERP Ingestion:
    • Index the document in your organization’s ERP/CLM system (e.g., SAP Ariba, Coupa, Ironclad).
    • Tag critical contract metadata fields: Contract ID, Vendor Legal Entity, Governing Law, Effective Date, Expiration Date, Warranty Expiry Date, Notice Deadlines for Convenience Termination, and Total Maximum Liability Value.
  3. Retention & Access Control: Store the master executed file in a secure, immutable directory (such as a restricted SharePoint or secure corporate cloud repository) configured with WORM (Write Once, Read Many) protection or strict access permissions. Retain the file for a minimum of the local statute of limitations for written contracts (typically 7 to 10 years post-termination, depending on state jurisdiction). Inform the accounts payable team to hold all payments pending cross-referencing of invoices against the fully executed Schedule A.
