STEP-BY-STEP EXECUTION, FILING & ENFORCEMENT GUIDE
- Customization & Review: Fill in all bracketed fields (
[...]) meticulously. Ensure that the Scope of Services in Schedule A is explicitly defined to prevent "scope creep" and minimize classification ambiguity under Ontario common law tests. - Corporate Authorization: Verify that the individual signing on behalf of the Client possesses proper corporate authority (e.g., Director, Officer, or holder of delegated signing authority). If the Consultant operates via an incorporated entity (e.g., a numbered Ontario corporation), ensure they sign in their corporate capacity rather than personally.
- Execution via Electronic Signature: Route the completed document through an audit-backed electronic signature platform (such as DocuSign or Adobe Sign) to capture tamper-evident cryptographic verification logs and IP addresses.
- Insurance & Compliance Verification: Prior to the commencement of any work:
- Collect and archive certificates of CGL and Professional Insurance naming the Client as an additional insured.
- Confirm WSIB registration or secure a valid clearance certificate / independent operator status declaration.
- Filing & Record Retention: Store the fully executed agreement in the corporate legal repository or enterprise document management system. Retain all related invoices, SOW change orders, and proof of payments for a minimum of seven (7) years to satisfy CRA and corporate compliance auditing standards.
