Commercial leasing is heavily regulated by state and territory legislation (including, but not limited to, the Retail Leases Act 1994 (NSW), Retail Leases Act 2003 (VIC), and equivalent legislation in other jurisdictions).
Depending on the Permitted Use, floor space, and statutory definitions, this lease may be classified as a "Retail Shop Lease" under applicable state law. Both Lessor and Lessee acknowledge and agree that they have obtained independent legal, financial, and taxation advice prior to the execution of this document. The parties must verify whether disclosure statements, statutory bonds, and registration on the relevant real property title are required under local land titles office regulations.

2.2 Holding Over. If the Lessee remains in possession of the Premises after the expiration of the Term without the written consent of the Lessor, the Lessee shall be deemed to be a monthly tenant from month to month upon the same terms and conditions as herein set forth, except that the Base Rent shall be increased by [Percentage, e.g., 10%] of the rent payable immediately prior to the expiration of the Term, and such tenancy may be terminated by either party upon giving not less than one (1) month’s written notice.
SECTION 3: RENT & PAYMENT TERMS
3.1 Base Rent. The Lessee shall pay to the Lessor the Base Rent in the amount of [Amount in AUD, e.g., $50,000.00] exclusive of Goods and Services Tax (GST), per annum. 4.1 Provision of Security. On or before the execution of this Lease, the Lessee shall provide to the Lessor the Security Deposit in the form of [Cash Deposit / Unconditional Bank Guarantee issued by an Australian trading bank] in the amount of [Amount in AUD], as security for the due and punctual performance by the Lessee of all its obligations under this Lease.
4.2 Application and Replenishment. If the Lessee commits any breach of this Lease or fails to pay any moneys due, the Lessor may draw upon the Security Deposit to remedy such breach or recover outstanding amounts. If the Lessor draws upon the Security Deposit, the Lessee shall, within fourteen (14) days of receiving written demand, reinstate the Security Deposit to its full original amount.
SECTION 5: OUTGOINGS & MUNICIPAL CHARGES
5.1 Payment of Outgoings. The Lessee shall pay to the Lessor, in addition to the Base Rent, a proportional share ([Percentage]% based on net lettable area) of all Outgoings incurred during the Term. Outgoings shall include:

- Premiums for building insurance, public liability insurance, and loss of rent insurance maintained by the Lessor.
- Costs of maintaining, cleaning, lighting, and repairing common areas, lifts, air conditioning, and security systems.
5.2 Method of Payment. Outgoings shall be estimated annually by the Lessor and paid by the Lessee in equal monthly installments alongside the Base Rent. A true-up reconciliation shall be conducted annually upon finalization of actual bills, with any shortfall paid by the Lessee or overpayment credited against future installments.
SECTION 6: USE OF PREMISES & COMPLIANCE
6.1 Permitted Use. The Lessee shall use the Premises strictly and exclusively for the Permitted Use and for no other purpose. The Lessee shall not permit any noxious, offensive, or hazardous activities to be conducted on the Premises.
6.2 Statutory Compliance. The Lessee shall, at its sole cost and expense, comply with all Commonwealth, State, and local government laws, statutes, regulations, bylaws, and orders relating to the Premises, the Lessee's specific business operations, and any fit-out works undertaken by the Lessee, including occupational health and safety (WHS) laws and fire safety regulations.
SECTION 7: MAINTENANCE, REPAIRS & ALTERATIONS

7.3 Alterations and Fit-Out. The Lessee shall not make any structural alterations, additions, or major fit-out works to the Premises without obtaining the prior written consent of the Lessor, which consent shall not be unreasonably withheld. All non-structural fit-outs affixed to the property shall, at the option of the Lessor, either remain the property of the Lessor upon expiration or be removed by the Lessee, with the Premises made good at the Lessee's sole expense.
SECTION 8: INSURANCE & INDEMNIFICATION
8.1 Lessee’s Insurance. The Lessee shall, at its own expense, take out and maintain throughout the Term:
- Public liability insurance for a minimum sum of Twenty Million Australian Dollars ($20,000,000.00) per single occurrence, noting the interest of the Lessor.
- Workers' compensation insurance as required by applicable Australian state law.
- Comprehensive insurance covering the Lessee’s trade fixtures, plant, equipment, and stock against loss or damage by fire, theft, and standard perils.
8.2 Indemnity. The Lessee occupies and uses the Premises at its own risk. The Lessee releases and discharges the Lessor from, and agrees to indemnify and hold harmless the Lessor against, all claims, demands, costs, damages, losses, and liabilities arising from any injury to persons, damage to property, or loss sustained within the Premises or the Building, except to the extent caused by the gross negligence or willful misconduct of the Lessor.

- The Lessee passes a resolution for winding up, enters administration, liquidation, receivership, or executes a deed of company arrangement (DOCA), or a bankruptcy petition is presented against the Lessee.
9.2 Lessor’s Remedies. Upon the occurrence of an Event of Default, the Lessor may, at its option and without prejudice to any other rights or remedies:
- Terminate this Lease by re-entering the Premises and expelling the Lessee without liability for trespass or damage.
- Recover from the Lessee all arrears of rent, damages for loss of the benefit of this Lease for the unexpired residue of the Term, and all legal and enforcement costs incurred by the Lessor.
SECTION 10: ASSIGNMENT, SUBLETTING & CHARGING
10.1 Prohibition. The Lessee shall not assign, sublease, mortgage, charge, or part with possession of the whole or any part of the Premises without the prior written consent of the Lessor.
10.2 Conditions of Assignment. Where the Lessee seeks to assign this Lease, the Lessor’s consent shall not be unreasonably withheld, provided that the Lessee satisfies statutory prerequisites (including, where applicable, provisions of the relevant Retail Leases legislation), which typically require:

11.2 Mediation and Expert Determination. If the dispute cannot be resolved via negotiation, the parties agree to submit the dispute to formal mediation administered by the Australian Disputes Centre (ADC) or the relevant State Small Business Commissioner (if applicable). 6. STEP-BY-STEP EXECUTION & FILING GUIDE
- Document Customization: Open this template in Microsoft Word or Google Docs. Locate all bracketed terms (e.g.,
[Lessor Full Legal Name],[Amount in AUD]) and replace them with accurate commercial data negotiated between the parties. Ensure all monetary figures and dates match the Heads of Agreement. - Statutory Verification: Check the relevant state retail leasing legislation (e.g., Retail Leases Act) to determine if the premises falls under retail classification. If applicable, attach the mandatory statutory Lessor Disclosure Statement at least 7 days prior to lease execution.
- Signatory Authority Verification: Verify via an ASIC Company Extract that the individuals executing on behalf of the Lessor and Lessee possess corporate authority under Section 127 of the Corporations Act 2001 (Cth) (i.e., executed by two directors, a director and company secretary, or a sole director/secretary).
- Digital Execution: Upload the finalized document into an e-signature platform such as DocuSign or Adobe Sign. Ensure secure authentication controls (IP verification and multi-factor authentication) are enabled for both executing parties.
- Stamping and Registration: Check state revenue office requirements regarding purchaser/lessee duty (stamp duty on commercial leases has been abolished in most Australian states, but lease registration on the title may be mandatory for leases exceeding 3 years). Lodge the executed lease with the relevant state Land Titles Office if required.
- Record Retention: Archive the fully executed PDF alongside the bank guarantee, insurance certificates, and disclosure statements in a secure corporate contract repository for the duration of the Term plus the statutory limitation period (typically 7 years post-termination).
