OPERATIVE CLAUSES & TERMS
1. SERVICES
1.1 Scope of Services. Provider shall perform the Services and provide the Deliverables as described in individual SOWs executed by the Parties from time to time. Each SOW shall reference this Agreement and be deemed incorporated into, and made a part of, this Agreement. 1.2 Statement of Work. No Services shall be performed, and no Deliverables provided, hereunder unless and until a SOW has been executed by both Parties. In the event of any conflict between the terms of this Agreement and any SOW, the terms of this Agreement shall prevail, unless the SOW explicitly states an intent to supersede a specific provision of this Agreement, and such superseding provision is limited to that specific SOW. 1.3 Client Cooperation. Client agrees to provide timely access to information, personnel, and resources as reasonably required by Provider to perform the Services. Client acknowledges that Provider's performance is dependent on Client's timely and effective cooperation. 1.4 Changes to Services. Any changes or additions to the Services or Deliverables described in an SOW must be mutually agreed upon in writing by both Parties through a change order or an amendment to the relevant SOW.
2. TERM AND TERMINATION
2.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of [Number] ([Number]) years (the "Initial Term"), unless terminated earlier in accordance with the terms herein. Thereafter, this Agreement shall automatically renew for successive [Number] ([Number]) year periods (each, a "Renewal Term"), unless either Party provides written notice of non-renewal at least [Number] ([Number]) days prior to the expiration of the then-current Term.
2.2 Termination for Convenience. Either Party may terminate this Agreement or any SOW, for any reason or no reason, upon [Number] ([Number]) days' prior written notice to the other Party. In such event, Client shall pay Provider for all Services performed and Deliverables provided up to the date of termination, plus any non-cancellable third-party expenses reasonably incurred by Provider.
2.3 Termination for Cause.
(a) Either Party may terminate this Agreement or any SOW immediately upon written notice if the other Party materially breaches any provision of this Agreement or any SOW and fails to cure such breach within [Number] ([Number]) days after receiving written notice thereof.
(b) Either Party may terminate this Agreement immediately upon written notice if the other Party (i) becomes insolvent, (ii) files a petition for bankruptcy, (iii) makes an assignment for the benefit of creditors, or (iv) ceases to carry on business in the normal course.
2.4 Effect of Termination. Upon termination of this Agreement for any reason:
(a) All SOWs then in effect shall terminate.
(b) Client shall immediately pay Provider any outstanding Fees and reimbursable expenses for Services performed and Deliverables provided up to the termination date.
(c) Each Party shall return or destroy all Confidential Information of the other Party, except as required by law or for internal record-keeping purposes, subject to Section 5.
(d) Sections [List of Surviving Sections, e.g., 4, 5, 7, 8, 12, 15, 22] shall survive the termination or expiration of this Agreement.
3. FEES AND PAYMENT
3.1 Fees. Client shall pay Provider the Fees specified in each SOW. Unless otherwise specified in an SOW, all Fees are exclusive of applicable taxes, duties, and levies, which shall be Client's sole responsibility.
3.2 Invoicing. Provider shall invoice Client in accordance with the payment schedule specified in each SOW. If no schedule is specified, Provider may invoice monthly in arrears for Services performed.
3.3 Payment Terms. Unless otherwise specified in an SOW, Client shall pay all undisputed invoices within [Number] ([Number]) days of the invoice date. Overdue payments shall accrue interest at the rate of [Interest Rate, e.g., 1.5%] per month or the maximum rate permitted by law, whichever is lower.
3.4 Expenses. Client shall reimburse Provider for all reasonable and pre-approved out-of-pocket expenses incurred by Provider in connection with performing the Services, provided such expenses are documented with receipts and comply with any expense policy agreed upon in an SOW.
4. INTELLECTUAL PROPERTY
4.1 Client IP. As between the Parties, Client shall retain all Intellectual Property Rights in any materials, data, or information provided by Client to Provider for the purpose of performing the Services ("Client IP"). Client grants Provider a non-exclusive, royalty-free, worldwide license to use Client IP solely as necessary to perform the Services under this Agreement. 4.2 Provider IP. As between the Parties, Provider shall retain all Intellectual Property Rights in any materials, software, tools, methodologies, or other intellectual property owned or developed by Provider independently of this Agreement or prior to the Effective Date ("Provider IP"). Provider grants Client a non-exclusive, royalty-free, worldwide license to use Provider IP solely to the extent incorporated into Deliverables, and solely for Client's internal business purposes. 4.3 Work Product / Deliverables. Unless otherwise specified in an SOW, upon full payment of the Fees for the relevant Services and Deliverables, all Deliverables developed by Provider specifically for Client under an SOW (excluding any embedded Provider IP or third-party IP) shall be the sole and exclusive property of Client. Provider hereby assigns, and shall cause its personnel to assign, all right, title, and interest in and to such Deliverables to Client.

If the Receiving Party is required by law or court order to disclose Confidential Information, it shall provide prompt written notice to the Disclosing Party prior to such disclosure (unless legally prohibited from doing so) to allow the Disclosing Party to seek a protective order or other appropriate remedy.
6. REPRESENTATIONS AND WARRANTIES
6.1 Mutual Warranties. Each Party represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation; (b) it has the full corporate power and authority to enter into this Agreement and to perform its obligations hereunder; and (c) the execution and delivery of this Agreement and the performance of its obligations hereunder do not and will not conflict with or violate any other agreement to which it is a party. 6.2 Provider Warranties. Provider represents and warrants that: (a) the Services will be performed in a professional and workmanlike manner, in accordance with generally accepted industry standards; (b) the Deliverables will conform to the specifications set forth in the applicable SOW; and (c) Provider has all necessary rights, licenses, and permits to perform the Services and provide the Deliverables. 6.3 Client Warranties. Client shall indemnify, defend, and hold harmless Provider and its officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) any third-party claim alleging that Client IP infringes or misappropriates any third-party Intellectual Property Rights; (b) Client's breach of its warranties in Section 6.3; or (c) the gross negligence or willful misconduct of Client or its personnel. 7.3 Indemnification Procedures. The Party affected by the Force Majeure Event shall promptly notify the other Party and use commercially reasonable efforts to mitigate the effect of the Force Majeure Event. If a Force Majeure Event continues for more than [Number] ([Number]) days, either Party may terminate this Agreement or the affected SOW upon written notice.
12. GOVERNING LAW AND DISPUTE RESOLUTION
12.1 Governing Law. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of [Governing Law Jurisdiction, e.g., the State of Delaware], without regard to its conflict of laws principles.
12.2 Dispute Resolution.
