Section 2. Buyout Compensation & Financial Terms

2.1 Buyout Consideration. In consideration for Landlord’s agreement to terminate the Lease prior to the Scheduled Expiration Date and release Tenant from its obligations thereunder, Tenant shall pay to Landlord the total sum of [Amount in USD] USD (the "Buyout Fee") in accordance with the following schedule:

  • (a) The sum of [Installment 1 Amount in USD] USD shall be paid upon the execution and delivery of this Agreement by both Parties; and
  • (b) The remaining balance of [Installment 2 Amount in USD] USD shall be paid on or before [Final Payment Due Date].

2.2 Method of Payment. All payments required under this Agreement shall be made via wire transfer of immediately available federal funds to an account designated in writing by Landlord, or by corporate check delivered to Landlord’s notice address.

In addition, all delinquent sums shall accrue interest at the lesser of [Interest Rate]% per annum or the maximum rate permitted by applicable law, calculated from the date due until paid in full.

2.4 Continuation of Regular Rent. Tenant shall continue to pay all Base Rent, Additional Rent, operating expenses, utility charges, and other operational assessments due under the Lease up to and including the Termination Date. Section 3. Security Deposit Disposition

3.1 Return of Security Deposit. Within [Number] days following the Termination Date and the verification by Landlord that the Premises have been surrendered in compliance with Section 1 of this Agreement, Landlord shall return to Tenant the security deposit currently held by Landlord under the Lease in the amount of [Security Deposit Amount in USD] USD, less any lawful deductions authorized under the Lease or applicable law for unpaid rent, damage to the Premises, or unfulfilled Tenant obligations.

Section 4. Mutual Releases and Discharge of Claims

4.1 Tenant’s Release of Landlord. Effective as of the Termination Date and upon receipt of the final installment of the Buyout Fee, Tenant, for itself and its past, present, and future parent companies, subsidiaries, affiliates, partners, officers, directors, shareholders, employees, agents, legal representatives, successors, and assigns (collectively, the "Tenant Releasors"), hereby fully, finally, and unconditionally releases, acquits, and forever discharges Landlord, and its past, present, and future parent companies, subsidiaries, affiliates, partners, officers, directors, shareholders, employees, agents, legal representatives, successors, and assigns (collectively, the "Landlord Releasees"), from any and all claims, demands, liabilities, obligations, damages, actions, or causes of action of every kind and nature whatsoever, whether known or unknown, suspected or unsuspected, absolute or contingent, at law or in equity, which Tenant Releasors ever had, now have, or may hereafter have against Landlord Releasees arising out of, relating to, or in connection with the Lease, the negotiation thereof, the Premises, or the Property.

4.2 Landlord’s Release of Tenant. Effective as of the Termination Date and upon receipt of the final installment of the Buyout Fee and satisfactory surrender of the Premises, Landlord, for itself and its past, present, and future parent companies, subsidiaries, affiliates, partners, officers, directors, shareholders, employees, agents, legal representatives, successors, and assigns (collectively, the "Landlord Releasors"), hereby fully, finally, and unconditionally releases, acquits, and forever discharges Tenant, and its past, present, and future parent companies, subsidiaries, affiliates, partners, officers, directors, shareholders, employees, agents, legal representatives, successors, and assigns (collectively, the "Tenant Releasees"), from any and all claims, demands, liabilities, obligations, damages, actions, or causes of action of every kind and nature whatsoever, whether known or unknown, suspected or unsuspected, absolute or contingent, at law or in equity, which Landlord Releasors ever had, now have, or may hereafter have against Tenant Releasees arising out of, relating to, or in connection with the Lease, the negotiation thereof, the Premises, or the Property; provided, however, that the foregoing release shall not apply to Tenant’s obligations expressly surviving the termination of the Lease or this Agreement.

4.3 Waiver of Unknown Claims. Each Party acknowledges that it has been advised by legal counsel of its choosing and is familiar with the provisions of California Civil Code Section 1542 (or equivalent statutory provisions of the governing jurisdiction), which provides generally as follows:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

Knowing and understanding this law, each Party nevertheless waives any rights, benefits, or privileges that it may have under such statutory provisions and assumes the risk of any unknown or unsuspected claims.

Section 5. Representations and Warranties

Section 7. Default and Remedies

7.1 Events of Default. The occurrence of any of the following shall constitute an event of default ("Event of Default") under this Agreement: (a) failure by Tenant to pay the Buyout Fee or any installment thereof when due; (b) failure by either Party to observe or perform any other material covenant, term, or condition of this Agreement within [Number] days after receipt of written notice specifying the breach; or (c) the breach of any representation or warranty made herein.

Upon the occurrence of an Event of Default by Tenant, Landlord may, at its sole option and without limiting any other rights or remedies available at law or in equity: (a) declare the entire unpaid balance of the Buyout Fee immediately due and payable; (b) terminate this Agreement, in which case the original Lease shall remain in full force and effect as if this Agreement had never been executed, and Landlord may pursue all remedies available under the Lease; and (c) exercise any other legal or equitable remedy available under the laws of the governing jurisdiction.

Section 8. Dispute Resolution & Governing Law

8.1 Governing Law and Jurisdiction. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles. Each Party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County], State of [State].

8.2 Attorneys' Fees. If any legal action, arbitration, or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing Party shall be entitled to recover reasonable attorneys' fees, court costs, and all expenses incurred in connection therewith, in addition to any other relief to which such Party may be entitled.

Section 9. Miscellaneous Provisions

No amendment, modification, supplement, or discharge of this Agreement shall be valid or binding unless set forth in a writing and executed by an authorized representative of each Party. 9.4 Counterparts and Electronic Execution. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures delivered by facsimile, email PDF, or digital signature platforms (such as DocuSign or Adobe Sign) shall be deemed legally binding and possess the same legal force and effect as original wet-ink signatures.
