SECTION 1: STATUTORY & LEGAL COMPLIANCE NOTICE

CRITICAL LEGAL NOTICE: This document constitutes a legally binding contract of carriage between the Shipper, the Carrier, and any underlying participating carriers, freight forwarders, or logistics operators. By tendering cargo described herein to the Carrier, the Shipper agrees to all terms, conditions, exceptions, and limitations set forth in this Bill of Lading, whether printed, stamped, or written hereon or incorporated by reference.

This template is drafted to comply with baseline commercial principles under the Uniform Commercial Code (UCC Article 7), the Carriage of Goods by Sea Act (COGSA, 46 U.S.C. § 30701 et seq.) where applicable to maritime legs, and domestic motor/rail carriage statutes (such as the Carmack Amendment, 49 U.S.C. § 14706). However, users must verify that all specific modal requirements, hazardous material declarations (Hazmat/DG), and local jurisdictional mandates are explicitly integrated before execution. Legal counsel should be consulted to ensure alignment with specific trade lanes and statutory frameworks.

SECTION 3: EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Scope of Services & Carriage Operations

1.1 Tender and Receipt: The Carrier acknowledges receipt from the Shipper, in apparent good order and condition except as otherwise noted herein, of the total number of packages, containers, or units enumerated in the cargo description schedule for transport from the Port/Place of Receipt ([Port/Place of Receipt]) to the Port/Place of Delivery ([Port/Place of Delivery]).
1.2 Subcontracting: The Carrier reserves the absolute right to sub-contract the performance of all or any part of the transport, storage, handling, or related services to any third party, independent contractor, underlying carrier, stevedore, warehouse operator, or agent, without prior notice to the Shipper. All limitations of liability, defenses, and immunities granted to the Carrier under this Bill of Lading shall extend to and protect all such subcontractors, agents, and underlying carriers.
1.3 Route and Deviation: The Carrier is authorized to transport the cargo via any route, vessel, aircraft, train, motor vehicle, or combination thereof, and via any intermediate ports, places, or transshipment facilities, whether or not such route is the direct, customary, or advertised route. 2. Compensation, Freight Rates, & Payment Terms

2.1 Freight Charges: Freight and charges shall be deemed fully earned upon receipt of the cargo by the Carrier, whether the cargo is damaged, lost, or arrives safely at its destination. Freight shall be paid by the Shipper, Consignee, or designated third-party payor ([Payer Name]) in United States Dollars (USD) in the amount of [Amount in USD], strictly in accordance with the payment terms specified in the commercial invoice or credit agreement executed concurrently herewith.
2.2 Invoicing and Due Date: The Carrier shall issue an invoice upon or prior to departure. Invoices are due and payable within [Number] days of the invoice date ("Due Date"). Time is of the essence with respect to all payment obligations.

2.4 Lien Rights: The Carrier shall have a continuous, general, and specific lien on the cargo, and any documents relating thereto, for all freight, demurrage, general average contributions, storage charges, advance charges, and any other sums due or owing to the Carrier from the Shipper or Consignee under this or any prior agreement. The Carrier may enforce this lien through public or private sale of the cargo, upon providing [Number] days' written notice to the Shipper, applying the proceeds toward the satisfaction of outstanding debts and administrative costs.

3. Term, Delivery, & Demurrage

3.1 Delivery of Cargo: The cargo shall be delivered to the Consignee or its authorized agent at the Port/Place of Delivery upon presentation of proper identification and surrender of this Bill of Lading (if issued in negotiable form) or upon proper authorization (if issued as a non-negotiable sea waybill).
3.2 Demurrage and Detention: The Shipper and Consignee shall be jointly and severally liable for any demurrage, detention, storage, or holding charges incurred at origin, en route, or at destination due to delays in loading, unloading, customs clearance, or failure to accept delivery. Rates for demurrage shall be assessed in accordance with the Carrier’s published tariff or standard operating schedule in effect on the date of shipment.
3.3 Unclaimed Cargo: If the Consignee fails to take delivery of the cargo within [Number] days of arrival at the destination, or if the cargo is refused, unclaimed, or uncollectible, the Carrier reserves the right to store the cargo in a public or private warehouse at the sole risk and expense of the Shipper, or to sell, dump, or otherwise dispose of perishable or hazardous cargo immediately without notice.

4. Intellectual Property, Data, & Documentation Ownership

4.1 Customs Data and Documentation: All shipping documents, electronic data interchanges (EDI), customs entries, and manifests prepared by the Carrier or its agents remain the intellectual property of the Carrier with respect to proprietary formatting, compilation methods, and operational software.
4.2 Shipper Warranty of Data: The Shipper warrants that all particulars relating to the general nature of the cargo, marks, number, weight, volume, and quantity furnished by or on behalf of the Shipper are accurate and complete. 5.2 Obligations: Neither party shall disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law, court order, or regulatory authority, or to enforce rights under this Agreement. If any cargo is found to be undeclared hazardous material, the Carrier reserves the right to destroy, dispose of, abandon, or neutralize such cargo at the sole expense of the Shipper, without incurring any liability.

7.2 Consequential Damages Waiver: Under no circumstances shall the Carrier be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profit, loss of market, business interruption, or overhead costs, regardless of whether the Carrier had notice of the possibility of such damages.
7.3 Shipper Indemnification: The Shipper agrees to defend, indemnify, and hold harmless the Carrier, its affiliates, directors, officers, employees, agents, and subcontractors from and against any and all claims, liabilities, losses, damages, fines, penalties, costs, and expenses (including reasonable attorney's fees) arising out of or resulting from: (a) the Shipper’s breach of any warranty or obligation under this Agreement; (b) the nature or inherent vice of the cargo; or (c) any violation of statutory or regulatory mandates by the Shipper, Consignee, or their respective agents.
