4.2 Notice and Cure Periods

Upon the occurrence of an Event of Default, the non-breaching Party shall provide written Advisory Notice to the defaulting Party detailing the nature of the default. 4.3 Remedies upon Default

If an Event of Default is not cured within the applicable Cure Period, the non-breaching Party may, at its sole discretion and without prejudice to any other rights at law or in equity:

  1. Terminate this Agreement immediately upon written notice;
  2. Withhold further performance of transportation services and exercise its legal liens over the Cargo;

If any provision, clause, or section of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of this Agreement. The Parties agree to negotiate in good faith to replace any invalid provision with a valid and enforceable provision that achieves, to the greatest extent possible, the economic and legal objectives of the original provision.

5.2 Entire Agreement

This Agreement, including any incorporated schedules, manifests, and addenda, constitutes the entire understanding and agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, understandings, and agreements, whether oral or written. No modification or amendment to this Agreement shall be valid unless executed in writing by authorized representatives of both Parties.
