WHEREAS, Carrier is a duly licensed, authorized, and insured motor carrier and transportation logistics provider engaged in the business of transporting freight in interstate and/or intrastate commerce;
WHEREAS, Shipper desires to retain Carrier to provide transportation, freight forwarding, and logistics services, and Carrier desires to provide such services under the terms, covenants, and conditions set forth in this Agreement and associated operational Bills of Lading;
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1. Scope of Services & Operational Standards
1.1 Transport Obligations: Carrier shall provide safe, timely, and compliant transportation, loading, securement, transit, and delivery services for Shipper’s freight from designated origin points to specified destinations, including direct-to-consumer, commercial facilities, and Amazon Fulfillment Centers, as detailed in individual rate confirmations, load tenders, and Bills of Lading.
1.2 Amazon Compliance: Where shipments are destined for Amazon Facilities, Carrier strictly covenants to comply with all applicable Amazon Partnered Carrier program guidelines, inbound carrier routing rules, appointment scheduling protocols, pallet specifications (e.g., GMA Grade A/B, 40x48 inch), carton labeling standards, and electronic delivery confirmation protocols. Failure to adhere to Amazon-specific operational requirements resulting in chargebacks, fines, or rejected freight shall be borne entirely by Carrier.
1.3 Equipment Standards: Carrier warrants that all equipment utilized under this Agreement (including tractors, trailers, containers, and dry van/refrigerated units) shall be clean, dry, leak-free, structurally sound, sanitary, free of foreign odors, completely odor-free of hazardous or toxic residues, and fully compliant with all state, federal, and local environmental and safety standards.
1.4 Chain of Custody: Carrier shall maintain a continuous, verifiable chain of custody for all shipments, utilizing electronic logging devices (ELDs), geofencing tracking, and mandatory driver check-in/check-out documentation at all loading and unloading points.
Section 2. Compensation, Invoicing & Payment Terms
2.1 Rate Schedule: Shipper shall compensate Carrier for services rendered in accordance with the rates, accessorial charges, and fee schedules set forth in mutually executed Rate Confirmations or Addenda attached hereto, totaling an estimated contract value of [Amount in USD], subject to actual volumes shipped.
2.2 Invoicing Requirements: Carrier shall submit complete, legible invoices to Shipper within thirty (30) days of successful delivery. Each invoice must be accompanied by: (a) a signed clean Bill of Lading (BOL); (b) signed proof of delivery (POD); (c) signed Amazon delivery receipt (if applicable); and (d) itemized receipts for any pre-approved accessorial charges. Failure to submit required documentation within the specified timeframe shall render the invoice null and void, and Shipper shall have no obligation to pay.
2.3 Payment Terms: Net [Number, e.g., 30 / 45] days from the date of Shipper's receipt of an undisputed, fully documented invoice. Shipper may offset any outstanding claims, damages, overpayments, chargebacks, or Amazon compliance fines levied against Shipper due to Carrier’s operational failures from any amounts due or to become due to Carrier.
2.4 Late Interest: Any undisputed amounts not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law.
Section 3. Term & Termination
3.1 Term: This Agreement shall commence on the Effective Date and shall continue for a period of one (1) year, automatically renewing for successive one-year terms unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.
