MENTORING AGREEMENT

This Mentoring Agreement (the "Agreement") is entered into this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

RECITALS

WHEREAS, Mentor possesses specialized knowledge, professional experience, and skills in the field of [Field/Industry];

WHEREAS, Mentee desires to receive professional guidance and developmental support to enhance their proficiency in said field;

WHEREAS, the Parties desire to enter into this Agreement to formalize the terms and conditions of their mentoring relationship;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. OPERATIONAL DEFINITIONS

1.1. "Mentoring Services" means the professional guidance, feedback, career coaching, and knowledge transfer sessions provided by Mentor to Mentee. 1.2. "Confidential Information" means all non-public, proprietary, or sensitive information disclosed by one Party to the other, whether orally or in writing, designated as confidential or reasonably understood to be confidential. 1.3. "Term" means the period beginning on the Effective Date and continuing for [Number] months, unless terminated earlier pursuant to Section 4. 1.4. "Work Product" means any documents, plans, or intellectual property created by the Mentee as a direct result of the Mentoring Services.

2. SUBSTANTIVE TERMS AND OBLIGATIONS

3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Termination for Cause: Either Party may terminate this Agreement upon written notice if the other Party commits a material breach of any obligation herein. 3.2. Cure Period: The breaching Party shall have thirty (30) business days from the receipt of written notice of breach to cure such default. If the breach remains uncured, the non-breaching Party may terminate the Agreement immediately. 3.3. Termination for Convenience: Either Party may terminate this Agreement with [Number] days' prior written notice to the other Party. 3.4.
