STEP-BY-STEP EXECUTION GUIDE

This guide provides instructions for the proper execution, management, and enforcement of the Retainer Agreement.

  1. Review and Customize:

    • Legal Counsel Review: CRITICAL: Engage qualified legal counsel licensed in the relevant jurisdiction to review, customize, and finalize all terms and conditions. This template is a starting point, not a finished legal document.
    • Fillable Blanks: Systematically go through the entire document and replace all bracketed [FIELD_NAME] placeholders with accurate, specific information relevant to your engagement. Ensure dates, names, addresses, amounts, and specific services are correct.
    • Exhibit A (Scope of Services): Develop a highly detailed and clear description of the Services. Ambiguity here is a common source of disputes. Consider attaching a separate, comprehensive "Statement of Work (SOW)" if the services are complex.
    • Exhibit B (Fee Schedule): Clearly define all billing rates, fixed fees, payment terms, and how the Retainer Fee will be utilized and replenished.
    • Jurisdiction: Confirm the "Governing Law Jurisdiction" in the header and Clause 13.1 matches where you intend for disputes to be resolved and which laws apply.
  2. Internal Approval & Alignment:

    • Stakeholder Review: Ensure all relevant internal stakeholders (e.g., project leads, finance, senior management) at both Client and Service Provider have reviewed and agreed to the terms, especially the scope, fees, and timelines.
    • Financial Approval: Verify that the Retainer Fee and anticipated total project costs align with approved budgets.
  3. Execution & Signature:

    • Authorized Signatories: Ensure the individuals signing on behalf of both Client and Service Provider are duly authorized to bind their respective entities. Verify their names and titles are accurate.
    • Physical or Electronic Signatures: Obtain signatures from both Parties. Confirm whether electronic signatures are legally binding in your jurisdiction and for this type of agreement.
    • Date of Signature: Each signatory must date their signature. The "Effective Date" in the header should align with the mutual intent of when the agreement officially commences, often the date of the last signature.
  4. Distribution & Filing:

    • Originals/Copies: Distribute fully executed copies to both Client and Service Provider. Each Party should retain an original or a certified true copy.
    • Centralized Filing: File the executed Agreement in a secure, centralized contract management system or designated physical repository for easy retrieval and auditing.
    • Digital Archiving: Create digital scans of the fully executed agreement and store them securely with appropriate backups.
  5. Operationalization & Enforcement:

    • Communication: Inform relevant teams (e.g., project managers, finance, legal) of the executed agreement, its key terms, and their responsibilities.
    • Invoicing & Payment: Establish processes for timely invoicing by Service Provider and prompt payment by Client, adhering strictly to the terms in Exhibit B.
    • Retainer Management: Implement a clear system for tracking the Retainer Fee balance, notifying the Client when replenishment is required, and managing draws.
    • Scope Management: Any changes to the Scope of Services must follow Clause 3.2 and Clause 16 (Amendments) – documented and agreed upon in writing.
    • Performance Monitoring: Regularly review Service Provider's performance against the agreed Scope of Services and any defined milestones or KPIs.
    • Dispute Resolution: In case of disagreement, follow the procedures outlined in Clause 13 (Governing Law and Dispute Resolution) meticulously.
    • Term & Termination: Monitor the Term (Clause 4.1) and adhere to the termination procedures if the relationship ends, ensuring all financial obligations are met and property returned.
