SECTION 1: SCOPE OF SERVICES & CARRIAGE ENGAGEMENT

1.1 Engagement: The Shipper hereby delivers to the Carrier, and the Carrier hereby receives, takes custody of, and accepts the goods described in the Schedule of Goods below (the "Goods") in apparent good order and condition (except as explicitly noted herein). The Carrier agrees to transport the Goods safely from the Port of Loading / Origin Point at [Origin Address/Port] to the Port of Discharge / Destination Point at [Destination Address/Port] (the "Route"), subject to all terms of this Bill of Lading.

1.2 Subcontracting: The Carrier reserves the right to employ sub-carriers, stevedores, agents, independent contractors, or multimodal transport operators to perform all or any part of the transportation, handling, or storage services. The Carrier warrants that any selected subcontractor possesses all necessary licenses, permits, and insurance required by applicable law.

SECTION 2: COMPENSATION, FREIGHT, & PAYMENT TERMS

2.1 Freight Charges: Freight and ancillary charges shall be deemed fully earned upon receipt of the Goods by the Carrier, whether the cargo is lost or not lost, and regardless of whether the transport is completed. Freight shall be paid by [Shipper / Consignee / Third Party] in the amount of [Amount in USD] (USD) in accordance with the payment schedule set forth in Invoice Ref: [Invoice Reference Number].

2.2 Late Payments & Interest: Any undisputed invoice amounts not received by the due date shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower, calculated from the due date until the date of actual payment.

2.3 Carrier’s Lien: The Carrier shall have an absolute, continuous, and general lien on the Goods, and any documents relating thereto, for all freight, demurrage, storage charges, general average contributions, legal fees, and any other sums due to the Carrier from the Shipper or Consignee under this Contract or any prior agreement. The Carrier may enforce this lien through public or private sale without prior notice if sums remain unpaid for thirty (30) days following demand.

SECTION 3: TERM, TRANSIT, & TERMINATION

3.1 Duration of Contract: This Contract commences upon the physical transfer of custody of the Goods from the Shipper to the Carrier at the point of origin and terminates upon final delivery of the Goods to the Consignee or authorized representative at the designated destination, or upon lawful abandonment pursuant to statutory authority.

3.2 Transit Delays & Force Majeure: Neither party shall be liable for failure to perform or delay in performance under this Bill of Lading if such failure or delay is caused by acts of God, war, acts of terrorism, civil commotion, labor strikes, lockouts, epidemics, quarantine restrictions, embargoes, extraordinarily severe weather conditions, or governmental regulations (each, a "Force Majeure Event"). The Carrier shall use commercially reasonable efforts to mitigate the effects of any such delay.

SECTION 4: INTELLECTUAL PROPERTY & DATA PRIVACY

4.1 Documentation Data: All tracking data, manifest descriptions, electronic data interchanges (EDI), and logistics records generated pursuant to this Bill of Lading shall remain the operational property of the Carrier, provided that the Shipper and Consignee retain perpetual, royalty-free access to all historical shipment data relating to their respective commercial interests.

SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

5.1 Confidential Information: The parties acknowledge that during the performance of this carriage engagement, they may exchange proprietary operational data, pricing schedules, routing protocols, and commercial terms ("Confidential Information"). Each party agrees to hold such Confidential Information in strict confidence, utilizing a standard of care no less than that employed to protect its own proprietary data, and shall not disclose it to any third party except as required by law or judicial process.

SECTION 6: REPRESENTATIONS, WARRANTIES, & CARGO SPECIFICATIONS

  • (a) The Goods are adequately and safely packed, crated, labeled, and marked in compliance with all international, federal, state, and local packaging and transport regulations.
  • (b) The Goods do not constitute hazardous, toxic, or dangerous materials unless explicitly declared, classified, and authorized in writing by the Carrier prior to transit.
  • (c) All weight, measurement, and cargo description declarations provided by the Shipper are complete, accurate, and truthful.

6.2 Carrier’s Warranty: The Carrier warrants that it possesses the requisite corporate authority, operational equipment, and regulatory permits to execute the transportation services contemplated herein.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Limitation of Liability: Unless a higher value has been declared by the Shipper in writing prior to shipment and extra freight has been paid pursuant to the Carrier’s tariff, the Carrier’s liability for any loss, damage, misdelivery, or delay of the Goods shall be strictly limited to the statutory limits set forth under COGSA ($500 per package or per customary freight unit) or the Carmack Amendment ($ per pound/kilogram, or actual value as established by law), whichever statutory framework governs the transit.

7.2 Indemnification: The Shipper agrees to defend, indemnify, and hold harmless the Carrier, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, losses, damages, fines, penalties, and reasonable attorney's fees arising out of or resulting from: (a) the Shipper's breach of any warranty in Section 6; (b) the undeclared hazardous nature of the Goods; or (c) improper packaging or loading performed by the Shipper or its agents.

8.1 Mandatory Negotiation: In the event of any dispute, controversy, or claim arising out of or relating to this Bill of Lading, the designated executive representatives of the Shipper and Carrier shall first attempt in good faith to resolve the matter informally within thirty (30) days of receiving written notice of the dispute.

8.2 Binding Arbitration: If the dispute remains unresolved following the 30-day negotiation window, the dispute shall be submitted to final and binding arbitration administered by the [Arbitration Association, e.g., American Arbitration Association / JAMS] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State/Country], and the proceedings shall be conducted in the English language before a single independent arbitrator.

SECTION 10: MISCELLANEOUS PROVISIONS

10.1 Severability: If any provision of this Bill of Lading is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.

Step 1: Document Customization (Word / Google Docs)

  1. Open this document in Microsoft Word or Google Docs.
  2. Search and replace all bracketed fields (e.g., [Shipper Full Legal Name], [Origin Address/Port], [Amount in USD]) with precise operational data. Ensure no bracketed placeholders remain unedited.
  3. Review Section 4 (Schedule of Goods) to verify that piece counts, weights, and measurements precisely match physical warehouse receipts and packing lists.

Step 2: Legal & Operational Review

  1. Confirm that the governing jurisdiction ([State/Country Governing Jurisdiction]) aligns with the operational footprint and risk profile of the enterprise.
  2. Verify whether hazardous materials are present. If applicable, attach the necessary Material Safety Data Sheets (MSDS) and dangerous goods declarations to this instrument.

  1. Export the finalized document as a static, read-only PDF.
  2. Upload the PDF into an institutional electronic signature platform (such as DocuSign, Adobe Sign, or HelloSign).
