This Telehealth Consent Form and Binding Service Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

Provider / Entity: [Company/Practice Name], a [State of Incorporation/Organization] [Corporation/LLC/Partnership], having its principal place of business at [Provider Address] ("Provider"), and

Patient / Recipient: [Patient/Client Legal Name], residing at [Patient Address] ("Patient"), and if applicable, on behalf of the minor or legally incapacitated individual [Name of Minor/Ward] ("Authorized Representative").

RECITALS

WHEREAS, Provider delivers professional healthcare, medical consultation, and behavioral health services through interactive audio, video, data, and other electronic communications;

WHEREAS, Patient desires to receive healthcare services via Telehealth technologies and acknowledges that such delivery method differs from traditional, in-person medical encounters;

WHEREAS, the Parties intend for this Agreement to serve as both a legally binding informed consent for telehealth modalities and a binding commercial/service contract governing the terms of such care within the jurisdiction of [Jurisdiction];

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

2. OPERATIONAL DEFINITIONS

  1. "Asynchronous Telehealth" means the transmission of a Patient’s medical information from an originating site to the Provider at a distant site without the presence of the Patient in real time (e.g., "store-and-forward" technology).
  2. "Confidential Information" means all health records, personal data, financial information, and proprietary documentation exchanged between the Parties pursuant to this Agreement, protected under applicable federal and state privacy laws.
  3. "Distant Site" means the physical location of the healthcare Provider delivering services via telecommunications technology at the exact time the services are rendered.
  4. "Emergency" means a sudden, acute medical or psychiatric condition manifesting itself by acute symptoms of sufficient severity (including severe pain) such that the absence of immediate medical attention could reasonably be expected to result in placing the patient's health in serious jeopardy, serious impairment to bodily functions, or serious dysfunction of any bodily organ or part.
  5. "Originating Site" means the physical location of the Patient at the exact time the telehealth service is being furnished.
  6. "Synchronous Telehealth" means a real-time interaction between a Patient and a Provider located at a Distant Site utilizing interactive audio and video telecommunications technology.
  7. "Telehealth Services" means the use of electronic information and telecommunications technologies—including high-definition video, audio, secure messaging, and peripheral devices—by Provider to diagnose, consult, treat, educate, prescribe, and manage Patient healthcare.

3. SUBSTANTIVE TERMS & OBLIGATIONS

Section 3.1 Scope of Services and Consent to Treatment

(a) The Patient voluntarily requests and authorizes Provider, along with its affiliated physicians, nurse practitioners, therapists, and clinical personnel, to provide Telehealth Services. (b) The Patient understands that the care provided will be evaluated via electronic means and that the Provider will exercise professional judgment in determining whether a condition is appropriate for treatment via Telehealth.

Section 3.2 Risks and Limitations of Telehealth

The Patient acknowledges and accepts the inherent risks associated with Telehealth, which include, but are not limited to: (a) Technology Failures: Interruptions, delays, or failures in electronic communications, internet connectivity, or hardware/software malfunctions that may cause distortion or loss of data. (b) Security Breaches: Although Provider utilizes encryption compliant with the Health Insurance Portability and Accountability Act (HIPAA), electronic transmissions can theoretically be compromised by sophisticated cyber threats. (c) Incomplete Evaluations: The inability of the Provider to conduct a physical examination in person may limit the scope of diagnosis or necessitate an in-person referral. (d) Absence of Immediate Access: Telehealth is not a substitute for emergency care. In the event of an urgent medical crisis, the Patient is strictly required to contact local emergency services (911) or proceed immediately to the nearest hospital emergency department.

Section 3.3 Patient Duties and Representations

(a) The Patient warrants that they are physically located within the state of [Jurisdiction] at the time the Telehealth Services are rendered, as required by state licensing laws. (b) The Patient agrees to provide accurate, complete, and truthful medical history, symptom reports, and identification credentials. (c) The Patient shall maintain a private, secure, and quiet environment during the telehealth session to ensure confidentiality and optimal communication.

Section 3.4 Financial Terms and Billing

(a) The Patient agrees to pay Provider the fees set forth in Provider’s current fee schedule, or such co-pays, deductibles, and coinsurance amounts as mandated by the Patient's third-party health insurance plan. (b) Provider reserves the right to bill the Patient directly for any services deemed non-covered, unauthorized, or rejected by the Patient's insurer, up to the maximum amount of [Dollar Amount] per standard session or the standard retail rate.

Section 3.5 Privacy, Confidentiality, and Recording Prohibition

(a) All documentation and electronic communications generated during Telehealth Services are subject to federal and state privacy laws, including HIPAA. (b) Strict Prohibition on Recording: Neither the Patient nor the Provider shall audio-record, video-record, screenshot, or otherwise capture any portion of the telehealth session without the explicit, written, and signed consent of all participating parties. Unauthorized recording constitutes an immediate material breach of this Agreement.

4. DEFAULT, TERMINATION, AND REMEDIES

Section 4.1 Events of Default

The occurrence of any of the following shall constitute a material "Event of Default" under this Agreement: (a) Failure of the Patient to pay any undisputed fee or invoice within [30] calendar days of its due date. (b) Breach by either Party of any confidentiality, privacy, or recording prohibition obligations outlined in Section 3.5. (c) Submission of fraudulent, false, or misleading demographic, insurance, or clinical information by the Patient. (d) Abusive, threatening, or harassing behavior by the Patient toward Provider personnel during a telehealth encounter.

Section 4.2 Notice and Cure Period

Except for emergencies or immediate breaches of patient safety or privacy, the non-defaulting Party shall provide written notice of default detailing the specific violation. The defaulting Party shall have a period of thirty (30) business days from the receipt of such notice to cure the default (the "Cure Period").

Section 4.3 Termination Rights

(a) Termination for Cause: Provider may terminate this Agreement immediately upon written notice if the Patient fails to cure an Event of Default within the 30-business-day Cure Period, or immediately upon the occurrence of an un-cured safety, security, or regulatory violation. (b) Termination for Convenience: Either Party may terminate this Agreement at any time, with or without cause, by providing at least [14/30] days' advance written notice to the other Party. Termination shall not relieve the Patient of the obligation to pay for services rendered prior to the effective date of termination.

Section 4.4 Legal Recourse and Remedies

Upon the occurrence of an uncured Event of Default, the non-defaulting Party may exercise any and all remedies available at law or in equity, including injunctive relief, specific performance, and the recovery of reasonable attorneys' fees and collection costs incurred in enforcing the terms of this Agreement.

5. BOILERPLATE LEGAL PROVISIONS

Section 5.1 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions of this Agreement shall remain in full force and effect.

Section 5.2 Entire Agreement

This Agreement, together with any intake questionnaires and privacy notices incorporated by reference, constitutes the entire agreement between the Parties concerning the subject matter hereof and supersedes all prior oral or written negotiations, commitments, understandings, and agreements.

Section 5.3 Force Majeure

Neither Party shall be liable for any failure or delay in performance under this Agreement (excluding payment obligations) if such failure or delay is caused by acts of God, natural disasters, pandemic outbreaks, cyber-attacks, power failures, telecommunications outages, or other causes beyond the reasonable control of the affected Party ("Force Majeure Event").

Section 5.4 Governing Law and Venue

This Agreement shall be governed by, construed, and enforced in accordance with the substantive laws of the State of [Jurisdiction], without regard to its conflict of law principles. Any legal action arising out of this Agreement shall be brought exclusively in the state or federal courts located within [County, State].

Section 5.5 Dispute Resolution and Arbitration

Any controversy, claim, or dispute arising out of or relating to this Agreement, including its formation, performance, breach, or termination, shall be settled by binding arbitration administered by the [American Arbitration Association / Alternative Dispute Resolution Provider] in accordance with its commercial arbitration rules. The place of arbitration shall be [City, State], and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
